West Marine Affiliate Program Terms and Conditions

This Agreement contains the complete terms and conditions that apply to your participation as an affiliate in the Affiliate Program of West Marine, Inc., and the establishment of links from your website to our website, www.WestMarine.com. You may also be separately bound by the Terms and Conditions of any Affiliate Platform that West Marine, may utilize. Those Terms and Conditions are in addition to any Terms and Conditions below:

Definitions

• Customer: The user sent to WestMarine.com site via an affiliate link

• Affiliate / You: The publisher advertising links/promotions of West Marine, Inc.

Coupons and Offers

West Marine offers will be posted on Ascend to pay Affiliates a specified referral fee based on sales of West Marine products through a Qualifying Link. “Qualifying Link” means a link from your website to our website using one of the URLs or graphic links specified in the offer and provided by West Marine (through Ascend) for use in the program. Links and corresponding banner advertisements will be communicated to our Affiliates through the Ascend Platform Newsletters. 

As an affiliate site, you will be entitled to participate and promote any sweepstakes, contests, and special promotions West Marine may offer as part of our general affiliate program. In addition, you will be entitled to earn commissions.

Upon request by West Marine, you agree to promptly implement any changes to links or banner ads being used in connection with an offer or product launch. You are only allowed to use or display West Marine promotion codes that are communicated specifically to you via Ascend on behalf of West Marine. Any codes not provided by West Marine through the Ascend platform will not be commissionable and their use and/or displayed on your site may result in termination from West Marine’s affiliate program.

Links on Your Site

West Marine will provide Qualifying Links through Ascend that will identify your site as a Program member and establish a link. West Marine may also provide banner ads for your use. You also agree that you will display only those graphic images (indicating a Qualifying Link) that are provided by West Marine, and you will substitute such images with any new images provided from time to time throughout the term of this Agreement. Affiliates will only be commissioned on sales tracked through Qualifying Links.

Paid Search-Related Activity

Publishers are prohibited to bid on the following:

• Branded/trademarked terms including but not limited to West Marine or WestMarine.com

• Derivatives of the branded/trademarked terms

• Broad-match based on branded/trademarked terms

• We do not allow paid search direct linking. 

• Paid Search publishers are also not allowed to use the brand name West Marine in the Display URL nor the Title & Ad Copy

You may bid on the branded/trademarked terms of West Marine’s competitors, as well as link directly to WestMarine.com from these Paid Search Ads.

Promotion through Google Shopping / Product Listing Ads is not allowed unless permission is expressly provided in writing.

In addition, you agree to add West Marine brand terms as a negative to your search-engine campaigns to avoid broad/phrase matching.

Email Marketing

Email marketing is allowed. All partners must be Can-SPAM compliant and must contact West Marine prior to running for suppression lists. 

Press Releases & Public Announcements

Affiliates agree to not release, publish, or otherwise disseminate any press release, public announcement, or any other form of communication intended for public distribution concerning the terms of this Agreement without the prior written approval of West Marine. 

Commission Payment, Tracking, and Refunds

West Marine uses Ascend to handle tracking and payment. To account for a complex, non-linear customer purchase journey across multiple channels and touchpoints, West Marine uses Google Analytics 4 data for sales reporting; GA4 attributed sales data is uploaded into the Ascend platform based on the initiator of the session in which a conversion is made. Kindly review Ascend’s payment terms and conditions.

In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance. If the Commission has been previously paid to the Affiliate, this deduction may be taken against future Commissions earned.

Commissions paid on non-qualified products will be reversed. West Marine does not pay affiliate commissions on:

• Gift Card Purchases

• Reseller Orders

• Pro Customer Orders (Wholesale Division)

• Purchases made by West Marine Associates/Employee Orders

Prohibited Sites, verbiage, etc.:

• Sites that promote sexually explicit material or violence.

• Sites that promote discrimination based on race, sex, religion, national origin, sexual orientation, age, or physical disability.

• Sites that promote illegal activities.

• No “get rich” quick/passive income affiliates

• No use or otherwise incorporation of the word “West Marine” or variations or misspellings thereof in the domain name(s) of your site(s), on any meta tags of Web pages comprising your site(s), in hidden text or source code, or in searchable keywords

• No software downloads that potentially enable diversions of commission from other affiliates in our program.

• You may not use language that may inaccurately represent your relationship with West Marine or create or design your website or any other website that you operate, explicitly or implied in a manner that resembles West Marine’s website or design your website in a manner which leads customers to believe you are West Marine or any other affiliated business.

• West Marine also considers ANY type of advertisement about West Marine posted to a Newsgroup or Chat Room to be spam and will be cause for immediate termination.

Policies and Pricing

Customers who buy West Marine’s products through the Affiliate Program will be deemed to be customers of West Marine. Accordingly, all of our rules, policies, and operating procedures concerning customer orders, customer service, and sales will apply to those customers. West Marine may change their policies and operating procedures at any time. For example, West Marine will determine the prices to be charged for products sold under the Affiliate Program in accordance with our pricing policies. Prices and product availability may vary from time to time. Price changes may affect products that you already have listed on your site, therefore, pricing should be updated often or do not include price information in your product descriptions.

Customers directed to West Marine must be the product/service end user. If the Affiliate is placing an order on behalf of the customer, West Marine must explicitly approve this promotional method.

West Marine reserves the right, at any time, to review and approve the placement of your Links,  and will require that you change the link placement or use to comply with the guidelines provided.

Either party may terminate this Agreement AT ANY TIME, with or without cause, by giving the other party written notice.

WEST MARINE GRANTS YOU A NON-EXCLUSIVE, NON-TRANSFERABLE, REVOCABLE RIGHT TO (i) ACCESS THE WEST MARINE SITE THROUGH THE LINKS IN ACCORDANCE WITH THE TERMS OF THIS AGREEMENT; AND (ii) SOLELY IN CONNECTION WITH SUCH LINKS AND UNDER THE CONDITIONS PROVIDED FOR HEREIN, TO USE WEST MARINE LOGOS, TRADE NAMES, TRADEMARKS, AND SIMILAR IDENTIFYING MATERIAL RELATING TO WEST MARINE (COLLECTIVELY, THE "LICENSED MATERIALS"), FOR THE SOLE PURPOSE OF SELLING PRODUCTS ON YOUR SITE FOR THE COMPANY. YOU MAY NOT ALTER, MODIFY, OR CHANGE THE LICENSED MATERIALS IN ANY WAY WITHOUT WRITTEN AUTHORIZATION. YOU ARE ENTITLED TO USE THE LICENSED MATERIALS WHILE YOU ARE A MEMBER IN GOOD STANDING OF THE AFFILIATE PROGRAM.
