MASTER AFFILIATE AGREEMENT

This Master Agreement ("Agreement") is made between Fitness Anywhere, Inc. ("Merchant") and the participating web affiliate in The Pepperjam Network ("Affiliate").

BACKGROUND

Affiliate and Merchant are each enrolled in the The Pepperjam Network™.

Affiliate and Merchant each desire to establish the general terms and conditions which shall govern advertising and commission arrangements between Affiliate and Merchant which result from their participation in The Pepperjam Network™.

TERMS AND CONDITIONS

In consideration of the promises set forth below, we agree as follows:

1.            Offers and Engagements.

1.1.         From time to time, Merchant may post on The Pepperjam Network offers to pay to other participants a specified commission in return for certain advertising services leading to a Qualifying Link (defined below).   If such offers receive an identification number from The Pepperjam Network they shall be deemed to be an "Offer" for purposes of this Agreement.  The term "Offer" shall also include any counter-offers resulting from an Offer.

1.2.         If an Offer made by one party is accepted by the other party in accordance with the Offer's terms via The Pepperjam Network™, an "Engagement" will have been formed. Each Engagement shall have the same identification number as the original Offer that lead to the Engagement and shall be governed by the terms and conditions of this Agreement. However, in the event of any inconsistency between the terms of the specific Engagement and the terms of this Agreement, the terms of the Engagement shall govern.

1.3.         At any time prior to Affiliate providing a Qualifying Link, Merchant may with or without notice (a) change, suspend or discontinue any aspect of an Offer or an Engagement or (b) remove, alter, or modify any graphic or banner ad submitted by Merchant for an Offer or an Engagement. Merchant shall have the right to monitor Affiliate’s Web site as it feels necessary and Affiliate agrees to promptly implement any request from Merchant to remove, alter or modify any graphic or banner ad submitted by Merchant that is being used by Affiliate as part of an Engagement.

2.            Affiliate's Responsibilities.

2.1.         Affiliate will link its site to areas within Merchant's site using special URLs specified in the Engagement (the "Required URLs"). Affiliate may post as many links to the Required URLs and the rest of Merchant's site as it likes on Affiliate's site. The position, prominence and nature of links on the Affiliate's site shall comply with any requirements specified in the Engagement, but otherwise will be in the discretion of Affiliate. Any failure by Affiliate to use the Required URLs, or to follow the Engagement instructions in their use or attempt to modify the Required URLs (including their links or graphics) will be a violation of this Agreement and grounds for immediate termination of the Engagement or this Agreement.

2.2.         Affiliate agrees not to make any representations, warranties or other statements concerning Merchant, Merchant's site, any of Merchant's products or services, or Merchant's site policies, except as expressly authorized by the Engagement.

2.3.         Affiliate is responsible for notifying Merchant and The Pepperjam Network ™ of any malfunctioning of the Required URLs or other problems with Affiliate's participation in the Engagement. Merchant will respond promptly to all concerns upon notification by Affiliate. Affiliate is also responsible for the development, operation and maintenance of its site.

2.4.         Affiliate agrees not to display any unsuitable materials, including, but not limited to materials that:

•             Promote sexually explicit material;

•             Promote violence or hate toward any persons or groups;

•             Promote illegal activities;

•             Promote alcohol, tobacco, gambling/lottery in any way;

•             Promote the use of pyramid, "ponzi", or similar investment schemes;

•             Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;

•             Contain, in Merchant’s sole judgment, material that is defamatory, fraudulent, or harassing to Merchant or any third party;

•             Include "Fitness Anywhere" and “TRX” or variations or misspellings thereof in their domain names;

•             Otherwise violate intellectual property rights of Merchant or its suppliers;

•             Disparage Merchant, Merchant affiliates, or their suppliers;

•             Are under construction or not live at the time of Engagement;

•             Do not clearly state an online privacy policy to its visitors; or

•             Provide a portion of their Commissions to websites or organizations that would violate any of the above criteria.

3.            Affiliate keyword bidding policy. IF AFFILIATE FAILS TO COMPLY WITH ANY OF THE RESTRICTIONS IN THIS SECTION 3, INCLUSIVE OF ALL SUB-SECTIONS HERETO, AT MERCHANT’S SOLE DISCRETION AFFILIATE FORFEITS ANY COMMISSIONS OR OTHER PAYMENTS OTHERWISE EARNED DURING SUCH TIME THAT THE AFFILIATE IS NOT IN COMPLIANCE.

3.1.         Affiliate agrees not to purchase or bid for the placement of the FITNESS ANYWHERE®, TRX®, or SUSPENSION TRAINING®, any variation thereof (including but not limited to abbreviations, misspellings, stringing of individual names into a single word, or any other variation which has the effect of implying any sponsorship or endorsement by, or affiliation with, Fitness Anywhere or its trade names or trademarks including without limitation, TRX, FITNESS ANYWHERE, MAKE YOUR BODY YOUR MACHINE, SUSPENSION TRAINING,), and any other trademarks of Fitness Anywhere thereof within any third party search engine or portal, including but not limited to AOL.com, Yahoo.com, MSN.com, Google.com, Ask.com, and Miva.com. Additionally, Affiliate is prohibited from paying third parties for placement in search engines and/or shopping portals on the basis of Affiliate's use of the Fitness Anywhere or TRX name.

3.2.         Search arbitrage is forbidden. Specifically, Affiliate may not engage in paid search listings that feature any Fitness Anywhere URL or link directly from a paid search listing to any page on the Fitness Anywhere site. Nor may Affiliate frame the Fitness Anywhere site and link directly to this framed site from a paid search listing. This applies to all search terms, both trademarked and general keywords.

3.3.         Affiliate may engage in paid search to promote the Fitness Anywhere or TRX brand if they link to their site or an intermediary page hosted by the Affiliate. Traffic may not be automatically redirected from that page to the Fitness Anywhere site. Customer must be driven first to the Affiliate domain, then onto the Fitness Anywhere website. Blind redirects are not permitted.

3.4.         Affiliate may not use such copy as "official site” in search results for Fitness Anywhere or TRX.

3.5.         Affiliate will stop bidding on any keyword term at our request.

3.6.         Affiliate pages resulting from a search on "Fitness Anywhere" or “TRX” or its various versions must feature Fitness Anywhere or TRX with proper attribution of any Fitness Anywhere marks, e.g. by including the statement that “FITNESS ANYWHERE, and TRX are registered trademarks of Fitness Anywhere, Inc.”  Any Fitness Anywhere trademark used on the Affiliate pages must be attributed as such.

3.7.         Affiliate may not reference a percentage off claim or use the terms “coupons," "deals” or similar words in the title or description of their searches on brand term keywords. This includes “Fitness Anywhere," “TRX”, “www.fitnessanywhere.com” and other variations and misspellings.

3.8.         Affiliate may not bid on competitors' brand names with the purpose of directing traffic to the Fitness Anywhere site. This includes misspellings and any variations or phrases containing competitors' names.

3.9.         In addition to the other prohibitions in this Section 3, you may not:

•             engineer any website containing a Qualifying Link in such a manner that pulls Internet traffic away from fitnessanywhere.com;

•             publish, link to, sell, otherwise distribute, or place a Qualifying Link on the same page or in close proximity to any Objectionable Content. For purposes of this Agreement, "Objectionable Content" means any material, including textual, audio or video material, which is offensive (including hate speech or violence against a particular group of people); contains any nudity, explicit violence or sexual material; contains depictions of violent or sexual acts; is defamatory to any group or individual; or promotes alcohol, tobacco, or gambling/lottery;

•             attempt to modify or alter Merchant’s site in any way;

•             "scrape" or "spider" the Site or any other websites for any content (such as images, logos or text) or in any way attempt to capture the “look and feel” of any Fitness Anywhere website in any way that would prompt consumer confusion as to the source or provenance of the Affiliate pages;

•             employ the use of any type of software download or technology which attempts to intercept or redirect traffic or Commissions to or from any website;

•             employ any "cookie stuffing" methods which cause Pepperjam’s tracking systems to conclude that a user has clicked through a Qualifying Link (and to pay commissions accordingly) even if the user has not actually clicked through any such link;

•             install spyware on another person’s computer; cause spyware to be installed on another person’s computer, or use a context based triggering mechanism to display an advertisement that partially or wholly covers or obscures paid advertising other content on a website in a way that interferes with a person’s ability to view that website;

•             display any material on a website containing a Qualifying Link which contains viruses, Trojan horses, worms, time bombs, cancel bots or other similar harmful or deleterious programming routines;

4.            Commissions.

4.1.         Merchant agrees to pay Affiliate the commission specified in the Engagement if Merchant sells to a visitor to Merchant's site (a "Customer") a product or service that is the subject of the Engagement and if that Customer has accessed Merchant's site and purchased the product or service via a Qualifying Link. Commissions are not calculated on any shipping and handling charges, taxes and returns.  Commissions are paid according to the terms set forth in the Offer.  Should a return occur for a sale made during such payment cycle subsequent to payment of commissions for that payment cycle, then the commission paid on such returns will be credited back to Merchant during the next applicable payment cycle.  If commissions are paid on any returns that occur after termination of this Agreement and any Engagements and after final payment of commissions, then Merchant shall issue an invoice to Affiliate for said amounts, which Affiliate agrees to pay to Merchant within thirty days of receipt of such invoice. 

4.2.         A "Qualifying Link" is a link from Affiliate's site to Merchant's using one of the Required URLs or any other URL provided by Merchant for use in The Pepperjam Network™ if it is the last link to the Merchant's site that the Customer uses during a Session where a sale of a product or a service to Customer occurs.  A "Session" is the period of time beginning from a Customer's initial contact with Merchant's site via a link from the Affiliate's site and terminating when the Customer either returns to the Merchant's site via a link from a site other than Affiliate's site or the Engagement expires or is terminated.

4.3.         Merchant shall have the sole right and responsibility for accepting or processing all orders made by Customers.   Affiliate acknowledges that all agreements relating to sales to Customers shall be between Merchant and the Customer. Merchant has the right to modify its site at anytime and to refuse any order any time, for any reason or no reason.

4.4.         All determinations of Qualifying Links and whether a commission is payable will be made by The Pepperjam Network™ and will be final and binding on both Merchant and Affiliate. Prices for the products will be set solely by Merchant in its discretion and Merchant does not guarantee the availability of any products.

4.5.         Affiliate hereby gives Merchant the right to monitor Affiliate’s Web site at any time to determine if Affiliate is following the terms and conditions of this Agreement, and to notify Affiliate of any changes Merchant determines are necessary to make to remain in compliance. Failure to comply is a violation of this Agreement and grounds for termination of the Engagement or this Agreement.

4.6.         Customers who purchase products through The Pepperjam Network (and Company's web site, stores or directs sales) will be considered customers of Merchant. All Merchant’s rules, policies, and operating procedures concerning customer orders and customer service will apply to those customers. Merchant may change its policies and operating procedures at any time.

4.7.         Affiliate may not create, publish, distribute, or permit any written or electronically transmitted publicity material that makes reference to Merchant without first submitting the material to Merchant and receiving Merchant’s consent, which consent is subject solely to the Merchant’s discretion..

4.8.         Merchant may modify any of the terms and conditions in this Agreement, at any time in its sole discretion. Affiliate will be notified by email and a change notice will be posted on The Pepperjam Network.  If any modification is unacceptable to Affiliate, Affiliate’s only option is to end this Agreement. Affiliate’s continued participation in the Engagement or Engagements under this Agreement following the posting of the change notice or new agreement shall indicate Affiliate’s agreement to the changes.

5.            Ownership and Licenses.

5.1.         Each party owns and shall retain all right, title and interest in its names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology, including, without limitation, those names, logos, trademarks, service marks, trade dress, copyrights and proprietary technology currently used or which may be developed and/or used by it in the future.

5.2.         Merchant grants Affiliate a revocable, non-exclusive, worldwide license to use, reproduce and transmit the name, logos, trademarks, service marks, trade dress and proprietary technology, as designated in the Engagement or during the registration process in The Pepperjam Network™, for use only in the form designated by Merchant on Affiliate's site solely for the purpose of creating links from Affiliate's site to Merchant's site during Engagements. Except as expressly set forth in this Agreement or permitted by applicable law, Affiliate may not copy, distribute, modify, reverse engineer, or create derivative works from the same. Affiliate may not sublicense, assign or transfer any such licenses for the use of the same, and any attempt at such sublicense, assignment or transfer is void.

5.3.         Affiliate grants Merchant a non-exclusive, non-transferable, revocable right to use Affiliate’s names, titles, and logos in the advertising, marketing, promoting, and publicizing in any manner of Merchant’s rights under this Agreement. Merchant is under no obligation to so advertise, market, promote, or publicize.

5.4.         Each party agrees not to use the other's proprietary materials in any manner that is disparaging or that otherwise portrays the party in a negative light. Each party reserves all of its respective rights in the proprietary materials covered by this license. Either party may revoke this license at any time by giving the other party written notice. Other than the license granted in this Agreement, each party retains all right, title, and interest to its respective rights and no right, title, or interest is transferred to the other.

5.5          Affiliate acknowledges that the maintenance of the high quality of the Merchant properties licensed herein, and the control by Merchant over the nature, quality, and manner of distribution and rendering of all Affiliate services related to said licensed properties, are material conditions of this Agreement.  Affiliate covenants and warrants that it undertakes specific obligations hereunder to maintain the quality of the Merchant properties in accordance with the Merchant’s standards, and that Merchant may terminate this Agreement pursuant to Section 3 hereof for any violation of Merchant’s quality control standards which are not promptly corrected by Affiliate upon notice by Merchant.

5.6          Any license granted herein is conditioned upon the licensee’s full and complete compliance with the marking provisions of the patent, trademark, and copyright laws of the United States.  Any Affiliate page, as well as all advertising and content thereof, shall include all appropriate legal notices and trademark attributions required by Merchant, and must comply with the Merchant’s requirements for the proper usage of said marks.  Such attribution shall be provided through commercially reasonable means including for example by using the following attribution line:  “TRX® and SUSPENSION TRAINING® are registered trademarks of Fitness Anywhere, Inc., and are used under license.”

6.            Termination.

6.1.         Either party may terminate any Engagement at any time by deleting their acceptance of the Engagement through The Pepperjam Network™. Termination of an Engagement shall not terminate this Agreement or any other Engagement.

6.2.         Either party may terminate this Agreement at any time, for any reason, provided that they provide at least one day's prior written notice of such termination to the other party and The Pepperjam Network™.  Written notice may be in the form of mail, email or fax.  Termination of this Agreement shall also terminate any outstanding Engagements. However, all rights to payment, causes of action and any provisions which by their terms are intended to survive termination, shall survive termination of this Agreement.

6.3          Upon termination of this Agreement for any reason, Affiliate will immediately cease use of, and remove from its site, all links to Merchants’ site, and all Merchant trademarks, trade dress and logos, and all other materials provided by or on behalf of Merchant to Affiliate pursuant hereto or any Engagement.

7.            Representations.

7.1.         Each party represents to the other that (a) it has the authority to enter into this Agreement and sufficient rights to grant any licenses granted hereby, and (b) any material which is
