Commissions:
- Advertiser reserves the right to not provide Commission on products deemed as key product launches, discontinued partnerships or any other reason Advertiser finds that a product should no longer be commissionable.
- All determinations of Qualifying Links (including but not limited to the validity of such) and whether Commission is payable will be made by Advertiser and will be final. Prices for the products will be set solely by Advertiser in its absolute discretion.
- If a previously commissionable product is no longer going to receive commission, all banners and text links for that product must be removed from the Media Partner's Website. Any banners and text links will be set to the default commission and affiliates will receive notification about the commission update.
Ownership and License
- Each party owns and retains all right, title and interest in its names, logos, trademarks, service marks, trade dress, copyrights, and proprietary technology currently used or which may be developed and/or used by it in the future.
- Advertiser grants to Media Partner a revocable, non-exclusive, non-sublicensable, royalty-free, and worldwide license to use, reproduce and transmit its names, logos, trademarks, services marks, and copyrights solely for the purpose contemplated in this EIO. Except as expressly set forth in this EIO,
- Media Partner may not copy, distribute, modify, reverse engineer, or create derivative works from the same.
- Media Partner shall only use the approved marketing materials produced by Advertiser that includes logos, marketing copies, technical specifications, banners, and product images.
Program Links and Ads
- Media Partner may only use the Admitad Platform tracking link / code obtained from the Admitad Platform interface without manipulation. Media Partner may publish tracking links in domains listed in your profile / website.
- If Media Partner is found redirecting links to hide or manipulate their original source, Media Partner's current and past commissions will be voided or Media Partner's commission level will be set to 0%.This shall not apply to using "out" redirects from the same domain where the Admitad Tracking link is placed.
- Promoting Advertiser through a sub-affiliate network is permitted, however Media Partner must be completely transparent with regards to where traffic from your sub-affiliates originated in order not to be in violation of the above restrictions.
Restrictions
- Media Partner shall be prohibited from the following:
- (a) Using language such as "official" or creating any ad copy that may appear that they represent Advertiser;
- (b) registering or using any domain name URL which includes the word “CHARLES & KEITH”, or any domain names that suggests and/or represents a connection, partnership and/or affiliation with Media Partner;
- (c) Using any variation of the Advertiser “CHARLES & KEITH” trademark(s) as their display URLs;
- (d) Using any form of technology, programming or scripting to display the contents of Advertiser in another website location including, but not limited to, the use of iframes;
- (e) Using any means to create the impression that Media Partner Website is the Advertiser
- Website or any part thereof, including but not limited to, framing of the Advertiser Website in any manner, or emulating the look and feel of the Advertiser Website;
- (f) Engaging in cookie stuffing or include pop-ups, false or misleading links on Media Partner Website, masking the referring url information (i.e. the page from where the click is originating);
- (g) Using redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain.
- (h) Bidding on the terms, misspellings, or derivations of the following: “CHARLES & KEITH”;
- (i) Outbidding Advertiser for the placement of any keywords with the “CHARLES & KEITH” trademark or any combinations/misspellings thereof, including broad matches. List includes but is not limited to the following keywords: CHARLES & KEITH Products, CHARLES & KEITH Promos, or any keywords provided to Media Partner in writing;
- (j) Bidding on the trademarked word "CHARLES & KEITH" in any manner, singularly or in any conjunction with, other characters or in combination with other words in the search that may result in a broad match of the word "CHARLES & KEITH" singularly;
- (k) Using the trademarked word "CHARLES & KEITH" in any titles, or the display URL of any paid ads;
- (l) Linking directly from search ads. All paid search ads must link to a Media Partner's Website landing page;
- (m) Posting your affiliate links on Advertiser's social media platforms, including but not limited to Facebook, Instagram, LinkedIn, TikTok etc;
- (n) Creating social media accounts that includes Advertiser's logos, trademarks, service marks, trade dress and copyrights as the page name and/or username.
Warranties
- Media Partner warrants the following:
- (a) If Media Partner is an individual, Media Partner is at least eighteen (18) years of age;
- (b) Media Partner and its representative is authorised and entitled to enter into this EIO;
- (c) Media Partner and Media Partner Website does not contain anything that would infringe on Advertiser or any third party’s Intellectual Property (as defined in the Master Campaign Agreement);
- (d) Media Partner and Media Partner Website shall not engage in any fraudulent activity;
- (e) Media Partner Website shall not violate any law, rule or regulation;
- (f) Media Partner Website does not contain any content that is threatening, harassing, defamatory, derogatory, obscene, harmful to minors, nudity, pornographic, sexually explicit materials, or any content that in Advertiser’s reasonable opinion, are harmful to the Advertiser’s image or reputation;
- (g) Media Partner Website does not contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information;
- (h) Media Partner Website does not contain software or use technology (including but not limited to toolbars, browser plugins, extensions and add-ons) that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of Media Partner commissions from another website.
Social Media Policy
- Media Partner may promote offers to Media Partner's own lists and social media platforms. By way of example, Media Partner may post, "25% off sale at Advertiser Website through Wednesday with code XXXX25" on its social media page.
- Media Partner shall manage all comments on Media Partner's platform.
- Where required by law, Media Partner shall include a disclosure statement within any and all pages, blog/posts, or social media posts where affiliate links for this affiliate program are posted as an endorsement or review, and where it is not clear that the link is a paid advertisement.
Amendments to EIO
- Advertiser reserves the right to amend this EIO. Advertiser will provide notice to Media Partner of any such amendments in writing, which for the avoidance of doubt may be provided via e-mail.
Reversal and Communication Policy
- Without prejudice to any of Advertiser’s rights in the EIO or any applicable law, Advertiser reserve the right to reverse orders or lead actions due to order cancellations, duplicate tracking, returns, disputed charges, suspected reseller activity, suspected fraudulent or illegal activity, and program violations as in this EIO.
- Media Partner shall respond to any requests for clarification or more information on any orders, lead actions, or clicks that Advertiser suspects may be in violation of this EIO in a timely manner. Any such response must be true to the best of Media Partner’s best knowledge and belief.
- Advertiser reserves the absolute right to reverse orders, set Media Partner's commission to 0% or suspend Media Partner from the program. It is incumbent upon each Media Partner to ensure that it has the appropriate checks and balances in place to proactively address issues and adhere to the terms of this EIO.
Violation of Terms
- Advertiser reserves the right to not pay Commission, suspend Media Partner or terminate this
- agreement immediately without notice if Media Partner breaches any terms and conditions contained in this EIO or the Master Campaign Agreement.
- Advertiser is under no obligation to inform violators of the above terms and conditions that they are being made inactive from the program.
Program Termination
- The Advertiser shall be entitled to terminate this Agreement immediately by providing Media Partner notice in writing, which for the avoidance of doubt may be provided via newsletter.
