PUMA Affiliate Agreement

These Marketer-Specific Terms (the “Agreement”) contains terms and conditions that apply to your participation as an Affiliate in PUMA's Affiliate Program through the Ascend by Partnerize platform and the establishment of links from your website to our website at us.puma.com. By submitting your Affiliate Application and participating in PUMA’s Affiliate program, you are confirming that you have read this Agreement and you agree to be bound by these terms and conditions. This Agreement supplements the agreement you have previously executed with Ascend by Partnerize. To the extent that any of the terms or conditions set forth in this Agreement conflict with those set forth in your agreement with  Partnerize, this Agreement shall govern.
1. Enrollment in PUMA’s Affiliate Program
To begin the enrollment process, you must submit a complete
Affiliate Application via our website through Ascend. Barring the existence of any “unsuitable” content on your site, your application may be accepted.
Unsuitable sites may include but are not limited to those that:
• Contain or promote any materials that, in PUMA’s sole judgment, are sexually explicit, pornographic in nature, promote violence, hate, discrimination or any other content not in alignment with PUMA’s Core Values;
• Misrepresent themselves as a PUMA website by using the “look and feel” of or text from our site;
• Include “PUMA” or variations or misspellings thereof in their domain names;
• Otherwise violate intellectual property rights of PUMA;
• Do not clearly state an online privacy policy to their visitors;
• Require downloads and/or unknowingly download software to visitors’ computers;
Our acceptance criteria are subject to change at any time without prior notice.
2. Offers
PUMA offers will be posted regularly on Ascend to pay Affiliates a specified referral fee on sales of PUMA products through a Qualifying Link. “Qualifying Link” means a link from your site to our site using one of the URLs or graphic links specified in the Offer and provided by PUMA (through Ascend) for use in the Program if it is the last link to our site that the Customer uses before purchasing a product on our site.
Links and corresponding banner advertisements will be communicated to our Affiliates through the Ascend Platform Newsletters. The terms of an Offer, as posted on Ascend or otherwise communicated to you, shall be governed by the terms and conditions of this Agreement. However, in the event of any inconsistency between the terms of the specific Offer and the terms of this Agreement, the terms of the Offer shall govern.
Upon request by PUMA, you agree to promptly implement any changes to links or banner ads
being used in connection with an Offer. You are only allowed to use PUMA promotion codes that are communicated specifically to you via Ascend on behalf of PUMA. PUMA codes not provided by PUMA are not commissionable and their use may result in termination from PUMA’s affiliate program.
3. Links on Your Site
PUMA will provide Qualifying Links through Ascend that will serve to identify your site as a member of the Program and will establish a link from your site to ours. PUMA may also provide banner ads for your use. You also agree that you will display in your site only those graphic images (indicating a Qualifying Link) that are provided by us, and you will substitute such images with any new images provided by us from time to time throughout the term of this Agreement. Affiliates will only be commissioned on sales tracked through Qualifying Links.
4. Search-Related Activity
Affiliates may not:
• Use the PUMA name, or any variation thereof, in any manner not expressly authorized by this Agreement;
• Use or otherwise incorporate the word “PUMA” or variations or misspellings thereof in the domain name(s) of your site(s), on any meta tags of Web pages comprising your site(s), in hidden text or source code, or in searchable keywords;
• Bid on keywords or keyword strings that contain “PUMA” or any PUMA brand terms in any Search Engine Marketing or Optimization activity, including but not limited to Google, Yahoo, Bing, Ask.com, etc. Prohibited keyword strings include those combining “puma” and generic keywords, for example: “puma sneakers”, “puma running shoes”, “puma mostro”;
• Engineer your site in a manner that presents itself as the “official PUMA site”
In addition, you agree to add PUMA brand terms as a negative to your search-engine campaigns to avoid broad/phrase matching.
Violation of any of the above terms may result in immediate termination from PUMA’s Affiliate Program. PUMA reserves the right to reverse commissions in case of a violation.
5. Other
• Affiliates may not modify any PUMA sites in any way. Any attempts to do so will result in termination from the PUMA Affiliate Program.
• Affiliates may not alter their sites to mimic any PUMA sites. Affiliates presenting their sites as “official” PUMA sites will be terminated from the PUMA Affiliate Program.
• Affiliates may not “scrape” or “spider” any PUMA sites for content (such as images, logos or text).
6. Commission
Commission can only be paid to partners when their shoppers click through to our site using a Qualifying Link and have enabled cookies on their browser.
PUMA pays members of our Affiliate Network a base comission rate of 5%. This structure may change at PUMA's descretion without notice. Commission structures for loyalty and content partners may be different and is determined on a case-by-case basis.

Commission caps may be implemented on bulk order purchases.

7. Agreement Compliance
PUMA has the right in our sole and absolute discretion to monitor your site regularly to determine if you are in compliance with the terms of this Agreement, and you agree to provide us with unrestricted access to your site for such purpose.
To permit accurate tracking, reporting and fee accrual, you must ensure that the links between your site and our site are properly formatted. PUMA is not responsible for improperly formatted links. PUMA is unable to track or provide credit for sales from customers with browsers that do not have cookies enabled.
8. Term and Termination
The term of this Agreement begins upon your acceptance into the PUMA Affiliate Program. This agreement may be terminated at any time by you or PUMA, with or without advance notice. If an Affiliate is found to be in violation with any of the terms and conditions outlined in this Agreement, the Affiliate may be terminated from the Program immediately.
Upon termination of this Agreement or as directed by Partnerize or PUMA, you will immediately cease use of, and remove from your site, all links to our site and all PUMA-related content.
9. Confidentiality
Except as otherwise provided in this Agreement or with our prior written consent, you agree that all information including, without limitation, the terms of this Agreement, our business and

Terms and Conditions

PUMA Affiliate Agreement

These Marketer-Specific Terms (the “Agreement”) contains terms and conditions that apply to your participation as an Affiliate in Shop.PUMA.ca’s Affiliate Program through the Pepperjam Network and the establishment of links from your website to our website at www.shop.PUMA.ca. By submitting your Affiliate Application and participating in PUMA’s Affiliate program, you are confirming that you have read this Agreement and you agree to be bound by these terms and conditions. This Agreement supplements the agreement you have previously executed with the Pepperjam Network. To the extent that any of the terms or conditions set forth in this Agreement conflict with those set forth in your agreement with the Pepperjam Network, this Agreement shall govern.
1. Enrollment in PUMA’s Affiliate Program
To begin the enrollment process, you must submit a complete
Affiliate Application via our website through the Pepperjam Network. Barring the existence of any “unsuitable” content on your site, your application may be accepted.
Unsuitable sites may include but are not limited to those that:
• Contain or promote any materials that, in PUMA’s sole judgment, are sexually explicit, pornographic in nature, promote violence, hate, discrimination or any other content not in alignment with PUMA’s Core Values;
• Misrepresent themselves as a PUMA website by using the “look and feel” of or text from our site;
• Include “PUMA” or variations or misspellings thereof in their domain names;
• Otherwise violate intellectual property rights of PUMA;
• Do not clearly state an online privacy policy to their visitors;
• Require downloads and/or unknowingly download software to visitors’ computers;
Our acceptance criteria are subject to change at any time without prior notice.
2. Offers
PUMA offers will be posted regularly on the the Pepperjam Network to pay Affiliates a specified referral fee on sales of PUMA products through a Qualifying Link. “Qualifying Link” means a link from your site to our site using one of the URLs or graphic links specified in the Offer and provided by PUMA (through the Pepperjam Network) for use in the Program if it is the last link to our site that the Customer uses before purchasing a product on our site.
Links and corresponding banner advertisements will be communicated to our Affiliates through the Pepperjam Network Newsletters. The terms of an Offer, as posted on the the Pepperjam Network or otherwise communicated to you, shall be governed by the terms and conditions of this Agreement. However, in the event of any inconsistency between the terms of the specific Offer and the terms of this Agreement, the terms of the Offer shall govern.
Upon request by PUMA, you agree to promptly implement any changes to links or banner ads
being used in connection with an Offer. You are only allowed to use PUMA promotion codes that are communicated specifically to you via the the Pepperjam Network on behalf of PUMA. PUMA codes not provided by PUMA are not commissionable and their use may result in termination from PUMA’s affiliate program.
3. Links on Your Site
PUMA will provide Qualifying Links through the the Pepperjam Network that will serve to identify your site as a member of the Program and will establish a link from your site to ours. PUMA may also provide banner ads for your use. You also agree that you will display in your site only those graphic images (indicating a Qualifying Link) that are provided by us, and you will substitute such images with any new images provided by us from time to time throughout the term of this Agreement. Affiliates will only be commissioned on sales tracked through Qualifying Links.
4. Search-Related Activity
Affiliates may not:
• Use the PUMA name, or any variation thereof, in any manner not expressly authorized by this Agreement;
• Use or otherwise incorporate the word “PUMA” or variations or misspellings thereof in the domain name(s) of your site(s), on any meta tags of Web pages comprising your site(s), in hidden text or source code, or in searchable keywords;
• Bid on keywords or keyword strings that contain “PUMA” or any PUMA brand terms in any Search Engine Marketing or Optimization activity, including but not limited to Google, Yahoo, Bing, Ask.com, etc. Prohibited keyword strings include those combining “puma” and generic keywords, for example: “puma sneakers”, “puma running shoes”, “puma mostro”;
• Engineer your site in a manner that presents itself as the “official PUMA site”
In addition, you agree to add PUMA brand terms as a negative to your search-engine campaigns to avoid broad/phrase matching.
Violation of any of the above terms may result in immediate termination from PUMA’s Affiliate Program. PUMA reserves the right to reverse commissions in case of a violation.
5. Other
• Affiliates may not modify any PUMA sites in any way. Any attempts to do so will result in termination from the PUMA Affiliate Program.
• Affiliates may not alter their sites to mimic any PUMA sites. Affiliates presenting their sites as “official” PUMA sites will be terminated from the PUMA Affiliate Program.
• Affiliates may not “scrape” or “spider” any PUMA sites for content (such as images, logos or text).
6. Commission
Commission can only be paid to Affiliates when their shoppers click through to our site using a Qualifying Link and have enabled cookies on their browser.
PUMA pays members of our Affiliate Network on a tiered structure for “regular” sales. This structure may change at PUMA’s discretion without notice.
• Monthly sales between $0 and $10,000 – 8% commission
• Monthly sales between $10,001 and $25,000 – 9% commission
• Monthly sales of $25,001 and above – 10% commission
The commission structure for Loyalty and Rewards sites may be different and is determined on a case-by-case basis.
Commission will change from the above to a standard, flat commission of 6% during PUMA Friends & Family Events or any other program in which PUMA is offering a deep discount. Change in commission during such periods will be communicated via the Pepperjam Network Newsletter.
7. Agreement Compliance
PUMA has the right in our sole and absolute discretion to monitor your site regularly to determine if you are in compliance with the terms of this Agreement, and you agree to provide us with unrestricted access to your site for such purpose.
To permit accurate tracking, reporting and fee accrual, you must ensure that the links between your site and our site are properly formatted. PUMA is not responsible for improperly formatted links. PUMA is unable to track or provide credit for sales from customers with browsers that do not have cookies enabled.
8. Term and Termination
The term of this Agreement begins upon your acceptance into the PUMA Affiliate Program. This agreement may be terminated at any time by you or PUMA, with or without advance notice. If an Affiliate is found to be in violation with any of the terms and conditions outlined in this Agreement, the Affiliate may be terminated from the Program immediately.
Upon termination of this Agreement or as directed by the Pepperjam Network or PUMA, you will immediately cease use of, and remove from your site, all links to our site and all PUMA-related content.
9. Confidentiality
Except as otherwise provided in this Agreement or with our prior written consent, you agree that all information including, without limitation, the terms of this Agreement, our business and
financial information, our customer lists, and our pricing and sales information, shall remain strictly confidential and shall not be utilized, directly or indirectly, by you for your own business purposes or for any other purpose except and solely to the extent that any such information is generally known or available to the public through a source or sources other than you or your affiliates.
