Terms and Conditions
Automated Pet Care Products, LLC (“Whisker,” “we” and “our”) recognizes that our brand advocates are a hugely important part of our company’s growth. The Whisker Affiliate Program (“Affiliate Program”) is our way of saying thank you and offering approved brands, influencers, and websites (collectively, “Affiliates,” and individually, “Affiliate,” “you” and “your”) an opportunity to earn Program Rewards (“Rewards”) for sharing our brand with their audience.

Our Affiliate Program is managed through a 3rd party Software as a Service (“Service Provider”) created and administered by Pepperjam, LLC. As an Affiliate, you will be required to open an account with Service Provider (your “Affiliate Account”) in order to track your performance and Rewards. Whisker will not be held liable for Affiliate Program account issues (loss of Rewards, deletion of account, etc.) that are a result of the program and technology created and administered by Pepperjam, LLC or any action by you, such as failure to use your Affiliate link or your loss of access to your Affiliate Account.

In addition to the terms and conditions set forth by the Service Provider, Affiliates must agree to the following Terms and Conditions in order to participate in our Affiliate Program, as updated from time to time by Whisker upon notice by email to you. We reserve the right to terminate the Affiliate, at any time and at our discretion, from participating in the Affiliate Program.

Campaigns
“Campaigns” and unique “Campaign Rules” are defined at the Campaign level of the Affiliate Program and viewable in your Affiliate Account. Whisker determines the number of Campaigns and defines the Campaign Rules for each Campaign and reserves the right to change, edit, and alter any and all Campaign Rules at any time, without notice to Affiliate other than posting of the revised Campaign Rules in the Affiliate Program platform. It is the responsibility of the Affiliate to read, understand and stay up to date on the Campaign Rules. Failure to do so may result in loss of reward or termination of account(s).

Rewards
Rewards are defined at the Campaign level of the Affiliate Program and viewable in the Affiliate Account. Whisker determines the amount of each Campaign Reward and reserves the right to change, edit, alter, and terminate any and all Rewards at any time, without notice to the Affiliate.

Qualified and approved monetary Rewards are issued on or around the first (1st) and fifteenth (15th) day of each month, excluding holidays, from the prior month’s approved and qualified referrals. Monetary Rewards will only be paid via PayPal through the Service Provider. The Affiliate must have an active PayPal account associated with an email address, which is entered into the PayPal email address field in their Affiliate Program Affiliate account to receive Reward. Whisker will not be held liable for any issues with Affiliate’s PayPal account (loss of Rewards, suspension or deletion of account, etc.) that are a result of the program and technology administered by PayPal or any action by you, such as loss of access to your PayPal account.

Each monetary Reward is reviewed during business hours, Monday through Friday, 9am to 4pm ET, for adherence to these Terms and Conditions.

Qualifying Referrals
In order to qualify for Rewards, each customer referred by Affiliate through the Affiliate Program must meet each of the following qualifications:
1. Referred customer is not a past or present customer, meaning he or she must not have previously registered a Litter-Robot, Whisker, or Litterbox.com account and/or have previously been a registered Litter-Robot, Whisker, or Litterbox.com customer, including without limitations, under any other names, email addresses or aliases;
2. Referred customer used Publisher’s unique affiliate link to make a qualified purchase;
3. Referred customer must not be the Publisher, must hold different identifying information than the Publisher whose unique affiliate link was used to initiate the order, and must not live in same household and/or have the same billing or shipping address of Publisher;
4. Referred customer purchased a new, not reconditioned, qualifying Litter-Robot

A referral and order that meets each of the foregoing conditions is referred to herein as a “Qualified Referral.”

If the referred customer does not click on the Affiliate’s link to make their purchase, Affiliate will not receive Rewards and Whisker has no liability to fulfill the Rewards as there is no discernible way to identify that the purchase resulted from the Affiliate’s referral. It is Affiliate’s sole responsibility to ensure its Affiliate link is used in connection with all potential Qualified Referrals.

Prohibited Activities

We reserve the right to revoke or refuse to issue any Rewards for Qualified Referrals that we, in our sole discretion, suspect were generated through fraud, unauthorized channels and/or other prohibited activities and the same will be grounds for immediate termination of your Affiliate account and exclusion from Whisker Affiliate Program. Purchases from Litter-Robot or Litterbox.com made through affiliate links that were distributed through an unauthorized channel will not be deemed Qualified Referrals. Any Rewards issued as a result of these transactions will be revoked.

Prohibited activities and unauthorized channels include, but are not limited to:
● The unique affiliate link should not be shared to commercial websites (Reddit, etc), personal websites, or coupon websites. ● Affiliates are strictly prohibited from listing Litter-Robot or Litterbox.com products for sale on the internet, on their own websites, or through other channels such as, but not limited to Amazon.com, Ebay.com, and Craigslist.com. ● Creating a website with the intentions of promoting your unique Affiliate link. ● Using coupon/discount websites to promote your unique Affiliate link. ● Using Google Adwords or similar services to gain traffic to a unique Affiliate link. ● Using internet marketing techniques to promote your unique Affiliate link. ● Affiliates are strictly prohibited from sharing their unique affiliate link alongside any form of Litter-Robot or Litterbox.com official communications, including, but not limited to, all social media channels and profiles maintained by the Litter-Robot or Litterbox.com brands. ● ‘Spam’ Email - Any distribution of your unique affiliate link by means of bulk email and/or means that would be considered unsolicited, commercial, or “spam” email, under any applicable law or regulation, is strictly prohibited. ● Affiliates are strictly prohibited from creating additional redirects to Affiliate links, except under special circumstances when given prior written permission by a Whisker employee.

Unauthorized Language
Using language, outside of the provided and approved promotional language, that describes receiving a discount to promote and/or share your affiliate link is strictly prohibited. For example, use of the terms “coupon,” “discount,” “promo,” “promotional,” and “promo code” to promote your Affiliate Link are not allowed and no Rewards will be generated for any Qualified Referrals resulting from your use of such language. Any content used in Affiliate YouTube descriptions, Social Profiles, websites, blogs, etc, that include these terms must be edited to reflect this rule or you risk being terminated from the Affiliate Program.

Authorized Language
Iterations of ‘$25 off’ and ‘Save $25’ may be used to promote and/or share your affiliate link.

Changes to Program
Whisker reserves the right to cancel the Affiliate Program or change these Terms & Conditions at any time in its sole discretion. In the event of cancelation of the Affiliate Program, any unclaimed Rewards will be forfeited at that time.

Assumption of Risk
You knowingly and freely assume all risk when using the Affiliate Program. You, on behalf of yourself, your personal representatives, and your heirs, voluntarily agree to release, waive, discharge, hold harmless, defend, and indemnify Whisker and its stockholders, officers, directors, employees, agents, affiliates, consultants, representatives, sublicensees, successors, and assigns (collectively, the "Company Parties") from any and all claims, actions, or losses for bodily injury, property damage, wrongful death, emotional distress, loss of privacy, or other damages or harm, whether to you or to third parties, that may result from your use of the Service.

Termination
Without limiting any other provision of these Terms & Conditions, Whisker reserves the right to, at any time, terminate the account(s) of any active Affiliate and/or referred customer and to cancel all related Rewards and request proper payment should Whisker determine, in its sole and absolute discretion, that Affiliate has tampered with the Affiliate Program or used or attempted to use the program in an abusive, unethical, unsportsmanlike or otherwise questionable or suspicious manner or Affiliate has breached these Terms & Conditions or engaged in fraud, dishonesty, or any other misconduct that causes harm to Whisker (collectively, “Fraud”). If Whisker determines that the Affiliate has engaged in Fraud, the Affiliate will forfeit its entire reward for its account and will be terminated immediately.

Disputes; Governing Law
Binding Arbitration
If you and Whisker cannot resolve through negotiations a Claim or other dispute, including regarding your participation in the Affiliate Program or your use of Whisker’s websites, either party may elect to have the Claim or dispute finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other(s). You acknowledge that without this provision, you would have the right to sue in court with a jury trial or to participate in a class action.

The arbitration shall be commenced and conducted through JAMS (www.jamsadr.org) under the Streamlined Rules, as modified by this agreement to arbitrate. All remedies available to the parties under applicable federal, state or local laws shall remain available in arbitration. The parties shall each participate in the selection of a neutral arbitrator pursuant to the Streamlined Rules. Unless you and the Whisker agree otherwise in writing, the final arbitration hearing shall take place in person at the JAMS facility located in or nearest to your city of residence. If JAMS is unavailable to arbitrate a dispute or claim, you and Whisker agree to arbitrate using an alternative arbitral forum. Regardless of the outcome of the arbitration, you and Whisker will each pay your own attorneys’ fees and costs unless an award of attorneys’ fees is available under applicable statute. The arbitrator’s award will consist of a written statement stating the disposition of each Claim. The award will also provide a concise written statement of the essential findings and conclusions on which the award is based. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Either party may litigate to compel arbitration in a Court of Competent Jurisdiction, to stay proceedings pending arbitration, or to modify, confirm, vacate, or enter judgment on the award entered by the arbitrator.

Restriction Against Joinder of Claims
You and Whisker agree that any arbitration shall be limited to each Claim individually. You and Whisker agree that each may bring claims against the other in your or Whisker's individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Remedies in Aid of Arbitration; Equitable Relief
This agreement to arbitrate will not preclude you or Whisker from seeking provisional remedies in aid of arbitration, including without limitation orders to stay a court action, compel arbitration, or confirm an arbitral award, from a Court of Competent Jurisdiction. "Court of Competent Jurisdiction" means any federal or state court: (1) that has jurisdiction over the subject matter; and (2) that is located in Oakland County, Michigan.

Choice of Law; Venue for any Judicial Proceeding
This Agreement, including without limitation this Agreement's interpretation, shall be treated as though this Agreement were executed and performed in the State of Michigan, and shall be governed by and construed in accordance with the laws of the State of Michigan without regard to its conflict of law principles. The language in this Agreement shall be interpreted in accordance with its fair meaning and not strictly for or against either party. The proper venue for any judicial action arising out of, relating to, or in connection with this Agreement will be the state and federal courts located in or nearest to Oakland County, Michigan. The parties stipulate to, and agree to waive any objection to, the personal jurisdiction and venue of such courts, and further expressly submit to extraterritorial service of process.

Proprietary Rights
Affiliate agrees that it does not have, nor will it claim, any right, title, or interest in the Affiliate Program, the tracking platform, advertising creative provided by Whisker, Whisker’s copyrights (including product photos), Whisker’s websites, Whisker’s trademarks and trade names (including, without limitation, LITTER-ROBOT, WHISKER, AND LITTERBOX.COM), or any underlying technology, software, applications, data, methods of doing business, or any elements thereof. Affiliate may only access Whisker’s websites via web browser, email, or in a manner approved by Whisker. Affiliate shall not attempt in any way to alter, modify, eliminate, conceal, or otherwise render inoperable or ineffective the Whisker’s website tags, source codes, links, pixels, modules, or other data provided by or obtained from Whisker that allows Whisker to measure ad performance and provide the Affiliate Program. In addition, Affiliate acknowledges that all Affiliate Program data and metrics, including but not limited to non-public information, data, statistics, analytics and reports received by Affiliate from Whisker as part of the Affiliate Program are proprietary to and owned by Whisker, even if Affiliate’s advertising activity contributed in some part thereto. If instructed to do so by Whisker, Affiliate will immediately destroy and discontinue the use of any such Affiliate Program data and any other material owned by Whisker.

Confidential Information
Each party agrees to use the other party’s Confidential Information solely for the purposes contemplated by this Agreement, and to refrain from disclosing the other party’s Confidential Information to any third-party, unless (a) any disclosure is necessary and permitted in connection with the receiving party’s performance of its obligations or exercise of its rights under this Agreement or any other agreement between the parties; (b) any disclosure is required by applicable law; provided, that the receiving party uses reasonable efforts to give the disclosing party reasonable advance notice thereof so as to afford the disclosing party an opportunity to intervene and seek an order or other appropriate relief for the protection of its Confidential Information from any unauthorized use or disclosure; or (c) any disclosure is made with the consent of the disclosing party. For the purposes of this Agreement, “Confidential Information” includes, without limitation, the terms of this Agreement (including the value and quantity of Rewards) and information regarding any existing or contemplated Whisker services, products, processes, techniques, or know-how, or any information or data developed as part of the Affiliate Program.

Representations and Warranties; Indemnification
Representations. Affiliate represents and warrants that: (i) Affiliate has all necessary rights and authority to enter into this Agreement and to place advertisements on its website(s), social media accounts, through its personal email address, or those of its advertising partners (collectively, the “Affiliate Media”); (ii) Affiliate owns and/or has the right to use all materials contained on Affiliate Media; (iii) the Affiliate Media and the content contained on the Affiliate Media will not infringe or violate the patents, copyrights, trademarks, rights of publicity, defamation, rights of privacy, moral rights, music performance or other music-related rights, or any other right of any third party; (iv) the Affiliate will not violate any applicable foreign or domestic, federal, state, or local statutes, laws, ordinances, rules and regulations, or industry standards, including without limitation, the CAN-SPAM Act of 2003 (“CAN-SPAM”), California’s Anti-Spam Act, Cal. Bus. & Prof. Code §§ 17529 et seq. (“California’s Anti-Spam Act”), Canada’s Anti-Spam Law (“CASL”), the Telephone Consumer Protection Act, 47 U.S.C. §§ 227 et seq. (“TCPA”), the California Automatic Renewal Law, the Federal Trade Commission Act (“FTC Act”), all FTC rules, regulations, and guidelines, applicable credit card merchant guidelines, the Utah and Michigan “Child Protection Registry” laws, the General Data Protection Regulation (EU) 2016/679 ("GDPR"), the United Kingdom Data Protection Act of 1998 (as amended) (“UK Data Protection Act”), and the California Consumer Privacy Act (the “CCPA”); and (v) Affiliate has all necessary rights, certificates, licenses, and registrations to operate its business within its jurisdiction and has and will maintain all such licenses and registrations in good standing and has and will comply with all rules and regulations specific to its industry. To be clear, Affiliate represents and warrants that it knows, understands, and complies with all applicable laws in both the jurisdiction where Affiliate is located and the jurisdiction(s) in which Affiliate conducts its advertising activities.

Indemnification. Affiliate, on its own behalf, and on behalf of its respective third-party partners, affiliates, directors, employees, agents, successors, and assigns (collectively, the “Indemnitor”) will defend, indemnify, and hold harmless Whisker and its affiliated entities, directors, employees, agents, successors and assigns (collectively, the “Indemnitee”) from and against all claims, actions, losses, liability, damages, costs, and expenses (including reasonable attorneys’ fees and expenses) (collectively, “Claims”) arising from or related to: (i) any negligent act or omission by Indemnitor, including any Fraud; (ii) any breach of this Agreement by the Indemnitor; (iii) any breach by Indemnitor of any Campaign-Specific Terms; (iv) any violation or alleged violation by Indemnitor of any applicable foreign or domestic, federal, state, or local statutes, laws, ordinances, rules and regulations, or industry standards, including without limitation, CAN-SPAM, California’s Anti-Spam Act, CASL, the TCPA, the FTC Act, all FTC rules, regulations and guidelines, the CCPA, the GDPR and the UK Data Protection Act; and (v) any violation or alleged violation by Indemnitor of the rights of any third party. The Indemnitee will provide Indemnitor with prompt written notice of the Claim for which the Indemnitee intends to claim such indemnification, and Indemnitor shall have the right to participate in, and, to the extent the Indemnitor so desires, to assume sole control of the defense thereof with counsel selected by the Indemnitor; provided, however, and notwithstanding the foregoing, that the Indemnitee shall have the absolute right to retain their own counsel, with the fees and expenses to be paid by the Indemnitee. Indemnitor will have no authority to stipulate to any judgment or settle any Claim on the Indemnitee’s behalf without the written consent of the Indemnitee. Nothing in this Section shall limit any other remedy of the Parties. These obligations will survive any termination of the Agreement.

DISCLAIMER OF WARRANTY
WHISKER HEREBY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY WARRANTY THAT AFFILIATE WILL GENERATE REWARDS THROUGH THE AFFILIATE PROGRAM. THE AFFILIATE PROGRAM AND ALL ADVERTISING CREATIVE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHISKER EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE CREATIVE, THE AFFILIATE PROGRAM, THE TRACKING PLATFORM, CAMPAIGNS, ADVERTISEMENTS, AND PRODUCTS AND SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WHISKER DISCLAIMS ALL WARRANTIES THAT THE AFFILIATE PROGRAM WILL MEET AFFILIATE’S REQUIREMENTS OR EXPECTATIONS AND THAT THE OPERATION OF THE AFFILIATE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE.

LIMITATION OF LIABILITY.
EXCEPT AS TO AFFILIATE’S INDEMNIFICATION OBLIGATIONS, TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY SPECIAL, INCIDENTAL, INDIRECT, STATUTORY OR CONSEQUENTIAL DAMAGES (INCLUDING LOST REVENUE OR PROFITS) RESULTING FROM, ARISING OUT OF, OR RELATED TO ITS PERFORMANCE OR FAILURE TO PERFORM ANY OF ITS OBLIGATIONS UNDER, OR BREACH OF, THIS AGREEMENT, WHETHER OR NOT THE OTHER PARTY HAS BEEN ADVISED, KNEW, OR SHOULD HAVE KNOWN, OF THE POSSIBILITY OF SUCH DAMAGES.

Miscellaneous
Entire Agreement. This Agreement, together with any other Campaign-specific terms, constitutes the entire agreement between the parties and supersedes all prior agreements or understandings between the parties, whether written or oral. If, as a technical requirement of providing the Affiliate Program or vetting Affiliate, Whisker is required to accept terms and conditions on Affiliate’s website or mobile app, such terms shall be of no binding effect and shall not modify this Agreement or the parties’ relationship.

Assignment. Except in connection with a merger, acquisition, or sale of all or substantially all of Affiliate’s assets related to this Agreement, Affiliate may not assign this Agreement and its rights and obligations hereunder, and any attempted assignment in contravention of this provision shall be null and void and of no force or effect. Whisker may assign this Agreement, and any and all rights granted hereunder, in its sole discretion, at any time, without Affiliate’s consent.

Waiver. Except as provided herein, the failure to exercise a right or require performance of an obligation under this Agreement shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute waiver of any subsequent breach. If any provision of this Agreement is held to be invalid or unenforceable with respect to a party, the remainder of this Agreement, or the application of such provision to persons other than those to whom it is held invalid or unenforceable, shall not be affected, and each remaining provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law.

Independent Contractors. The relationship of the parties under this Agreement is one of independent contractors and nothing herein should be construed to constitute the parties as partners, joint ventures, agent and principal or employer and employee. Nothing herein will give either party any right or authority to bind the other, and neither party will bind the other to any obligation to any third party. This Agreement will be binding upon and will inure to the benefit of the parties, their successors, and permitted assigns.

Independent Counsel. Each party acknowledges and agrees that this is a business-to-business agreement and that the party has had the opportunity to seek the advice of independent legal counsel and has read and understood all of the terms and conditions of this Agreement. This Agreement shall not be construed against either party by reason of its drafting.

Force Majeure. Neither party shall be deemed in default of this Agreement to the extent that performance of its obligations or attempts to cure any breach are delayed or prevented by reason of any act of God, fire, natural disaster, accident, riots, acts of government, shortage of materials or supplies, or any other cause beyond the reasonable control of such party.
