LogoMaker Now Affiliate Program Terms & Conditions: October 2018

These special terms and conditions (these "Ts&Cs"), together with our Detail Page, make up the Logomix brands (LogoMaker.com) affiliate program terms (collectively, "Program Terms"). "We", "Us" and "Our" refers to all Logomix brands and "You" and "Your" refers to the publisher that joins Our affiliate network. By becoming Our affiliate, You accept all of the terms and conditions comprising the Program Terms and You acknowledge that any breach of the Program Terms constitutes grounds for termination for cause ("Cause") and we will have EBAY ENTERPRISE terminate Your participation in this Program on not more than one business days; prior notice.

Commission Payouts - Eligibility:

The following are not eligible for commission payout:

-A transaction for which We do not receive payment, We are required to refund a payment to the Visitor or is deemed fraudulent.
-Any transaction that does not expressly meet all criteria in these Ts&Cs or any other portion of our Program Terms
-A non-bonafide transaction (such as promoting LogoMix in a way that misleads a visitor and/or causes Transactions to be made that are not in good faith, including, but not limited to, using any device, program, robot, iframes, or hidden frames)
-Any other transaction that violates Your Publisher Service Agreement with EBAY Enterprise, any of these Ts&Cs or any other portion of our Program Terms

In addition, if you breach any of Our Program Terms, We have the right (but not the obligation) to "reverse" transactions so that you will not receive a commission payout.

Commissions Earned and Payable:

Commission payouts will be earned and payable based on product net product sales proceeds, not gross, which excludes taxes, shipping and handling costs, any other miscellaneous costs for the Transactions that are passed through to the buyer and all non-commissionable events listed in our Program Terms.

Search
You are prohibited from bidding on or otherwise purchasing (a) the brand names Logomix, FreeLogoSerivces, PrintingNow, LogoMaker and their dot com [removed] versions, (b) any product brand names owned by Logomix brands, or (c) misspellings, typographical errors, or confusingly similar names of any of the foregoing (clauses (a), (b) and (c) being referred to collectively as "LogoMix Brand Names" for any purpose, including, without limitation, search engine positioning, social media pages or in the context of any social media marketing campaign.

You are prohibited from using any Logomix Brand Names directly or indirectly in any means of artificially enhancing natural search rankings, including, without limitation, metatags, or hidden text or source code.

You are prohibited from search bidding (period). If You violate this search policy prohibiting bidding, your publisher account will be terminated and you will forfeit all unpaid commissions earned.

Social Media

You are prohibited from using any of the LogoMix Brand Names on any social media or social networking tools and sites in any manner to appear like or represent our corporate brand. You are also prohibited from creating groups or specific web pages (in social communities) solely around Our offers. You are prohibited from spamming or participating in any other acts that We deem inappropriate with regards to social media or social networks. However, You are not prohibited from talking about Us or any of the LogoMix Brand Names in social media or social networking tools in conjunction with other content or in conjunction with other LogoMix brands and We encourage You to do so.

You must adhere to all the editorial guidelines and search advertising terms and conditions set forth by each search engine (Google, Yahoo, MSN & Ask), including any updates to those terms in the future. Where search engine guidelines and these Terms and Condition conflict, You must follow these Terms and Conditions.

Marketing: You are prohibited from using any of the LogoMix Brand Names in a press release or any other marketing or promotional material without Our prior written consent in Our sole and absolute discretion.

Intellectual Property: You will not (i) use or display any of Our logos or other intellectual property in any form other than the form that we deliver to You from time to time, or in any location other than Your website, or for any purpose other than participation in Our affiliate network in accordance with the Program Terms; or (ii) modify or create derivative works of any kind with respect to all or any portion of the LogoMix brands Trade Names; or (iii) obscure or minimize any copyright, trademark, or other proprietary notices required or requested by Us from time to time in connection with any of the LogoMix Brand Names. You will not use or display the Trade Names in any way to imply any endorsement, affiliation, partnership or other business relationship other than for the limited purpose of participation in Our affiliate network in accordance with the Program Terms.

Content
From time to time, We may deem it necessary to request exact and/or specific content changes to Your pages in the interests of Search Engine Optimization or trademark, or legal or content correction issues, including, without limitation, requests for picture changes, link text changes, or title tag changes. You agree to make these changes within 48 hours of request.

You are prohibited from representing or characterizing any content used in connection with or otherwise related to Your participation in Our program (other than the content provided to You by Us) as being prepared or endorsed by Us.

Our image needs to be kept in mind at all times. The LogoMix Trade Names cannot be associated in any manner whatsoever with any vulgar, racist, sexual or any other content that We deem offensive.

You will be solely responsible for any claim by a third party that all or any portion of Your website or any content used in connection with or otherwise related to Your participation in Our program (other than the LogoMix Brand Names or other materials that We deliver to You) infringes or misappropriates any patent, copyright, trade secret or other proprietary or intellectual property right.

Payment Obligations: Upon Our fulfilling all of Our fee/payment obligations to EBAY ENTERPRISE and if We have paid EBAY ENTERPRISE for Payouts due to You, You agree not to seek payment from Us and You release Us from all liability for those Payouts.

Sub-affiliates: We do NOT allow any sub-affiliates within these Ts&Cs and Our other Program Terms.
Publisher Service Agreement: You agree to comply with all of the provisions of the Publisher Service Agreement and acknowledge that We are third party beneficiaries to certain sections of the Publisher Service Agreement with the right to enforce those certain sections.
Misleading Advertising: You must not use any misleading or deceptive claims in advertising copy. You are solely responsible for following all federal, state and local laws, regulations and rules regarding advertising claims, including but not limited to the Federal Trade Commission's Dot Com Disclosure Guidelines (http://www.ftc.gov/bcp/edu/pubs/business/ecommerce/bus41.pdf) and Guidelines on the Use of the Word Free (http://www.ftc.gov/bcp/guides/free.htm)

Spyware and Phishing: You must not use spyware, bots or other technologies to (1) redirect automatically a consumer's browser to a site owned or operated by You without the consumer's knowledge or (2) fraudulently make it appear as though links to Our sites are coming from sites owned or operated by You when in fact they are coming from other sites not owned or operated by You.

You must not use sites owned or operated by You for phishing schemes designed to fraudulently collect personal information from consumers. In addition, You must not knowingly or negligently allow sites owned or operated by You to be used by others for such phishing schemes.
Termination: You acknowledge and agree that We have the right to terminate Your participation in Our affiliate network at any time upon seven (7) days'; prior notice and sooner than that for Cause, and You may terminate at any time by using the automated system within the EBAY ENTERPRISE Network to drop the Program. After termination by either party, (i) You are not entitled to receive a Payout for any transaction that is initiated through Your website after termination, (ii) You are not entitled to receive any payout, fee or other compensation from Us of any kind or nature at any time in connection with any business that we may conduct with any visitor to Your website, and (iii) You will promptly remove from Your website all LogoMix brand Trade Names and any and all other materials that We have provided You in connection with the affiliate network.

Confidentiality: You and Your sub-affiliates agree to keep and hold any and all information about Us confidential ("Confidential Information") and agree: (i) to use Confidential Information only for the performance of Your obligations under this Agreement; (ii) to use the same degree of care You utilize to protect Your own confidential information, but in no event less than reasonable and prudent care in accordance with industry best practices; and (iii) that Confidential Information may be disclosed only to employees, agents and contractors with a need to know, and who are under a written obligation to keep such information confidential using standards of confidentiality not less restrictive than these Ts&Cs.
Confidential Information shall not include information that (a) is or becomes part of the public domain through no act or omission of Yours or any of Your officers, directors, employees, agents, or contractors, (b) is lawfully received by You from a third party that is not subject to any restriction on use or disclosure and without breach of this Agreement or any other agreement and without knowledge by the receiving party of any breach of fiduciary duty, or (c) that You had in Your possession free of any obligation of confidentiality prior to the date of this Agreement without knowledge of any breach of fiduciary duty or obligation of confidentiality. You agree that We may be irreparably injured by a breach of this provision and that We will be entitled to obtain equitable relief, including injunctive relief and specific performance, in the event of any such breach. You waive any requirement for Us to post a bond in an action for specific performance, or for a temporary or permanent injunction, to enforce this provision. These remedies are not the exclusive remedies for a breach of this provision, but are in addition to all other remedies available to Us at law or in equity.

Indemnification: You agree to indemnify, defend and hold Us harmless from and against any and all claims, losses, damages, liabilities, costs and expenses arising from or in connection with Your breach of any of the Program Terms.
