We may reject your application at our sole discretion. We may also cancel your application if we determine that your site is unsuitable for our Program, or if content includes one of the following characteristics:

Relationship of Parties

The Affiliate and FOSSIL are independent contractors. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. The Affiliate has no authority to make or accept any offers or representations on behalf of FOSSIL.

Termination

Either party may terminate the Agreement, with or without cause at any time, for any reason or no reason at all, with or without notice. FOSSIL payment obligations for any commission amounts cease at the time of termination of this Agreement, regardless of which party initiates termination.

Modification

FOSSIL may modify any of the terms or conditions contained in this Agreement at any time by posting a change notice or new Affiliate Agreement on its partner program. Modifications may include, but are not limited to, changes in the scope of available referral fees, fee schedules, payment procedures and program rules. IF ANY MODIFICATION IS UNACCEPTABLE TO AFFILIATE, AFFILIATE'S ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT IN ACCORDANCE WITH SECTION “TERMINATION” HEREOF. AFFILIATE'S CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING THE POSTING OF A CHANGE NOTICE OR NEW AFFILIATE WILL CONSTITUTE AFFILIATE'S ACCEPTANCE OF THE CHANGE.
