TERMS AND CONDITIONS

SUMMARY

This agreement describes the terms and conditions for the FieldSupply.com Affiliate Program. The terms "you", "your", "affiliate(s)" refers to you and "we", "our" refers to FieldSupply.com. By submitting an application to join our affiliate program, you agree to the terms and conditions that are stated in this agreement.

TERM OF DURATION

The terms and conditions stated in this agreement will begin once we accept your affiliate application and will end when either party terminates the affiliate relationship.

AFFILIATE ACCOUNT INTERFACE

Each FieldSupply.com affiliate will have access to an affiliate account interface. Access to this account interface will be granted with the username and password that the affiliate creates when submitting the affiliate application once FieldSupply.com approves the affiliate's application. Within the account interface, affiliates will be able to set up links and generate codes for banner advertisements. Affiliates will also have the option to run reports and update their personal profile.

AFFILIATE LINKS & TRACKING  

Each affiliate will be assigned a unique affiliate ID that will be embedded into all links that are generated from the FieldSupply.com Affiliate Interface. This unique affiliate ID will be used for order tracking purposes. All affiliate links will have a 30-Day cookie.

AFFILIATE COMMISSIONS

You will receive an affiliate commission for every "shipped" order that is received from your FieldSupply.com affiliate links. A "shipped" order is defined as an order that has be sent via your FieldSupply.com affiliate link which has been processed and shipped to the customer. There may be times when "shipped" orders are changed to a "cancelled" status. This occurs when a customer cancels that order. You will not receive commissions on orders that have changed from a "shipped" status to a "cancelled" status. In other words, you will not receive commissions on orders that have been cancelled. Upon signup and account approval, each affiliate will receive 5% of sale revenue as a commission for each "shipped" order that is received from the FieldSupply.com affiliate links. We will review each affiliate account at the 90-day mark from the date of signup. There is a possibility that we will increase your commission rate at this time. Increased commission rates will depend on your account performance in regards to the number of sales, canceled orders, traffic, etc. If we feel that your affiliate account is eligible for an increased commission rate, we will notify you via the email that is stated in your contact information. We reserve the right to decrease the commission rate back to the 5% minimum at any time. The affiliate commission rate will not go below the minimum 5% commission rate. In addition to the 90-day account review, we will also do a review of all affiliate accounts during the first business week in the months of January and July. At these times, all accounts (excluding any affiliate account that has not received a 90-day account review) will be eligible for an increased commission rate. Affiliates will not receive commissions for personal orders placed using the affiliate links that we assign to you. In other words, you cannot buy from yourself personal orders using your FieldSupply.com affiliate links.

AFFILIATE PAYOUTS AND MINIMUM BALANCE

Affiliates will receive commissions for the previous month's "shipped" orders on the last business day of each month for payments that have a minimum balance of $5.00. For the month of February, commissions for January's "shipped" orders will be received on February 28th. For those affiliate accounts who have not reached the minimum balance of $5.00, their balance will carry forward to the following month and commissions will not be paid until that balance is reached. All payments are made in USD (United States Dollar).

METHOD OF PAYMENT

Affiliate commissions will be electronically delivered to each affiliate via PayPal only. No other payment method will be offered or accepted.

AFFILIATE ADVERTISING METHODS 

This section will explain the guidelines for accepted affiliate advertising methods. 

PAY-PER-CLICK (PPC)

PPC campaigns are an acceptable affiliate advertising method for advertising FieldSupply.com. We also ALLOW affiliates to bid on branded (trademark) terms of FieldSupply.com.

COUPON SITES

As of now, affiliates are allowed to advertise FieldSupply.com via coupon sites. SOCIAL NETWORKS Social networks, including but not limited to blogs, Facebook and Twitter are acceptable methods for affiliates to use when advertising FieldSupply.com. WEBSITE Affiliates may use their own websites to advertise FieldSupply.com.

EMAILS

Affiliates may use emails and email blasts to advertise FieldSupply.com. Affiliates MUST be CAN-SPAM compliant when advertising FieldSupply.com. This means that all affiliates who advertise FieldSupply.com via email MUST follow the rules and guidelines stated in the CAN SPAM act.

WEBSITE RESTRICTIONS

FieldSupply.com reserves the right to not accept or terminate an affiliate account based on the affiliate's website content. The following includes but is not limited to the content that will NOT be accepted in the Field Supply Affiliate Program:  X- rated and/or the promotion of sexually explicit materials  Promoting violence and conflict  Promoting discrimination based on race, sex, religion, nationality, disability, sexual orientation or age  Promoting illegal or questionable activities violating intellectual property rights

MODIFICATION TO AGREEMENT

FieldSupply.com reserves the right to modify any and all sections of this agreement at any time at our sole discretion. We will post a notice in your affiliate account interface within two (2) business days of any changes we have made to this agreement.

TERMINATION

Violations of any section in this agreement will result in immediate termination of the offender's affiliate account with FieldSupply.com. Either party may terminate this affiliate relationship at any time with or without cause or notice. If termination does occur, the affiliate will be paid for "shipped" orders accumulated prior to the termination time.

LIMITATION OF LIABILITY

Under no circumstances shall FieldSupply.com or its associates be liable for any direct, indirect, incidental or consequential damages, that result from your use of or inability to use the FieldSupply.com site, or from products or services offered on the site, including but not limited to your reliance on any information obtained from the site or the use of products or services offered on the site, that results in mistakes, interruptions, deletion or corruption of files, viruses, delays in operation or transmission, or any failure of performance, damage to equipment, and/or personal injury or death. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
