Alle derartigen im Rahmen der IO erbrachten Leistungen gelten hiermit als „betrügerischer Verkehr“, sofern zwischen den Parteien nicht ausdrücklich etwas anderes vereinbart wurde.
Bei Unstimmigkeiten zwischen diesem Absatz und den Richtlinien des Medienunternehmens hat dieser Absatz Vorrang.
Der Partner darf die Dienste nicht in Verbindung mit den folgenden Websites (d. h. verbotenen Websites) erbringen oder dort Anzeigen und (oder) Werbematerialien platzieren:
- Websites, die vom Werbetreibenden auf die schwarze Liste gesetzt wurden und dem Medienunternehmen von Zeit zu Zeit mitgeteilt werden;
- Websites, die Materialien enthalten, die die geistigen Eigentumsrechte Dritter verletzen;
- Websites, deren Inhalt für Erwachsene oder expliziter Natur ist, beleidigend, unanständig oder anderweitig nach geltenden Gesetzen und Vorschriften rechtswidrig ist;
- Websites, deren Inhalt wahrscheinlich oder vernünftigerweise als geeignet angesehen werden könnte, Gewalt, Kriminalität oder Rassen- oder ethnischen Hass anzustiften, einschließlich Quellen, die Schusswaffen bewerben oder verkaufen;
- Websites, deren Inhalt mit Drogen, Tabak oder Alkohol in Zusammenhang steht, einschließlich pharmazeutischer oder verschreibungspflichtiger Medikamente;

Geistige Eigentumsrechte und Nutzung
Der Partner erkennt an, dass alle Rechte, einschließlich geistiger Eigentumsrechte, die mit den Elementen verbunden sind, einschließlich der vom Werbetreibenden bereitgestellten Werbeinhalte, einschließlich, zur Vermeidung von Zweifeln, der „nicht marktfähigen“ Versionen des Produkts (falls vorhanden), ausschließlich dem Werbetreibenden gehören, und der Partner verpflichtet sich, diese Rechte weder direkt noch indirekt während oder nach der Laufzeit dieser Vereinbarung in Frage zu stellen oder anzufechten. Der Partner verpflichtet sich, Elemente, die vom Werbetreibenden bereitgestellt werden können, ausschließlich im Rahmen dieser Vereinbarung und gemäß den Anweisungen des Werbetreibenden und nur zum Zweck der Bereitstellung der Dienste zu verwenden.
Der Werbetreibende kann gegen jede Partei Maßnahmen ergreifen, die er für notwendig oder wünschenswert hält, um die geistigen Eigentumsrechte und Interessen des Werbetreibenden im Rahmen dieser Vereinbarung zu schützen. Der Partner wird auf Anfrage des Werbetreibenden bei allen auftretenden Kontroversen oder Rechtsstreitigkeiten, die in Bezug auf die geistigen Eigentumsrechte und Interessen des Werbetreibenden anhängig sein können, uneingeschränkt mit dem Werbetreibenden zusammenarbeiten.
Ohne vorherige schriftliche Genehmigung des Werbetreibenden behält sich der Partner nicht das Recht vor, Beispiele des Werbetreibendeninhalts, einschließlich Arbeitsdateien, endgültiger Arbeiten und vorläufiger Arbeiten, für Wettbewerbe, zukünftige Medienveröffentlichungen, Bildungszwecke, Marketingmaterialien und Künstlerportfolios zu verwenden. - Sites blacklisted by the Advertiser as to be notified to the Media Company from time to time;
- Sites, which contain materials infringing third-party intellectual property rights;
- Sites the content of which is of an adult or explicit nature, offensive, indecent or otherwise unlawful under applicable laws and regulations;
- Sites the content of which is likely to, or could reasonably be viewed as likely to incite violence, crime, or racial or ethnic hatred, including sources which promote or sell firearms;
- Sites the content of which is drug, tobacco or alcohol related, including pharmaceutical or prescription drugs;
- Sites the placement of any Ads and (or) Advertising Materials on which is likely, or could reasonably be viewed as likely, to tarnish or damage the reputation of the Advertiser;
- Sites that mislead or force users to perform any action for generation CPC, CPA, CPM or any other form of conversions;
- Sites that contain malicious software or code designed to scam or deceive users.
Intellectual Property Rights and Usage
The Partner acknowledges that all rights, including intellectual property rights, attached to the elements including Advertiser Content provided by the Advertiser, including, for the avoidance of doubt, the ‘non-marketable’ versions of the Product (if any), belong exclusively to the Advertiser, and the Partner undertakes not to question or contest these rights, either directly or indirectly, either during or after the Term of this Agreement. The Partner undertakes to use elements that may be provided by the Advertiser solely within the context of this Agreement and in accordance with instructions provided by the Advertiser, only for the purposes of providing the Services.
The Advertiser may take such action as the Advertiser deems necessary or desirable against any party to protect any intellectual property rights and interests of the Advertiser hereunder. The Partner shall, at the Advertiser’s request, cooperate fully with the Advertiser in any controversy which may arise or litigation which may be brought concerning Advertiser’s intellectual property rights and interests.
Without the Advertiser’s prior written permission, the Partner shall not retain the right to use any sample of the Advertiser Content including working files, final works, and preliminary works for the purpose of any competitions, future media publications, educational purposes, marketing materials, and artist portfolios. Where the Advertiser has given its written permission, the Partner must redact and remove any trade-sensitive information, including any product pricing or Advertiser’s data. Any modifications made by the Partner to the Advertiser Content must be pre-approved by the Advertiser.
The Partner owns all right, title and interest in and to its intellectual property that may be used in connection with the Services and for the development of the Advertiser Content (if any). The Partner grants to the Advertiser a worldwide, royalty-free, non-exclusive, and non-transferable license to reproduce, distribute, display and perform such Advertiser Content solely in connection with the Services hereunder.
