By clicking the Accept button below, you (the “Affiliate”) agree to the following terms and conditions:
1. Codecademy LLC (“Codecademy”) agrees to pay to Affiliate an Affiliate Fee (the “Affiliate Fee”) for sales of Codecademy products which are made to a Codecademy customer who utilizes a link or other identification code (each, a “Link”) provided to Affiliate by Codecademy (each such transaction, a “Referral”). The amount of the Affiliate Fee shall be separately agreed upon by Codecademy and Affiliate. Affiliate is only entitled to earn Affiliate Fees for those Referrals which occur after Affiliate’s acceptance of these terms and conditions.
2. Affiliate acknowledges and agrees that it is not an employee of Codecademy, and that Affiliate is an independent contractor as that term is defined in applicable state and federal laws. As such, Affiliate is free from direction and control by Codecademy, and Affiliate is not eligible for, nor entitled to any compensation, expense reimbursement, or benefits provided to Codecademy employees. Furthermore, what remuneration Affiliate may receive under this Agreement in the form of a Affiliate Fee shall, as provided below, be determined in accordance with the terms of this Agreement. The Affiliate Fee is not a “sales commission” within the meaning of applicable state and federal wage laws or sales commission statutes.
3. For Referrals which provide for payment over a period of years, the applicable Affiliate Fee shall only be payable for the initial year of such a Referral, or, if the Referral resulting in a monthly plan, the first month of such a Referral. Renewals or extensions shall not be eligible for Affiliate Fees.
4. Affiliate Fees are calculated and payable on a monthly basis, and are only for the sale of subscriptions to Codecademy products, but shall not apply to any other charges, including but not limited to applicable sales or other taxes. Affiliate acknowledges and agrees that all Affiliate Fees will be managed, calculated, and paid to Affiliate by a third party engaged by Codecademy. A minimum payment threshold may apply before Affiliate Fees are paid to the applicable Affiliate.
5. Affiliate has no express, implied, or apparent authority hereunder to make any representation or commitment on behalf of Codecademy, nor to alter the terms of any warranty provided by Codecademy, nor to enter into any agreement whatsoever on Codecademy’s behalf.
6. Affiliate will not engage in any of the following activities:
a. Trademark bidding and/or bidding on Codecademy’s branded keywords without Codecademy’s prior authorization.
b. Direct linking.
c. Providing false or misleading information about Codecademy and/or its products.
d. Use of Codecademy’s marks or logos in any manner not approved by Codecademy.
e. Any other fraudulent or otherwise deceptive practice.
Codecademy reserves the right to immediately terminate these terms and conditions with respect to any Affiliate who engages in any of the above activities.
7. Codecademy reserves the right to determine which of its products are eligible for Affiliate Fees, and the specific product(s) will be separately agreed upon by Codecademy and Affiliate. All Links utilize a fourteen (14) day cookie, and Affiliate Fees will be paid on applicable sales made within fourteen (14) days of a user clicking on the applicable Link.
8. These terms and conditions may be terminated at any time by Codecademy in its sole and absolute discretion.
9. Affiliate hereby agrees that it will hold all Confidential Information (defined below) in strict confidence and will use such Confidential Information only in accordance with the terms of this Agreement. Affiliate shall limit its use of, and access to, the Confidential Information solely to purposes necessary to carry out Affiliate's obligations under these terms and conditions. Affiliate shall, by all appropriate means, prevent the unauthorized disclosure, publication, display, or use of Confidential Information and shall take at least the same precautions to protect the confidentiality of the Confidential Information as it takes to protect its own confidential information, but in no event less than a reasonable degree of care. Affiliate shall not alter or remove any trademark or copyright, restricted rights, limited rights, proprietary rights, or confidentiality notice included in or affixed to the Confidential Information. “Confidential Information” for the purposes of this Agreement shall mean any information, in whatever form, received by Affiliate from Codecademy that is identified as being proprietary or confidential to Codecademy or which might permit Codecademy to obtain a competitive advantage over those who do not have access to the information, provided, however, that Confidential Information shall not include information which (a) is or becomes a part of the public domain through no act or omission of Affiliate; (b) was in Affiliate’s lawful possession prior to its disclosure by Codecademy and had not been obtained by Affiliate either directly or indirectly from Codecademy or unlawfully from any third party; (c) is lawfully disclosed to Affiliate by a third party without restriction on disclosure; or (d) is independently developed by Affiliate. Codecademy may seek injunctive relief for any actual or threatened breach of this Section, without being required to post a bond.
10. Indemnification. Affiliate hereby releases, discharges, and agrees to indemnify and hold harmless Codecademy, and its affiliates, from any claims, demands, and/or liability (including reasonable attorney’s fees) including, without limitation, liability for libel, defamation, invasion of privacy or publicity, third party infringement, or infringement of moral rights, arising out of Affiliate’s breach of these terms and conditions.
11. Limitation of Liability. In no event shall Codecademy be liable to Affiliate or any third party for any general, special, indirect, incidental, or consequential damages (including, without limitation, indirect, special, punitive, or exemplary damages for loss of business, loss of profits, business interruption, breach of security, or lost or damaged data) arising out of or connected in any way with these terms and conditions, even if Codecademy has been advised of the possibility of such damages. The aggregate liability of Codecademy to Affiliate for all damages, losses, and causes of action (whether in contract, tort (including negligence), or otherwise) shall not exceed the total fees paid or payable by Codecademy hereunder during the twelve (12) months immediately preceding the event giving rise to liability.
12. Affiliate will comply with all applicable international, national, state/provincial, and local laws and regulations in connection with the services contemplated under this Agreement. Affiliate represents and warrants that it is familiar with and understands the U.S. Foreign Corrupt Practices Act (FCPA) and the Skillsoft Code of Business Conduct and Ethics, and that Affiliate will not violate, or cause Codecademy to violate, the FCPA or the Skillsoft Code of Business Conduct and Ethics in connection with the services provided under this Agreement. Notwithstanding any other provisions to the contrary, Codecademy may withhold payments or other obligations under this Agreement and/or suspend or terminate this Agreement upon receiving information that Affiliate has violated, or caused Codecademy to violate, the FCPA or the Skillsoft Code of Business Conduct and Ethics.
13. These terms and conditions shall be governed by the laws of the state of New Hampshire, USA, without reference to its conflict of laws provision.
14. Notices provided in connection with this Agreement shall be in writing and shall be deemed effective upon receipt or refusal. Notices to Codecademy shall be sent to 300 Innovative Way, Suite 2210, Nashua, NH 03062 USA, and notices to Affiliate shall be sent to the address provided by Affiliate as part of its application process.
15. Except as otherwise provided in this Agreement, Affiliate may not sell, assign, or delegate any rights or obligations under these terms and conditions without the prior written consent of Codecademy.
16. Headings: Headings are used in these terms and conditions for reference only and shall not be considered when interpreting these terms and conditions.
17. Severability: If any provision of these terms and conditions is found to be illegal or unenforceable, the other provisions shall remain effective and enforceable to the greatest extent permitted by law.
18. These terms and conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior written and oral agreements between the parties regarding the subject matter hereof.
