AFFILIATE PARTICIPATION AGREEMENT

This Affiliate Participation Agreement (the “Agreement”) contains the terms and conditions that apply to your participation as a member of the affiliate program (the "Affiliate Program") for www.brooksbrothers.com (the "Advertiser Website"), which is a website operated by BB OpCo LLC ("we" "us" or "Advertiser"). The Affiliate Program is administered through the Ascend by Partnerize affiliate program (doing business as "Partnerize"), operators of the “Partnerize Network”. In this Agreement you are sometimes referred to as "you", "your" or "Affiliate".

This is a legally binding agreement. By joining the Affiliate Program and receiving and using links to the Advertiser Website, you are confirming that you have read this Agreement and that you agree to be bound by its terms. If you do not agree with any of the terms or conditions set forth herein, do not join the Affiliate Program.

1. Enrollment; Eligibility. In order to participate in the Affiliate Program, you must complete a participant application that is accessible through this Advertiser Website or through the Partnerize Network. You will be notified if your application has been accepted or rejected. We reserve the right to reject any application in our sole discretion. Only websites with general or United States based domain name extensions (e.g., .com, .net, .org, .us) and serve a United States based audience are eligible for participation in the Affiliate Program. By submitting an application to participate in the Affiliate Program, you represent, warrant, covenant and agree that (i) all information that you provide to us or Partnerize in connection with your participant application and/or in connection with your participation in the Affiliate Program is true, complete and accurate, (ii) you have all necessary rights and authority to enter into this Agreement and perform your obligations hereunder, (iii) this Agreement will constitute a legal, binding and enforceable agreement against you in accordance with the terms and conditions herein, and (iv) your execution and performance hereunder will not conflict with or result in a breach or violation of any other agreement, arrangement or understanding to which you are bound.

2. Suitability of Affiliate Websites. Your websites are not suitable and you may not participate in the Affiliate Program if the websites operated by you violate any of the following website suitability restrictions. Further, you represent, warrant, covenant and agree that none of your participating websites or any content or technology contained thereon will, at any time during the period that you are an Affiliate in the Affiliate Program, violate any of the following website suitability restrictions. In the event that we believe that you have violated any of the following website suitability restrictions we may, in addition to all other rights and remedies that we may have, terminate this Agreement and your participation in the Affiliate Program without notice.

(a) Your websites may not: (i) infringe on our or any other person's or entity's intellectual property, publicity, privacy or other rights, (ii) fail to state a clear online privacy policy to your visitors that complies with applicable privacy laws, regulations and industry standards, (iii) require a username or password to access your websites, without our prior written consent (including via email), (iv) violate any law, rule or regulation, including without limitation applicable guides from the Federal Trade Commission (“FTC”), (v) contain any content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography or sexually explicit materials, (vi) contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or personal information, (vii) contain material that is materially false, inaccurate, fraudulent or misleading or that promotes pyramid or similar schemes; (viii) promote violence or any illegal or immoral activity, (ix) promote discrimination based upon gender, race, religion, nationality, disability, sexual orientation or age, (x) use or promote the use of bulk email or spam, (xi) contain software or use technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of affiliate commissions from another website, (xii) use any software that gathers information through the customer's Internet connection without his or her knowledge, (xiii) install spyware on another person's computer, or cause spyware to be installed on another person's computer, or utilize any "opt-out downloads (any software, program, script, tool or element that would automatically download to a user's computer or that would become operative when the user accesses the Internet unless the user takes affirmative action to prevent the download), or (xiv) use a context based triggering mechanism to display an advertisement that partially or wholly covers or obscures paid advertising or other content on an Internet website in a way that interferes with a user's ability to view the Internet website, or use browser-embedded contextual targeting applications or other applications which serve advertisements on Advertiser’s Websites or on any other website other than your websites. Notwithstanding the foregoing, downloadable software partners are included on a case-by-case basis, in our sole discretion.

(b) You may not (i) engineer your websites in a manner designed to direct or pull Internet traffic away from our Advertiser Website, (ii) attempt to modify or alter our Advertiser Website in any way, (iii) make any representations, either express or implied, or create an appearance that a visitor to your website is visiting our website, e.g., "framing" the Advertiser Website, without our prior written approval, or (iv) "scrape" or "spider" any Advertiser Website or any other website for Advertiser Content (defined below).

(c) You may not purchase products during sessions initiated through Qualified Links (defined below) on your websites for resale, or commercial use of any kind. Such purchases may result, in our sole discretion, in the withholding of your payment or the termination of this Agreement.

(d) We have the right in our sole and absolute discretion to monitor your websites at any time and from time to time to determine if you are in compliance with the terms of this Agreement, and you agree to provide us with unrestricted access to your websites for such purpose.

3. Right to Use Advertiser Content. (a) Subject to the terms and conditions herein, we hereby grant to you, during the term hereof, a limited, non-exclusive, non-transferable, revocable, non-sublicenseable, non-assignable right to (i) access the Advertiser Website through Qualified Links (defined below) provided by us from time to time, and (ii) use and display the Advertiser Content (as defined below) that we may make available to you from time to time solely as provided to you through the Partnerize Network, solely for the purpose of generating the sale of Advertiser’s products from your website that we have approved, and solely in connection with your participation in the Affiliate Program. Any attempt to sublicense, assign or transfer this right is void. We may terminate your rights to use the Advertiser Content for any reason at any time in our sole and absolute discretion. (b) Upon termination of this Agreement, for any reason, you shall immediately cease using, displaying or otherwise maintaining any interest in the Advertiser Content. "Advertiser Content" means any and all trademarks, service marks, trade names, logos, banners, buttons, digital images, graphics, text and other content and material which we may, in our sole discretion, make available to you in connection with the Affiliate Program from time to time. A "Qualifying Link" means a link from your website to our website using one of the URLs or graphic links provided by us (or through the Partnerize Network) for use in the Affiliate Program that allows Partnerize to track the use of such links by your visitors. All Qualifying Links that you will use in the Affiliate Program will be provided to you from the Partnerize Network or by other means selected by us, and only valid Qualifying Links generated by the Partnerize Network or by us will be tracked for purposes of determining the payment that you may be eligible to receive on sales of products generated through your website.

4. Advertiser Content Usage Restrictions. If you fail to comply with any of the restrictions in this Section, at our sole discretion, you forfeit any current and past commissions or other payments otherwise earned by you during such time that you are not in compliance.

(a) Obtaining and Using Advertiser Content. You agree that you will not, except as specifically provided for in this Agreement (i) copy or obtain any images or other content relating to the Advertiser from the Advertiser Website or elsewhere, except through the Partnerize Network, (ii) copy or display any Advertiser Content, (iii) modify, adapt, translate or create derivative works based on the Advertiser Content, (iv) remove, erase, or tamper with any copyright or other proprietary notices in any copy of any

of the Advertiser Content, (v) sell, market, license, sublicense, distribute, disclose or otherwise grant to any person or entity any right or interest in the Advertiser Content, (vi) take any action which may cause deception, confusion or otherwise dilutes the quality of the Advertiser Content or the goodwill associated therewith, or (vii) use the Advertiser Content in any manner which disparages or portrays us in a false, competitively adverse or poor light.

(b) Trademark Bidding. We do not allow trademark bidding or trademark plus bidding. Unless specifically approved in writing by us (or by our authorized partner on our behalf), you agree that you will not purchase or bid for the placement of our name or trademarks or any variation or misspelling thereof.

(c) Search Engine and Advertising Restrictions. You also agree to the following additional search engine advertising rules: (i) all advertisements by you must be directed to your site or a page within your site, (ii) we do not allow paid search direct linking; none of your advertisements may link directly to the Advertiser Website or any page within the Advertiser Website, (iii) you will not show the Advertiser Website URL as the URL in your ads, (iv) you will not use the words "official site" or words to similar effect in connection with any use of our trademarks, or otherwise suggest or imply that your site is an official Advertiser site or partner, and (v) you will stop bidding on any keyword term at our request.

(d) Trademark and Look and Feel Restrictions. Additionally, you agree that (i) you will not include any name, trademark, trade name, service name, logo or similar business identifier, or any variation or misspelling thereof, which is owned, operated or controlled by us in any domain name, URL, or similar identifier used by you, (ii) you will not alter or attempt to alter the look, feel, content, features or functionality of the Advertiser Website, (iii) you will immediately substitute, alter, or remove any Advertiser Content from your websites at our request, (iv) your websites will not in any way copy or resemble the look, feel or content of the Advertiser Website or create any impression that your websites are part of the Advertiser Website, (v) you will not purchase or contract with any other person or entity to exploit any name, trademark, trade name, service name, logo or similar business identifier, or any variation or misspelling thereof, which is owned, licensed or controlled by us for any purpose, (vi) you will not use any Advertiser Content in a manner which links or otherwise directs potential customers to any website other than the Advertiser Website, and (vii) you will not attempt to intercept or redirect potential customers from or on the Advertiser Website or any other website participating in the Affiliate Program.

5. Property Ownership Rights. You acknowledge and agree that we retain all rights, title and interest in and to all property rights embodied in or associated with the Advertiser Content. You represent, warrant, covenant and agree that you will not, and will not assist any third party to, now or in the future (i) take any action challenging or otherwise inconsistent with our ownership of, or other right in, the Advertiser Content, or (ii) register or attempt to register any trademark, service mark, logo, trade name, domain name, or similar business identifier, that contains any name, trademark, service mark, logo, trade name or other content or material owned, licensed or controlled by us or any derivation, including misspellings, thereof. All goodwill and benefits accruing from the use of the Advertiser Content will automatically vest in us. You agree to cooperate with us and to take any additional actions reasonably requested by us to effect, perfect or confirm our rights, title and interest in the Advertiser Content.

6. Operation and Maintenance of the Advertiser Website. (a) You acknowledge and agree that we will accept or reject, in our sole and absolute discretion, all orders by customers for merchandise placed on or through the Advertiser Website. You further acknowledge and agree that (i) you do not have any authority to make or accept any offer or commitment on our behalf, (ii) we cannot, and do not, guarantee the availability of any merchandise or other services offered for sale on the Advertiser Website, and (iii) we are solely responsible for all pricing, merchandising, order processing, order fulfillment, shipping, returns and all other aspects of the Advertiser Website and the sale of merchandise thereon. Customers who access the Advertiser Website will be deemed our customers. Accordingly, all of our then applicable rules, policies and procedures concerning orders, returns, refunds, customer service, privacy and other terms of use and sale will apply to such customers. As between the parties, all information obtained through the use of the Advertiser Website shall be our exclusive property. (b) We may change our policies and operating procedures at any time in our sole discretion. 7. Responsibility for Your Websites and Your Participation. (a) You will be solely responsible for the development, operation, and maintenance of all websites that are linked to the Advertiser Website hereunder and for all content, technology and other materials that appear on such websites. (b) You acknowledge and agree that you are responsible for complying with all of the terms and conditions hereof and all applicable laws, rules and regulations. (c) You represent, warrant, covenant, and agree that: (i) you will not state or imply that we sponsor, endorse, sanction or otherwise approve your website or any of your products or services, (ii) you will not state or imply that you are an affiliate, associate, partner or agent of ours or otherwise take any action that could reasonably cause customers confusion as to our relationship with you, (iii) you will not take any action that could reasonably cause customers confusion as to the website on which any data collection, purchase transaction or other functions are occurring, (iv) you will make no representations regarding the association of Partnerize with us or you, (v) at all times during and after the term of this Agreement, you will protect all of our Confidential Information (all non-public information provided or obtained by you about us, including, without limitation, all customer information, all business and sales information related to transactions through the Affiliate Program, and advance notice of promotions, sales and special events) that you obtain or otherwise have access to with the same degree of care that you use to protect your own confidential and proprietary information but in no event less than a reasonable standard of care, (vi) you will only use our Confidential Information to the extent necessary to perform your obligations hereunder, and (vii) you also agree upon notice to promptly remove any Confidential Information from your site upon our request. (d) You may not, without our prior written consent, utilize any promotion, promotion code, coupon, or other promotional opportunity that is not specifically authorized for Advertiser's Affiliate Program and explicitly authorized for your use. Affiliates may only promote codes that are provided through the Ascend by Partnerize Affiliate Program. (e) You may not, without our prior written consent, (i) generate or send any email messages, text or mobile messages, or other electronic messages ("Electronic Messages") using or containing our name or logo, or any variation thereof, or any of our trademarks or products, or any of the Qualifying Links or URLs provided to you as part of the Affiliate Program, (ii) send any Electronic Messages that in any way suggests or implies or misleads or is likely to mislead a recipient into believing that we (or any of our affiliates) were the sender or sponsor of such email or procured or induced you to send such email, (iii) forward, redistribute, or otherwise repurpose any Electronic Messages that we send our customers or members of the Partnerize Network, or (iv) generate or send any unsolicited email (spam) under this Agreement or any email in violation of the CAN-SPAM Act of 2003 (including any amendments or successor laws) or any other applicable laws or regulations. You must contact us for any applicable suppression lists. (f) You agree to include clear and conspicuous disclosures pursuant to all applicable rules and regulations, including but not limited to the FTC Endorsement Guides.

8. Your Payments and Partnerize Tracking. During the term of this Agreement and provided you comply with the terms herein, Affiliates will be paid a commission from Partnerize on our behalf as set forth in the Partnerize Network or applicable platform, which are subject to change at any time with or without notice. Generally, commission levels may vary based on the attributable orders, rates and the locking period, which will account for product returns or cancellations. Generally, you will be paid a commission based on cash (or its equivalent) consideration (not including any portion of payment made through the redemption of coupons or credits, or the redemption of gift certificates or gift cards) for merchandise sold in a transaction resulting directly from a Qualifying Link tracked by Partnerize from your website to the Advertiser Website in accordance with this Agreement, where the customer purchases such merchandise, less all taxes, shipping and handling charges, gift wrapping and other value-added service charges, returns, cancellations, and chargebacks. If a commission is paid for an order, and there is a subsequent return, cancellation, or chargeback for such order, we reserve the right to reverse the commission. You acknowledge and agree that we will not be obligated to pay your commission unless we actually ship the applicable order and receive full payment for such order.

A transaction may be deemed to be resulting directly from a Qualifying Link tracked by Partnerize from your website to the Advertiser Website if:

(i) such purchase is made during the time period set forth by us through the Partnerize Network after the customer has initially entered our website through your tracked Qualifying Link ("Session"). After the Session, we will not pay commission on any products that are added to a customer's shopping cart after the customer has re-entered our website (other than through a Qualifying Link from your website), even if the customer previously followed a link from your website to our website.

(ii) your tracked Qualifying Link is the last link to Advertiser Website that the customer uses during a Session where the sale of a product occurs. If we are able to track a referral from another marketing channel that is more recent than your Qualifying Link, then the resulting purchase will be deemed to not be directly resulting from your tracked Qualifying Link.

All determinations of Qualifying Links and whether a commission is payable will be made by us and Partnerize and will be final and binding on you. Sales made to customers who purchase products using Qualified Links will be tracked using Partnerize's technology. We are not responsible for any Partnerize technology or tracking or errors thereto. In the event an overpayment is made, you agree to promptly remit such overpayment to us or Partnerize upon notification by us. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid.

9. Violation of Terms and Affiliate Indemnification. (a) Violation of any of the terms, conditions or prohibitions contained in this Agreement may result in, among other things, the immediate termination of this Agreement and the commencement of an action by us against you seeking, without limitation, injunctive relief, and the recovery of actual, statutory and punitive damages. (b) You, at your own cost and expense, will indemnify, defend and hold harmless, us, our and their respective parents, subsidiaries and affiliates, and each of their respective directors, officers, employees, agents, successors and assigns against any claim, suit, action, judgment, liability, loss, cost, expenses and other damages (even if such claims are groundless, fraudulent or false), including reasonable attorney's fees, based upon or in connection with (i) any breach or alleged breach of your representations, warranties, covenants agreements, or obligations hereunder, (ii) your websites or related business, or any content, technology or other materials displayed or contained thereon, including but not limited to with respect to claims of misappropriation or infringement, (iii) your failure or alleged failure to comply with any applicable law, rule, regulation, or FTC guide, (iv) claims for unsolicited email, spamming or violation of the CAN-SPAM Act of 2003, (v) your misuse, unauthorized modification or unauthorized use of the services or materials provided by us or Partnerize hereunder, or (vi) any actual or alleged wrongful or negligent act or omission by you.

10. Term and Termination. (a) This Agreement shall automatically terminate on the date on which we no longer maintain or you are no longer a member of the Affiliate Program contemplated hereunder. Additionally, either party may terminate this Agreement at any time and for any reason by providing notice (including via e-mail) to the other party. We may also terminate this Agreement immediately, without notice, if we determine, in our sole discretion, that you have breached this Agreement or that your website(s) is unsuitable to participate in the Affiliate Program. (b) Upon termination of this Agreement, you will immediately cease use of, and remove from your website, all links to our website and all Advertiser Content. All sections of this Agreement that by their nature should survive expiration or earlier termination of this Agreement shall so survive termination.

11. Modification of Agreement. We reserve the right to modify this Agreement, at any time in our sole discretion, by posting a change of notice or a new agreement on the Partnerize Network, and, if applicable, on the Advertiser Website. If any modification is unacceptable to you, you agree that your sole recourse is to terminate this Agreement. Your continued use of the Advertiser Content and participation in the Affiliate Program following any modification of this Agreement shall constitute conclusive and binding acceptance to any modification or new agreement.

12. Warranty Disclaimer. We make no warranties, representations, or guarantees, with regard to the products or services sold through the Advertiser Website, the operation and maintenance of the Advertiser Website or the Partnerize network, whether express or implied, arising by law or otherwise, including without limitation any implied warranty of Advertiserability, fitness for a particular purpose, or non-infringement or any implied warranty arising from course of performance, course of dealing, or usage of trade. Without limiting the generality of the foregoing, we make no representation that the operation of the Advertiser Website will be uninterrupted or error-free.

13. Limitation of Damages. We will not have any liability (whether in contract, warranty, tort (including, but not limited to, negligence), product liability or other theory) for any indirect, incidental, special, punitive, or consequential damages, even if we were advised of the possibility of such damages, or for any loss of revenue, data or profits arising under or with respect to this Agreement or the Affiliate Program. Further, our aggregate liability arising under or with respect to this Agreement or the Affiliate Program will in no event exceed the total payment paid or payable by us to you under this Agreement during the preceding twelve (12) month period prior to the date such liability arose. All claims made hereunder by you against us shall be made within 120 days of the act or omission that forms the basis of such claims.

14. Independent Contractors. We, you, and Partnerize are each independent contractors and nothing in this Agreement or in any Partnerize affiliate program documents is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative, or employment relationship.

15. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any proceeding relating to this Agreement or the subject matter hereof must be brought in the federal or state courts located in New York County, New York, and each party hereby submits to and accepts the jurisdiction of such courts.

16. Press Release; Publicity. You agree that you will not issue any press release or make any other similar public announcement that in any way makes any reference to us without our prior written consent, which consent may be withheld in our sole discretion.

17. Force Majeure. Our performance under this Agreement shall be excused to the extent that such performance is hindered, delayed or made commercially impractical by causes beyond our reasonable control.

18. Assignment. You may not assign this Agreement or any of your rights or delegate any of your obligations under this Agreement, by operation of law or otherwise, without our prior written consent, and any such attempted assignment shall be void. Subject to such restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns.

19. Waiver. Our failure to enforce strict performance of any provision of this Agreement will not constitute a waiver of its right to subsequently enforce such provision or any other provision of this Agreement.

20. Entire Agreement. This Agreement represents the complete agreement and understanding between us and you and supersedes any other oral or written communications or understandings between us and you regarding the subject matter hereof. No amendment or modification to this Agreement will be binding upon us unless agreed to by an authorized representative of us.

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND VISTA HORTICULTURAL GROUP, INC. (DBA Eden Brothers)

BY SUBMITTING THE ONLINE APPLICATION YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.

This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in EdenBrothers.com's Affiliate Program. 2.1. To begin the enrollment process, you will complete and submit the online application at the Pepperjam server. The fact that we auto-approve applications does not imply that we may not re-evaluate your application at a later time. We may reject your application at our sole discretion. We may cancel your application if we determine that your site is unsuitable for our Program, including if it:

2.1.8. Contains software downloads that potentially enable diversions of commission from other affiliates in our program.

2.1.9. You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor design your website in a manner which leads customers to believe you are EdenBrothers.com or any other affiliated business.

2.2. As a member of EdenBrothers.com's Affiliate Program, you will have access to Affiliate Account Manager. Here you will be able to review our Program’s details and previously-published affiliate newsletters, download HTML code (that provides for links to web pages within the EdenBrothers.com web site) and banner creatives, browse and get tracking codes for our coupons and deals. In order for us to accurately keep track of all guest visits from your site to ours, you must use the HTML code that we provide for each banner, text link, or other affiliate link we provide you with.

2.3. EdenBrothers.com reserves the right, at any time, to review your placement and approve the use of Your Links and require that you change the placement or use to comply with the guidelines provided to you.

2.4. The maintenance and the updating of your site will be your responsibility. We may monitor your site as we feel necessary to make sure that it is up-to-date and to notify you of any changes that we feel should enhance your performance.

2.5. It is entirely your responsibility to follow all applicable intellectual property and other laws that pertain to your site. You must have express permission to use any person's copyrighted material, whether it be a writing, an image, or any other copyrightable work. We will not be responsible (and you will be solely responsible) if you use another person's copyrighted material or other intellectual property in violation of the law or any third party rights.

3.1. We have the right to monitor your site at any time to determine if you are following the terms and conditions of this Agreement. We may notify you of any changes to your site that we feel should be made, or to make sure that your links to our web site are appropriate and to notify further you of any changes that we feel should be made. If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in the EdenBrothers.com Affiliate Program.

3.2. EdenBrothers.com reserves the right to terminate this Agreement and your participation in the EdenBrothers.com Affiliate Program immediately and without notice to you should you commit fraud in your use of the EdenBrothers.com Affiliate Program or should you abuse this program in any way. If such fraud or abuse is detected, EdenBrothers.com shall not be liable to you for any commissions for such fraudulent sales.

3.3. This Agreement will begin upon our acceptance of your Affiliate application, and will continue unless terminated hereunder.

Either you or we may end this Agreement AT ANY TIME, with or without cause, by giving the other party written notice. Written notice can be in the form of mail, email or fax. In addition, this Agreement will terminate immediately upon any breach of this Agreement by you.

We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified by email. Modifications may include, but are not limited to, changes in the payment procedures and EdenBrothers.com's Affiliate Program rules. If any modification is unacceptable to you, your only option is to end this Agreement. Your continued participation in EdenBrothers.com's Affiliate Program following the posting of the change notice or new Agreement on our site will indicate your agreement to the changes.

EdenBrothers.com uses a third party to handle all of the tracking and payment. The third party is the Pepperjam affiliate network. Kindly review the network’s payment terms and conditions.

You will create a password so that you may enter Pepperjam’s secure affiliate account interface. From their site you will be able to receive your reports that will describe our calculation of the commissions due to you.

8.1. You are free to promote your own web sites, but naturally any promotion that mentions EdenBrothers.com could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by EdenBrothers.com. For example, advertising commonly referred to as "spamming" is unacceptable to us and could cause damage to our name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote EdenBrothers.com so long as the recipient is already a customer or subscriber of your services or web site, and recipients have the option to remove themselves from future mailings. Also, you may post to newsgroups to promote EdenBrothers.com so long as the news group specifically welcomes commercial messages. At all times, you must clearly represent yourself and your web sites as independent from EdenBrothers.com. If it comes to our attention that you are spamming, we will consider that cause for immediate termination of this Agreement and your participation in the EdenBrothers.com Affiliate Program. Any pending balances owed to you will not be paid if your account is terminated due to such unacceptable advertising or solicitation.

8.2. Affiliates that among other keywords or exclusively bid in their Pay-Per-Click campaigns on keywords such as EdenBrothers.com, Eden Brothers, www.edenbrothers, www.EdenBrothers.com, and/or any misspellings or similar alterations of these – be it separately or in combination with other keywords – and do not direct the traffic from such campaigns to their own website prior to re-directing it to ours, will be considered trademark violators, and will be banned from Eden Brothers’s Affiliate Program. We will do everything possible to contact the affiliate prior to the ban. However, we reserve the right to expel any trademark violator from our affiliate program without prior notice, and on the first occurrence of such PPC bidding behavior.

8.3. Affiliates are not prohibited from keying in prospect’s information into the lead form as long as the prospects’ information is real and true, and these are valid leads (i.e. sincerely interested in Eden Brothers’s service).

8.4. Affiliate shall not transmit any so-called “interstitials,” “Parasiteware™,” “Parasitic Marketing,” “Shopping Assistance Application,” “Toolbar Installations and/or Add-ons,” “Shopping Wallets” or “deceptive pop-ups and/or pop-unders” to consumers from the time the consumer clicks on a qualifying link until such time as the consumer has fully exited Eden Brothers’s site (i.e., no page from our site or any EdenBrothers.com’s content or branding is visible on the end-user’s screen). As used herein a. “Parasiteware™” and “Parasitic Marketing” shall mean an application that (a) through accidental or direct intent causes the overwriting of affiliate and non affiliate commission tracking cookies through any other means than a customer initiated click on a qualifying link on a web page or email; (b) intercepts searches to redirect traffic through an installed software, thereby causing, pop ups, commission tracking cookies to be put in place or other commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given by the search (search engines being, but not limited to, Google, MSN, Yahoo, Overture, AltaVista, Hotbot and similar search or directory engines); (c) set commission tracking cookies through loading of Eden Brothers’s site in IFrames, hidden links and automatic pop ups that open EdenBrothers.com’s site; (d) targets text on web sites, other than those web sites 100% owned by the application owner, for the purpose of contextual marketing; (e) removes, replaces or blocks the visibility of Affiliate banners with any other banners, other than those that are on web sites 100% owned by the owner of the application.

9.1. We grant to you a non-exclusive, non-transferable, revocable right to (i) access our site through HTML links solely in accordance with the terms of this Agreement and (ii) solely in connection with such links, to use our logos, trade names, trademarks, and similar identifying material (collectively, the "Licensed Materials") that we provide to you or authorize for such purpose. You are only entitled to use the Licensed Materials to the extent that you are a member in good standing of EdenBrothers.com's Affiliate Program. You agree that all uses of the Licensed Materials will be on behalf of EdenBrothers.com and the good will associated therewith will inure to the sole benefit of EdenBrothers.com.

9.2. Each party agrees not to use the other's proprietary materials in any manner that is disparaging, misleading, obscene or that otherwise portrays the party in a negative light. Each party reserves all of its respective rights in the proprietary materials covered by this license. Other than the license granted in this Agreement, each party retains all right, title, and interest to its respective rights and no right, title, or interest is transferred to the other.

EDENBROTHERS.COM MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING EDENBROTHERS.COM SERVICE AND WEB SITE OR THE PRODUCTS OR SERVICES PROVIDED THEREIN, ANY IMPLIED WARRANTIES OF EDENBROTHERS.COM ABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED AND EXCLUDED. IN ADDITION, WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR SITE WILL BE UNINTERRUPTED OR ERROR FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

You represent and warrant that:

11.1. This Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms;

11.2. You have the full right, power, and authority to enter into and be bound by the terms and conditions of this Agreement and to perform your obligations under this Agreement, without the approval or consent of any other party;

11.3. You have sufficient right, title, and interest in and to the rights granted to us in this Agreement.

WE WILL NOT BE LIABLE TO YOU WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST BUSINESS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN NO EVENT SHALL EDENBROTHERS.COM'S CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT.

You hereby agree to indemnify and hold harmless EdenBrothers.com, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.

15.1. You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and EdenBrothers.com. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Site or any other of Your Site or otherwise, that reasonably would contradict anything in this Section.

15.2. Neither party may assign its rights or obligations under this Agreement to any party, except to a party who obtains all or substantially all of the business or assets of a third party.

15.3. This Agreement shall be governed by and interpreted in accordance with the laws of the State of New York without regard to the conflicts of laws and principles thereof.

15.4. You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.

15.5. This Agreement represents the entire agreement between us and you, and shall supersede all prior agreements and communications of the parties, oral or written.

15.6. The headings and titles contained in this Agreement are included for convenience only, and shall not limit or otherwise affect the terms of this Agreement.

15.7. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this agreement shall have full force and effect.
