Affiliate Terms & Conditions
Our affiliates are very important to us. We do our best to treat you with the fairness and respect you deserve. We simply ask the same consideration from you. We have written the following affiliate agreement with you in mind, as well as to protect our company’s good name. Please read our affiliate terms and conditions carefully before marketing our program. Each Affiliate is responsible for assuring that its employees, agents and contractors comply with these terms and conditions. Thank you.
 
DEFINITIONS:
As used in the below Terms: (i) "We", "us" and "our" refers to Beau Ties Ltd. of Vermont and their websites; (ii) "you" or "your" refers to the Affiliate; (iii) "our website" refers to the www.BeauTiesLtd.com (iv) "your website" refers to any websites that you will link to our website; (v) "Program" refers to the Beau Ties Ltd. of Vermont Affiliate Program.
 
SUMMARY:
1.      Do not apply if your website promotes sexually explicit materials, violence, discrimination, and/or illegal activities.
2.      We do not work with distributors of downloadable software, toolbars, browser helper objects, shopping assistance applications, etc.
3.      You must comply with FTC’s Endorsement and CAN-SPAM Guidelines.
4.      Fraud will be policed and penalized.
5.      Spamming is prohibited.
6.     Paid search campaigns containing our trademarks are prohibited.
7.     Direct linking from Paid Search ads is prohibited.
8.      Cybersquatting and typosquatting are prohibited.
 
 
AFFILIATE AGREEMENT
PLEASE READ THE ENTIRE AGREEMENT. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND BEAU TIES LTD. OF VERMONT.  BY SUBMITTING THE ONLINE APPLICATION YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.   BY CONTINUING TO MARKET THE BEAU TIES LTD. OF VERMONT PROGRAM, EXISTING AFFILIATES AGREE TO AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION
 
AFFILIATE OBLIGATIONS:
We may reject your application at our sole discretion. We may cancel your participation if, at any time, we determine that your site is unsuitable for our Program, including if it:
·        Promotes sexually explicit materials, violence, discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
·        Promotes illegal activities.
·        Incorporates any materials, which infringe or assist others to infringe on any copyright, trademark, or other intellectual property rights or to violate the law.
·        Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable to us in our sole discretion.
·        Contains software downloads that potentially enable diversions of commission from other affiliates in our program.
 
You may not create or design your website or any other website that you operate, explicitly or implied in a manner that resembles our website nor design your website in a manner that leads customers to believe you are BeauTiesLtd.com or any other affiliated business.
 
We reserve the right, at any time, to review your placement and approve the use of your links and require that you change the placement or use to comply with the guidelines provided to you.
 
The maintenance and the updating of your site will be your responsibility. We may monitor your site, as we feel necessary to make sure that it is up-to-date and to notify you of any changes that we feel should enhance your performance. 
 
You must have express permission to use any person’s copyrighted material, whether it be writing, an image, or any other copyrightable work. We will not be responsible (and you will be solely responsible) if you use another person’s copyrighted material or other intellectual property in violation of the law or any third party rights. It is entirely your responsibility to follow all applicable intellectual property and other laws that pertain to your site.
 
We strongly advise affiliates to stay compliant with the Federal Trade Commission (FTC) guidelines on testimonials and endorsements. All endorsements, reviews, testimonials on Our products and services, as well as relationships between other types of content websites (forums, blogs, microblogs, and other Social Media channels) and BeauTiesLtd.com must be clearly disclosed in a separate policy on the affiliate sites. FTC points out that “when there exists a connection between the endorser and the seller of the advertised product,” it is imperative that such a connection is “fully disclosed.” FTC deems the relationship in an endorser-sponsor light and believes that the end user has the right to understand that one exists. We share the underlying idea of this approach and strongly encourage our affiliates to adhere to the FTC’s rules. We also reserve the right to terminate our relationship with any noncompliant affiliates.  
 
We require all affiliates to abide by all state and federal consumer protection laws and regulations including the FTC Act and the CAN–SPAM Act.
 
 
LINKING TO OUR WEBSITE:
·        You will only use linking code obtained from the affiliate interface without manipulation.
·        You may set up direct links to our products as long as those links are created within the affiliate interface.
·        All domains that use your affiliate link must be listed in your affiliate profile.
·        Your Website will not in any way copy, resemble, or mirror the look and feel of our Website. You will also not use any means to create the impression that your Website is our Website or any part of our Website including, without limitation, framing of our Website in any manner.
·        You may not engage in cookie stuffing or include pop-ups, false or misleading links on your website. In addition, wherever possible, you will not attempt to mask the referring url information (i.e. the page from where the click is originating).
·        Using redirects to bounce a click off of a domain from which the click did not originate in order to give the appearance that it came from that domain is prohibited.
·        You may not transmit any so-called “interstitials,” “Parasitic Marketing,” “Shopping Assistance Application,” “Toolbar Installations and/or Add-ons,” “Shopping Wallets,” or “deceptive pop-ups and/or pop-unders” to consumers from the time the consumer clicks a qualifying link until such time as the consumer has fully exited Merchant’s site (i.e., no page from our site or any of our content or branding is visible on the end user’s screen). As used herein and “Parasitic Marketing” shall mean an application that (a) through accidental or direct intent causes the overwriting of affiliate and non affiliate commission tracking cookies through any other means than a customer-initiated click on a qualifying link on a web page or email; (b) intercepts searches to redirect traffic through an installed software, thereby causing pop ups, commission tracking cookies to be put in place, or other commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given by the search (search engines being, but not  limited to, Google, MSN, Yahoo, Overture, AltaVista, Hotbot and similar search or directory engines); (c) set commission tracking cookies through loading of Our site in IFrames, hidden links, and automatic pop ups that open Our site; (d) targets text on websites, other than those websites 100 percent owned by the application owner, for the purpose of contextual marketing; (e) removes, replaces or blocks the visibility of Affiliate banners with any other banners, other than those that are on websites 100 percent owned by the owner of the application.
 
Affiliates that are found to be cybersquatting or typosquatting on trademark-related domains will be banned from the program with all their commissions reversed.
 
PPC GUIDELINES:
If you are enrolled in our Program and participate in PPC advertising, you must adhere to our PPC guidelines as follows:
 
·        You may not bid on any of our trademarked terms (which are identified below), including any variations or misspellings thereof for search or content based campaigns on Google, MSN, or Yahoo or other paid search networks.
·        You may not use our trademarked terms in sequence with any other keyword without express written approval from BeauTiesLtd.com.
·        You may not use our trademarked terms in your ad title, ad copy, display name or as the display url without express written approval from BeauTiesLtd.com.
·        You may not direct link to our website from any Pay Per Click ad or use redirects that yield the same result. Affiliates must be directed to an actual page on your website.
 
You will forfeit all commissions for a minimum of the past 30 days and your commission will be set to 0% without warning if you engage in PPC trademark bidding that uses our trademarked terms without express written approval.

COUPON GUIDELINES:
If you are enrolled in our Program and your Website promotes coupon codes, you must adhere to our Coupon Guidelines as follows:

You may ONLY advertise coupon codes that are provided to you through the affiliate program or network or that are displayed on our website(s).

Posting any information about how to work around the requirements of a coupon/promotion (i.e. first time customers only) will result in removal from the program.

Coupons must be displayed in their entirety with the full offer, valid expiration date and code.

You may NOT advertise coupon codes obtained from our non-affiliate advertising, customer e-mails, paid search, or any other campaign.

On click through, you must link directly to our website. Framing of our website is strictly prohibited.

Cookie Stuffing/Forced Clicks: You must not mislead customers into clicking on an offer or coupon that does not exist or practice similarly deceptive tactics that are generally known as "cookie stuffing or forced clicks." These include, but are not limited to:

Using knowingly expired offers or presenting offers that do not exist or are not affiliate offers

Presenting a button that claims to show all offers that sets the affiliate cookie in the background

Technology that generates a click or sets the cookie from the action of copying a coupon code or though a pop under.

 
DOMAIN NAMES:
Use of any of our trademarked terms as part of the domain or sub-domain for your website is strictly prohibited.
 
ADVERTISING & PUBLICITY:
If you intend to promote our Program via e-mail campaigns, you must adhere to the following:

Abide by the CAN-SPAM Act of 2003 (Public Law No. 108-187) with respect to our Program.

E-mail must be sent on your behalf and must not imply that the e-mail is being sent on behalf of Beau Ties Ltd. of Vermont.

 
SOCIAL MEDIA:
Promotion on Facebook, Twitter, and other social media platforms is permitted following these general guidelines:

You ARE allowed to promote offers to your own lists; more specifically, you’re welcome to use your affiliate links on your own Facebook, Twitter, etc. pages.

You ARE PROHIBITED from posting your affiliate links on Beau Ties Ltd. of Vermont’s social media and company pages in an attempt to turn those links into affiliate sales.

 
OPERATIONS OUTSIDE UNITED STATES:
If you are conducting business in or taking orders from persons in other countries, you will follow the laws of those countries. For example, you will comply with the European Union’s Privacy and Electronic Communications Directive if you are conducting business in or taking orders from persons in one or more of the European Union countries.
 
REVERSAL & COMMUNICATION POLICY:
Beau Ties Ltd. of Vermont has a low order reversal rate. However, we reserve the right to reverse orders due to cancellations, duplicate tracking, returns, disputed charges, and program violations as outlined in these terms and conditions.
 
For disputed charges and/or program violations we will contact you for clarification or more information. We require that you be responsive within a reasonable time period and be able to substantiate or validate the source of your traffic to our program with clear and demonstrable proof. If you do not respond, or cannot provide proof, we will reverse the order.
 
REPRESENTATIONS AND WARRANTIES:
You represent and warrant that:
·        This Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms.  
·        You have the full right, power, and authority to enter into and be bound by the terms and conditions of this Agreement and to perform your obligations under this Agreement, without the approval or consent of any other party.
·        You have sufficient right, title, and interest in and to the rights granted to us in this Agreement.
 
LIMITATIONS OF LIABILITY:
We will not be liable to you with respect to any subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages (including, without limitation, loss of revenue or goodwill or anticipated profits or lost business), even if we have been advised of the possibility of such damages. Further, notwithstanding anything to the contrary contained in this agreement, in no event shall Beau Ties Ltd. of Vermont’s cumulative liability to you arising out of or related to this agreement, whether based in contract, negligence, strict liability, tort or other legal or equitable theory, exceed the total commission fees paid to you under this agreement.  
 
INDEMNIFICATION:
You hereby agree to indemnify and hold harmless Beau Ties Ltd. of Vermont and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.
 
You agree that you are an independent contractor and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Beau Ties Ltd. of Vermont. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Site or any other of Your Site or otherwise, that reasonably would contradict anything in this Section.
 
Neither party may assign its rights or obligations under this Agreement to any party, except to a party who obtains all or substantially all of the business or assets of a third party.
 
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Vermont without regard to the conflicts of laws and principles thereof. You may not amend or waive any provision of this Agreement unless in writing and signed by both parties. This Agreement represents the entire agreement between us and you and shall supersede all prior agreements and communications of the parties, oral or written.
 
The headings and titles contained in this Agreement are included for convenience only and shall not limit or otherwise affect the terms of this Agreement. 
 
If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this agreement shall have full force and effect.
