The Website and its services are offered by AZIMO.COM. Inthese T&Cs “AZIMO.COM” refers to AZIMO Ltd, a company incorporated in theUnited Kingdom and having company registration number 07895399, having itsRegistered Office located at 9th Floor 107 Cheapside, London, United Kingdom,EC2V 6D. AZIMO.COM is trading under the name www.AZIMO.com(accordingly any reference to AZIMO.COM or www.AZIMO.comshall be construed as a reference to Azimo Ltd). 

1. DEFINITIONS AND INTERPRETATIONS 

1.1. AFFILIATE

Someone who has registered and been accepted by AZIMO.COM asan Affiliate of the AZIMO.COM Affiliate Program. 

1.2. AFFILIATE PROGRAMME

The Affiliate Program operated by AZIMO.COM. 

1.3 AFFILIATE PLATFORM

The Publisher Management Area within the Partnerizereporting interface accessible from URL https://console.partnerize.com/(or any other URL as advised by Partnerize or AZIMO.COM from time to time) 

1.4 THIS AGREEMENT

This Agreement replaces all previous terms and conditionsfor the affiliate program. 

1.5 APPROVED MARKETING MATERIAL

"Approved Marketing Materials" means Banners andText Links and any other marketing materials (that may include Our Marks - see1.11 below) that have been provided or otherwise made available to you by usand/or pre-approved by us. 

1.6 CHARGEBACKS

The reversal of a payment made previously to AZIMO.COM by aCustomer or the credit card issuing bank or any other third party paymentssolution provider. Chargebacks are regarded as fraud for the purposes ofcalculating net revenues. 

1.7 COMMISSIONS

Commissions will be paid as outlined below and within thePartnerize Affiliate Platform within the campaign commissions section. 

1.8 CUSTOMER

An individual referred / directed by the Affiliate in anyappropriate manner to a product or service provided by AZIMO.COM who can belinked to the Affiliate’s unique AZIMO.COM Affiliate account / identity whoregisters a customer account with AZIMO.COM. By opening an account withAZIMO.COM, that Customer will become our Customer and, accordingly, allAZIMO.COM’s rules, policies, and operating procedures will apply to them. 

1.9 FRAUD

A deception which in the sole opinions of AZIMO.COM isdeliberately practiced by a Customer and/or an Affiliate in order to secure areal or potential, unfair or unlawful gain and shall include Fraud Costs. 

1.10 FRAUD COSTS

The costs incurred (financial or otherwise) by AZIMO.COM asa direct or indirect result of Fraudulent Activity by Yourself, Your employeesand/ or Customers whom You, as an Affiliate, have introduced to Our Products.

1.11 OUR MARKS

"Our Marks" means the words "AZIMO","AZIMO.com" , "www.AZIMO.com";,and/or any logo, mark, domain name or trade name that contains, is confusinglysimilar to or is comprised of Our Marks or any other name or mark owned fromtime to time by us. 

1.12 PRODUCT

An online money transfer product for which professionalservices are rendered. 

1.13 SUB AFFILIATES

An individual and/or entity that You direct in anyappropriate manner to AZIMO.COM and who can be linked to Your unique Affiliateaccount / identity, which person or entity becomes an Affiliate of AZIMO.COM. 

1.14 SPAM

Unwanted and unsolicited email sent indiscriminately to oneor more mailing lists, individuals, or newsgroups. This practice is strictlyprohibited by any AZIMO.COM Affiliate or Partner. 

1.15 THIS AGREEMENT/ THESE TERMS OF USE / THIS TERMS OF USEAGREEMENT. 

1.16 US/ WE/ OUR

AZIMO.COM and all associated products. 

1.17 YOU/ YOUR/ MEMBER

You in Your capacity as an AZIMO.COM Affiliate and Partner. 

2.0. TERMS AND CONDITIONS 

IT IS IMPORTANT THAT YOU READ THIS AGREEMENT CAREFULLYBEFORE USING THESE SERVICES. IN USING THIS WEBSITE AND/ OR REGISTERING AS ANAFFILIATE WITH THE AZIMO.COM AFFILIATE PROGRAM, YOU AGREE TO BE BOUND BY OURTERMS AND CONDITIONS. THEREAFTER, BE SURE TO READ THESE TERMS AND CONDITIONSFROM TIME TO TIME AS WE WILL MAKE CHANGES TO THEM WITHOUT NOTICE. YOU WILL BEBOUND BY THESE CHANGES. 

Your use of this website / affiliate portal or any otherdomain that may be registered by AZIMO.COM, or any parent company or subsidiaryor associated company of AZIMO.COM (collectively, the “Site”), during thecourse of this Agreement, and all information, data, text, software,information, images, sounds or other materials (collectively, the “Content”)contained therein, confirms your acceptance of this Agreement and is subject toYour continued compliance with the terms and conditions of this Agreement. Weurge you to not register with the AZIMO.COM Affiliate Program if Your websiteis unsuitable. We reserve the right to immediately terminate the Agreement ifYour site is determined by Us to be unsuitable. See paragraph 5.3 below for alist of some of the types of sites that we regard as unsuitable. 

2.1. MODIFICATION OF THIS AGREEMENT

We may amend, alter, delete, interlineate or add to any ofthe terms and conditions contained in this Agreement, at any time and in oursole discretion, by informing you via written notice by email to an emailaddress you have provided to us or by updating affiliate terms and conditionson our site or affiliate platform. Such amendments, alterations, deletions,interlineations or additions may include, for example, changes in the scope ofavailable Commissions, fee schedules, payment procedures, and referral programrules. Any amendments, alterations, deletions, interlineations or additions tothis Agreement shall be effective immediately upon notice, by display on theSite or Affiliate Platform (hereinafter, “Notice”). Your use of the Site,Affiliate Platform and/ or continued marketing of Us or Our Products after suchNotice is given to You will be deemed acceptance of such amendments,alterations, deletions, interlineations or additions or the new Agreementshould this Agreement be replaced in its entirety. Be sure to review thisAgreement periodically to ensure familiarity with its most current version. 

PLEASE NOTE: NO PURPORTED MODIFICATIONS, AMENDMENTS,ALTERATIONS, ADDITIONS, DELETIONS OR INTERLINEATIONS OF THIS AGREEMENT BY YOUARE PERMITTED OR WILL BE RECOGNIZED BY US. No employees, officers or agents ofAZIMO.COM may verbally alter, modify or waive any provision of this Agreement. 

3.0. AFFILIATE RIGHTS AND OBLIGATIONS 

3.1. APPOINTING YOU AS AN AFFILIATE

Your application will be reviewed on submission and we willnotify You in a timely manner of Our acceptance or rejection of yourapplication to become an AZIMO.COM Affiliate. On acceptance, We shall andhereby grant You a non-exclusive right to direct Customers to AZIMO.COMwebsites and/or Our Products’ websites and services, in accordance with theterms and conditions of this Agreement. We intend to and shall contract withand obtain the assistance of others at any time to perform services of the sameor similar nature as Yours. 

3.2. LICENCE TO USE INTELLECTUAL PROPERTY

On registration We grant You a non-exclusive,non-transferable licence, during the term of this Agreement, to use Ourtrademarks, service marks, trade names, logos, designations, copyrights andother proprietary rights (“Intellectual Property”) solely in connection with thedisplay of the banners and relevant, appropriate content on Your site. Thisright of use of intellectual property may also be subject, at AZIMO.COM’s solediscretion, to a written agreement signed by both Parties detailing any otherterms which AZIMO.COM at its sole discretion deems appropriate, such as anypayment terms, methods of giving notices, other rights and obligations of bothParties and including a term during which You are allowed to make use of suchIntellectual Property provided you abide by the terms set forth by Us whichshall be clearly stated within such agreement. Failure to sign or otherwiseabide by such an agreement should AZIMO.COM so require You to will constitute adirect violation of these terms and conditions and will result in Your accountbeing placed under review immediately. 

3.3. YOUR WARRANTIES

By applying to be registered as a AZIMO.COM Affiliate, Youwarrant the following:

– the information You provide Us on registration iscomplete, valid and truthful;

– in the event You are a juristic person, the personsubmitting the application has the full right, power and authority to enterinto this Agreement on behalf of such entity; and

– the execution of this Agreement by such person, and theperformance by You of Your obligations and duties hereunder, do not and willnot violate any agreement to which You are a party or by which You areotherwise bound. 

3.4. SPAM

Please note that Affiliates of AZIMO.COM undertakingactivities that may be categorised as Spam, face severe consequences. In thegiving of effect to this Agreement You may not, either directly or indirectly,be a party to the generation, processing, dissemination or the like of Spam. 

We consider any unsolicited, unexpected, or unwanted SMStext message sent to the mobile subscriber in order to extort their valuablesfrom them or to mislead them, or any message originating from someone you havenot authorized to have your mobile number to be SPAM. 

Our affiliate users specifically agree NOT to use Bulk SMSSender to send SPAM. Their SMS messages must comply with the followingprinciples: 

No false, invalid or misleading information in the subjectline or the body of SMS message should be sent using Bulk SMS Sender. 

No SMS must be sent to mobile subscribers without havingpreviously obtained her/his consent.

Text displayed must clearly state or illustrate the servicethat is offered. 

Marketing campaigns must clearly identify who is providingthe service (originator) and clearly state the expense of the service promoted. 

An Opt-Out option should be present in all SMS messages sentout, allowing the Customer to choose to longer receive the message/campaigneffective immediately. 

Additionally, unsolicited e-mail, sending unsolicited e-mailmessages, unsolicited bulk e-mail or any e-mail classified as “SPAM” isstrictly and explicitly prohibited. Any volume of unsolicited e-mail isprohibited, and also considered as SPAM. You must ensure that all emailrecipients have “opted-in”, meaning that they have consented to receivingemails from You. All E-Mails must also include an “opt-out’ so that therecipient may choose to inform You that he/she would like to stop receivinge-mails and that you no longer have their consent to do so. Once a recipientopts-out, You are prohibited from sending any further e-mails to thatrecipient. The usage of harvested e-mail address is expressly prohibited, andtherefore You should not use any software or providers which will automaticallygenerate email lists by harvesting e-mail addresses from the Internet,websites, forums or e-mail correspondence. You must also ensure your e-mail“from”, “return to” or “reply to” (sender) address or addresses are valid.

Complaints related to SPAM are seen in direct violation ofthese terms and conditions and may lead to the immediate suspension of yourservice and possible closure of your account.

Any form of Spam whatsoever will result in Your accountbeing placed under review immediately and any commissions due to You beingwithheld pending an investigation. If AZIMO.COM incurs expenses and/ or damagesin dealing with such Spam generated mail or being blocked by third partyInternet Service Providers these same expenses and/ or damages will be deductedfrom Your account. If this occurs the amount of such expenses and/ or damageswill be deemed fair and final and acceptable to You. Should these expenses and/or damages not be covered by funds in Your account we have the right toinvestigate other alternative means for obtaining payment from you. Should youraccount not be active nor be generating profit through commission payments Weshall have the right to demand payment from You. Once successfully registered as an Affiliate of AZIMO.COM,You will have access to AZIMO.COM banners, text and/ or other online andoffline promotional materials and trademarks (collectively “Approved MarketingMaterial”). You may place said materials on Your site, and/ or utilize them viae-mail and/ or direct marketing and/ or print media. These are the designatedmethods by which You may advertise on behalf of AZIMO.COM. You may not alterany of the Approved Marketing Materials or make use of other marketingmaterials without Our prior written consent. Should You be in any doubt, pleasecontact [removed] before publication. All Approved MarketingMaterial must be kept current and You shall utilize new Marketing Materialforthwith after it is made available to You by Us. A breach of this clause 3.5in any way shall entitle Us to terminate this Agreement with immediate effect. 

3.6. COMPETITIVE MARKETING

You shall not market the Site and/or us or our Facilities orOur Marks in any way whatsoever, unless such activities are approved in writingby us (i) on any website on which we promote any of the Sites; (ii) by usingpay per click and/or search engine optimisation marketing techniques in orderto target Our Marks or keywords associated with Our Marks or other keywordswhich are confusingly similar to Our Marks; (iii) in any other manner thatresults in you competing with us in relation to the promotion of any of theSites; or (iv) otherwise where we request that you cease the same. 

3.7. NON-ASSIGNMENT

You acknowledge and agree that Tracking Links are for yoursole use and you shall not assign or sub-license (as appropriate) the TrackingLinks, Promo Codes nor any Fees to any third party without our prior writtenconsent. 

3.8. AFFILIATE APPOINTMENT

You hereby accept the appointment as an Affiliate partner ofAZIMO.COM in terms of clause 3.1 above. You acknowledge that this Agreementdoes not grant You an exclusive right or privilege to assist Us in theprovision of services arising from Your referrals. You shall have no claims toCommissions or other compensation on business secured by or through persons orentities other than You. 

3.9. APPROVED LAYOUTS

In the absence of Our prior written approval, You will onlybe permitted to use Our Approved Marketing Material as made available at theAZIMO.COM Affiliate Platform, or as supplied directly to You by Us, and willnot alter its appearance nor refer to Us, Our Products or Our/ their partnersin any promotional materials. The appearance and syntax of the hypertexttransfer links are designed and designated by Us and constitute the onlyauthorized and permitted representation of Our Products sites. 

3.10. GOOD FAITH / ETHICAL CONDUCT

You will not knowingly benefit from known or suspectedtraffic not generated in good faith, or via spam, whether or not it actuallycauses damage to AZIMO.COM. Fraudulent activity will result in AZIMO.COMretaining commissions and Our decision in this regard will be final and nocorrespondence will be entered into. We reserve the right to retain all amountsdue to you, either current or future, under this Agreement if we havereasonable cause to believe that such traffic has been caused with yourknowledge. Even if you have not knowingly generated such traffic, we reservethe right to withhold referral fees with respect to such traffic. 

3.11. RESPONSIBILITY FOR YOUR SITE AND/OR MARKETING METHODSAND ACTIVITIES

You will be solely responsible for the development,operation, and maintenance of Your site and/or Marketing methods and activitiesand for all materials that appear on Your site and/or distributed via YourMarketing methods and activities. For example, You will be solely responsiblefor ensuring, amongst other things, that materials posted on Your site are notlibellous or otherwise illegal. In the case of Approved Marketing Material Youare required to ensure that all news, offers and promotions in relation toAZIMO.COM are current and up to date. 

3.12. LICENCE TO USE INTELLECTUAL PROPERTY

The licence granted to You in terms of clause 3.2 above maynot be sub-licensed, assigned or otherwise transferred by You to any thirdparty without our prior permission. You shall not during the term of thisAgreement nor at any time thereafter assert the invalidity, unenforceability,or contest the ownership of the Intellectual Property in any action orproceeding of whatever kind or nature, and shall not take any action that mayprejudice Our rights in the Intellectual Property, render the same generic, orotherwise weaken their validity or diminish their associated goodwill. 

3.13. RESTRICTIONS – YOU

– are not permitted more than one AZIMO.COM Affiliateaccount.

– shall not earn Commission in the case that You are ajuristic entity, they are Your employee, director, shareholder or agent or, inthe case that You are a natural person, they are Your employee, agent or directfamily member.

– shall not earn Commission on Your own Customer Account noron the Customer Account/s of Your employees or family members.

If You or Your employees sign up as a Customer at one of OurProducts We shall have the right to terminate this Agreement. 

3.14. CONFIDENTIAL INFORMATION

Except as otherwise provided in this Agreement or with theconsent of any other parties hereto, all parties agree that all information,including, but not limited to, the terms of this Agreement, businessinformation and technology concerning Us or You, respectively, or any of OurAffiliates provided by or on behalf of any of them shall remain strictlyconfidential and secret and shall not be utilized, directly or indirectly, bysuch party for its own business purposes or for any other purpose except andsolely to the extent that any such information is generally known or availableto the public through a source or sources other than such party hereto or itsAffiliates. During the term of this Agreement, You may be entrusted withConfidential Information relating to the business, operations, or underlyingtechnology of AZIMO.COM and/ or the Affiliate Program (including, for example,Commission earned by You under the Affiliate Program). You agree to avoiddisclosure or unauthorized use of the Confidential Information to third personsor outside parties unless you have Our prior written consent and that You willuse the Confidential Information only for the purposes necessary to further thepurposes of this Agreement. Your obligations with respect to Confidential Informationshall survive the termination of this Agreement. 

3.15. DATA PROTECTION

You shall comply with any relevant data protection laws inthe jurisdiction in which You are domiciled and any jurisdictions in which Youoperate. 

3.16. MONEY LAUNDERING

You may not directly or indirectly benefit from, or be aparty to, any money laundering or related illegal activities.

It is recorded that some jurisdictions in which We operatehave strict laws on money laundering that may impose an obligation upon Us toreport You to the federal or local authorities within such jurisdictions if Weknow, suspect or have reason to suspect that any transactions in which You aredirectly or indirectly involved, amongst other things, involve funds derivedfrom illegal activities or are intended to conceal funds derived from illegalactivities or involve the use of the AZIMO.COM Affiliate Program to facilitatecriminal activity.

If we have any knowledge or suspicion envisaged for points3.15, 3.16 and/or 3.18 We may (a) immediately suspend, deregister or terminateYour membership of the Affiliate Program; and/ or (b), in our absolutediscretion, not pay You any funds due to You as Commission.

We reserve the right to report you to the aforementionedfederal or local authorities should we, in our absolute discretion, determinethat we are obliged, by law, to do so. 

3.17. LIMITATIONS OF ADVERTISING

The use of domain names, brand names or any bid made by youto any Internet search engine on keywords including without limitation, AZIMO,AZIMO.COM trademarks, variations thereof, misspellings or words that areconfusingly similar and or constitute core brand terminology, shall beconsidered to be a breach of the good faith provisions contained in AZIMO.COMAffiliates Terms and Conditions (see point 3.10). 

3.18. LIMITATIONS OF URLS

The use of AZIMO.COM brand names, including withoutlimitation AZIMO, AZIMO.COM trademarks or any variation of these names or anyuse of any words that are confusingly similar, in affiliate URLs is restricted.Brand name may not be used in a derivative URL or Subdomain. Examples:

www.yoursite.com/AZIMO.html – ALLOWED

AZIMO..yoursite.com – NOT ALLOWED

http://www.yoursiteAZIMO.com/ – NOT ALLOWED

Any infringement of the above guidelines shall be consideredto be a breach of the good faith provisions contained in AZIMO.COM AffiliatesTerms and Conditions (see point 3.10). 

3.19. RESTRICTED TERRITORIES

AZIMO.COM reserves the right to restrict service bygeography at its sole discretion. 

3.20. INFORMATION SECURITY

You are obliged to abide by the AZIMO.COM Privacy Policy atall times. 

4.0 REPORTING AND PAYMENTS 

4.1. REGISTER CUSTOMERS

We will register Customers and will track their activity.AZIMO.COM has the right to refuse Customers (or to close their accounts) ifnecessary to comply with any requirements that they may periodically establish. 

4.2. FINANCIAL REPORTING ON CUSTOMER ACTIVITY

We will track Customers activity. The style, form, contentand frequency of generated reports may, at Our discretion, vary from time totime. You will be provided with online access to our Affiliate Platform forreports of activity and the commission attracted by that activity. We willprovide You with a unique tracking link but it is Your responsibility to ensurethat the tracking links You use are in the correct syntax. We cannot trackCustomers referred by You if the links You use are incorrect, so it is vitalthat You make sure to copy the code exactly as presented by AZIMO.COM. We willnot be liable to pay Commission on any Customers who are not tracked due tomodified tracking codes or links. 

4.3. COMMISSION 

4.3.1 Based on income earned through the promotion ofAZIMO.COM products and services and by Customers referred by You, We willfacilitate payment of agreed Commissions. 

4.3.2 Calculation and Payment During the term of theagreement, we will pay you commission on a Revenue Share basis and/or cost percustomer acquisition basis, based on Income generated by Your referredCustomers and through the continued promotion of AZIMO.COM products andservices. The Affiliate Commission structure is outlined within the AffiliatePlatform.

5.0. TERM AND TERMINATION

The term of this Agreement will commence on approval of Yourregistration to AZIMO.COM and shall endure until terminated for any reason onnotice by either Party. 

5.2. TERMINATION

Notice of termination shall be given in writing by eitherParty to the other. For purposes of notification of termination, delivery viae-mail is considered a written and immediate form of notification and theAgreement shall accordingly terminate with immediate effect. 

5.3. CONSEQUENCES OF TERMINATION

In the event of termination of this Agreement for anyreason:

You will return to Us any Confidential information and/ orCustomer Information, and all copies of it in Your possession, custody andcontrol and will cease all uses of any trade names, trademarks, service marks,logos and other designations relating to Us or to Our Products. You will takeimmediate steps to transfer ownership to AZIMO.COM any derivative URLestablished by You, at a cost to AZIMO.COM not exceeding that incurred by Youin registering the derivative URL, but not the costs incurred in developing thederivative URL. You and AZIMO.COM and our electronic cash provider, suppliers,contractors, agents, their directors, officers, employees, and representativesshall be released from all obligations and liabilities to each other occurringor arising after the date of such termination, except with respect to thoseobligations that by their nature are designed to survive termination, as set outin this Agreement. Termination will not exculpate You from any liabilityarising from any breach of this Agreement, that occurred prior to termination.You will be entitled only to those unpaid referral fees (if any) earned by Youon or prior to the date of termination. You will not be entitled to any revenuegenerated after the date of termination. AZIMO.COM may withhold the finalpayment for up to three months to ensure that the correct amount has beencalculated and paid. If we continue to permit activity (generation of revenue)from Customers after termination, this shall not and shall not be construed toconstitute a continuation or renewal of this agreement or a waiver oftermination. We may terminate this agreement if we determine (in our sole discretion)that your site is unsuitable. Any form of traffic that is generated from anymedium that is aimed at children, promotes violence, includes Pornographic orNarcotic material, promotes discrimination based on race, sex, religion,nationality, disability, sexual orientation, or age, promotes illegalactivities, or violates intellectual property rights, or are otherwiseconsidered by Us to bring AZIMO.COM into disrepute or prejudice the interestsof AZIMO.COM in any way is considered unsuitable and constitutes a breach ofagreement. 

6.0. RELATIONSHIP OF PARTIES 

6.1. AZIMO.COM AND AFFILIATE RELATIONSHIP

You and we are independent contractors, and nothing in thisAgreement will create any legal partnership, joint venture, agency, franchise,sales representative, or employment relationship between the parties. You shallhave no authority to make or accept any offers or representations on Ourbehalf. You shall not make any statement, whether on Your site or otherwise,that conflicts with this clause 6.1. 

6.2. LOCAL LEGISLATION

You will not be treated as an employee with respect to theInternal Revenue Code, Social Security Act, Federal Unemployment Acts, or anyother federal, state, or local statute, ordinance, rule, or regulation of anycountry whatsoever similar in purpose to the aforementioned Code and Acts. 

6.3. REPRESENTATION OF AZIMO.COM

You shall not make any claims, representations, orwarranties in connection with AZIMO.COM and You shall have no authority to, andshall not, bind Us to any obligations outside of this Agreement, unless agreedto in writing by either AZIMO.COM. 

7.0. INDEMNITY, DISCLAIMERS AND LIMITATION OF LIABILITY 

7.1. INDEMNITY

You shall defend, indemnify, and hold AZIMO.COM and ourelectronic cash providers, suppliers, contractors, agents, their directors,officers, employees, and representatives harmless from and against any and allliabilities, losses, damages, and costs, including reasonable attorney’s fees,resulting from, arising out of, or in any way connected with

– any breach by You of any warranty, representation, oragreement contained in this Agreement,

– the performance of Your duties and obligations under thisAgreement,

– Your negligence or

– any injury caused directly or indirectly by Your negligentor intentional acts or omissions, or the unauthorized use of Our banners andlink or this Affiliate Program. Further, You will indemnify and hold Usharmless from all claims, damages, and expenses (including, and withoutlimitation, attorneys’ fees) relating to the development, operation,maintenance, and contents of Your site. 

7.2. DISCLAIMERS

We make no express or implied warranties or representationswith respect to the Affiliate Program, AZIMO.COM or Commission paymentarrangements (including, without limitation, their functionality, warranties offitness, Product-ability, legality, non-infringement, or any implied warrantiesarising out of a course of performance, dealing, or trade usage). In addition,We make no representation that the operation of Our site (including service andtracking) will be uninterrupted or error-free. We will not be liable for the consequencesof any such interruptions or errors. 

7.3. LIMITATION OF LIABILITY

We will not be liable for direct, indirect, special,punitive or consequential damages or for any loss, of any nature whatsoever,arising from or in connection with this Agreement or the Affiliate Program,even if We have been advised of the possibility of such damages. Further, Ouraggregate liability arising with respect to this Agreement and the Programshall not exceed the total Commission paid or payable by Us to You under thisAgreement. Our obligations under this Agreement do not constitute personalobligations of Our directors, officers, consultants, agents or shareholders.Any liability arising under this Agreement shall be satisfied solely from thereferral fee generated and is limited to direct damages. 

8.0. MISCELLANEOUS 

8.1. GOVERNING LAW

This Agreement will be governed by the laws of the UnitedKingdom. 

8.2. MUTUAL SUPPORT

Both Parties shall give each other their mutual support inthe giving of effect to the spirit, purport and object of this Agreement. 

8.3. THIRD PARTIES

Nothing in this Agreement shall be construed to provide anyrights, remedies or benefits to any person or entity not a party to thisAgreement. 

8.4. ASSIGNABILITY AND INUREMENT

You may not assign this Agreement, by operation of law orotherwise, without Our prior written consent. Subject to that restriction, thisAgreement will be binding on, inure to the benefit of, and enforceable againstYou and Us and Your and Our respective successors and assigns. 

8.5. NON-WAIVER

Our failure to enforce Your strict performance of anyprovision of this Agreement will not constitute nor be construed as a waiver ofOur right to subsequently enforce such provision or any other provision of thisAgreement. 

8.6. REMEDIES

Our rights and remedies hereunder shall be mutuallyexclusive, i.e., the exercise of one or more of the provisions of thisAgreement shall not preclude the exercise of any other provision. Youacknowledge, confirm, and agree that damages may be inadequate for a breach ora threatened breach of this Agreement and, in the event of a breach orthreatened breach of any provision of this Agreement, the respective rights andobligations of the parties may be enforceable by specific performance,injunction, or other equitable remedy. Nothing contained in this Agreementshall limit or affect any of Our rights at law, or otherwise, for a breach orthreatened breach of any provision of this Agreement, it being the intent ofthis provision to make clear that Our respective rights and obligations shallbe enforceable in equity as well as at law or otherwise. 

8.7. SEVERABILITY/WAIVER

Whenever possible, each provision of this Agreement shall beinterpreted in such a manner as to be effective and valid under applicable lawbut, if any provision of this Agreement is held to be invalid, illegal orunenforceable in any respect, such provision will be ineffective only to theextent of such invalidity, or unenforceability, without invalidating the remainderof this Agreement or any provision hereof. No waiver will be implied fromconduct or failure to enforce any rights and must be in writing to beeffective. 

8.8. GENERAL

This agreement will stay in effect for so long as AZIMO.COMmakes this service available, unless this agreement is terminated prior theretoin terms of clause 5.0 above. 

MARKETING PARTNER DATA POLICY 

ABOUT THIS POLICY 

Azimo processes international payment transactions(“Transactions”) on behalf of its customers (“Senders”) to payment recipient(“Recipients”). Based on it’s legitimate interest, Azimo engages into variousmarketing endeavours to promote services and products.  

This policy sets out a set of standards intended to applybetween Azimo and such marketing partners (“Partners”), including partnersbased within and outside of the European Economic Area in relation to thetransfer of personal data.  

GOVERNING LEGISLATION 

This policy refers to “Data Legislation” which means allapplicable laws and regulations relating to the processing of personal andprivacy as may be applicable from time to time, including “GDPR” (EU GeneralData Protection Regulation 2016/679) and any successor legislation togetherwith any applicable privacy or data protection legislation within the Partner’sjurisdiction. 

This policy relates to the processing of personal datatransferred or provided to the Partner by Azimo (“Azimo Personal Data”) whichmeans any personal information relating to a current Azimo Customer.  

This policy relates to the processing of personal datatransferred or provided to Azimo by the Partner (“Partner Personal Data”) whichmeans any personal information relating to a prospective Customer. 

This policy does not apply to processing anonymised andencrypted personal data transferred or provided to Azimo by the Partner(“Anonymised and Encrypted Partner Personal Data”) and to the processing of anonymised andencrypted personal data transferred or provided to the Partner by Azimo(“Anonymised and Encrypted Azimo Personal Data”) which means any informationwhich does not relate to an identified or identifiable natural person or topersonal data rendered anonymous in such a manner that the data subject is notor no longer identifiable.

CONTROLLER AND PROCESSOR OF AZIMO PERSONAL DATA

For the purposes of Data Legislation, unless otherwiseagreed, Azimo is the data controller and the Partner is the data processor ofthe Azimo Personal Data. 

As processor, the Partner agrees that it will not processAzimo Personal Data which is subject to this policy other than: 

●     as required by the contract between Partner and Azimo;

●     as provided for in this Policy;

●     on Azimo’s written instructions; or

●     as may be required by a legal or regulatory requirementin which case the Partner agrees (to the extent permitted by law) to informAzimo of the relevant legal or regulatory requirement before the processing. 

CONTROLLER IN COMMON 

If the Partner believes it is a data controller of AzimoPersonal Data to the extent of the processing required to complete theagreement between Azimo and Partner, then the Partner agrees to notify Azimoand if Azimo agrees that the Partner is a data controller, the Partner agreesthat to the extent any data transferred to the Partner relates to a resident ofthe European Economic Area then: 

●     the Partner will comply with all the obligationsimposed on a controller under Data Legislation;

●     the Partner will comply with the principles set out inArticle 5 GDPR;

●     the Partner will take appropriate steps to provideinformation under Article 13 GDPR to any relevant data subject; and

●     the terms of this Policy shall for the avoidance ofdoubt continue to apply. 

CONTROLLER IN COMMON OF PARTNER PERSONAL DATA 

●     Azimo will comply with all the obligations imposed on acontroller under Data Legislation;

●     Azimo will comply with the principles set out inArticle 5 GDPR;

●     Azimo will take appropriate steps to provideinformation under Article 13 GDPR to any relevant data subject; and

●     the terms of this Policy shall for the avoidance ofdoubt continue to apply. 

SECURITY MEASURES 

Azimo and The Partner agrees that all staff who have accessto and/or process Personal Data will be obliged to keep the informationconfidential.  

Azimo and The Partner will ensure that they have in placeappropriate technical and organisational measures to ensure that Personal Datais subject to an appropriate level of security.  

In reaching its judgement as to the appropriate level ofsecurity Azimo and the Partner will take into account current technology, costsof implementation and the nature, scope, context and purposes of the processingundertaken as well as the harm that might result from the unauthorised orunlawful processing or accidental loss, destruction or damage of the PersonalData. 

THIRD PARTY TRANSFERS 

With respect to each third-party processor, Azimo and thePartner will take steps to ensure that the applicable terms with that processorwill offer at least the same level of protection for Personal Data as those setout in this agreement and which meet the requirements of article 28(3) of theGDPR. As between the Partner and Azimo, the Partner will remain fully liablefor all acts or omissions of any third-party processor appointed by thePartner. 

DATA BREACHES 

Azimo and The Partner will notify each other without unduedelay upon becoming aware of any breach affecting Personal Data and the willassist in responding to any request from a data subject and in ensuringcompliance with its obligations under Data Legislation with respect tosecurity, breach notifications, impact assessments and consultations withsupervisory authorities or regulators. 

RECORDS, AUDIT AND DATA SUBJECT REQUESTS 

Azimo and The Partner will maintain complete and accuraterecords and information to demonstrate its compliance with this Policy and DataLegislation and will cooperate with and allow for audits by the Azimo or itsdesignated auditor in relation to the processing of Personal Data. 

Azimo and The Partner shall notify and consult about anynotices given to data subjects in relation to the Personal Data; 

Azimo and The Partner shall inform each other about thereceipt of any subject access or other request from a data subject andcooperate in responding to such request. 

PARTNER PERSONAL DATA 

The Partner ensures that all personal information gatheredand shared with Azimo are collected in line with this Policy and DataLegislation.  

EFFECT OF TERMINATION 

At the end of the Partner’s relationship or agreement withAzimo the Partner may retain Azimo Personal Data only to the extent required byits legal and regulatory requirements only to the extent and for such period asrequired by those legal or regulatory requirements.

Any data not subject to such requirements shall be storedsecurely and deleted or returned to Azimo if requested by Azimo.  

GENERAL 

This Policy may be varied from time to time. Azimo willprovide a copy of any revised Policy to the Partner. 

If any provision of this Policy shall be held by a court ofcompetent jurisdiction to be invalid or voidable such provision shall be struckout and the remainder thereof shall stand in full force and effect. 

No failure or delay by any party to exercise any right,power or remedy will operate as a waiver of it nor will any partial exercisepreclude any further exercise of the same, or of some other right, power orremedy.

1.6 CHARGEBACKS

The reversal of a payment made previously to AZIMO.COM by aCustomer or the credit card issuing bank or any other third party paymentssolution provider. Chargebacks are regarded as fraud for the purposes ofcalculating net revenues.

1.7 COMMISSIONS

Commissions will be paid as outlined below and within thePartnerize Affiliate Platform within the campaign commissions section.

1.8 CUSTOMER

An individual referred / directed by the Affiliate in anyappropriate manner to a product or service provided by AZIMO.COM who can belinked to the Affiliate’s unique AZIMO.COM Affiliate account / identity whoregisters a customer account with AZIMO.COM. By opening an account withAZIMO.COM, that Customer will become our Customer and, accordingly, allAZIMO.COM’s rules, policies, and operating procedures will apply to them.

1.9 FRAUD

A deception which in the sole opinions of AZIMO.COM isdeliberately practiced by a Customer and/or an Affiliate in order to secure areal or potential, unfair or unlawful gain and shall include Fraud Costs.

1.10 FRAUD COSTS

The costs incurred (financial or otherwise) by AZIMO.COM asa direct or indirect result of Fraudulent Activity by Yourself, Your employeesand/ or Customers whom You, as an Affiliate, have introduced to Our Products.

1.11 OUR MARKS

"Our Marks" means the words "AZIMO","AZIMO.com" , "www.AZIMO.com";,and/or any logo, mark, domain name or trade name that contains, is confusinglysimilar to or is comprised of Our Marks or any other name or mark owned fromtime to time by us.

1.12 PRODUCT

An online money transfer product for which professionalservices are rendered.

1.13 SUB AFFILIATES

An individual and/or entity that You direct in anyappropriate manner to AZIMO.COM and who can be linked to Your unique Affiliateaccount / identity, which person or entity becomes an Affiliate of AZIMO.COM.

1.14 SPAM

Unwanted and unsolicited email sent indiscriminately to oneor more mailing lists, individuals, or newsgroups. This practice is strictlyprohibited by any AZIMO.COM Affiliate or Partner.

1.15 THIS AGREEMENT/ THESE TERMS OF USE / THIS TERMS OF USEAGREEMENT.

2.1. MODIFICATION OF THIS AGREEMENT

We may amend, alter, delete, interlineate or add to any ofthe terms and conditions contained in this Agreement, at any time and in oursole discretion, by informing you via written notice by email to an emailaddress you have provided to us or by updating affiliate terms and conditionson our site or affiliate platform. Such amendments, alterations, deletions,interlineations or additions may include, for example, changes in the scope ofavailable Commissions, fee schedules, payment procedures, and referral programrules. Any amendments, alterations, deletions, interlineations or additions tothis Agreement shall be effective immediately upon notice, by display on theSite or Affiliate Platform (hereinafter, “Notice”). Your use of the Site,Affiliate Platform and/ or continued marketing of Us or Our Products after suchNotice is given to You will be deemed acceptance of such amendments,alterations, deletions, interlineations or additions or the new Agreementshould this Agreement be replaced in its entirety. Be sure to review thisAgreement periodically to ensure familiarity with its most current version.

PLEASE NOTE: NO PURPORTED MODIFICATIONS, AMENDMENTS,ALTERATIONS, ADDITIONS, DELETIONS OR INTERLINEATIONS OF THIS AGREEMENT BY YOUARE PERMITTED OR WILL BE RECOGNIZED BY US. No employees, officers or agents ofAZIMO.COM may verbally alter, modify or waive any provision of this Agreement.

3.0. AFFILIATE RIGHTS AND OBLIGATIONS

3.1. APPOINTING YOU AS AN AFFILIATE

Your application will be reviewed on submission and we willnotify You in a timely manner of Our acceptance or rejection of yourapplication to become an AZIMO.COM Affiliate. On acceptance, We shall andhereby grant You a non-exclusive right to direct Customers to AZIMO.COMwebsites and/or Our Products’ websites and services, in accordance with theterms and conditions of this Agreement. We intend to and shall contract withand obtain the assistance of others at any time to perform services of the sameor similar nature as Yours.

3.2. LICENCE TO USE INTELLECTUAL PROPERTY

On registration We grant You a non-exclusive,non-transferable licence, during the term of this Agreement, to use Ourtrademarks, service marks, trade names, logos, designations, copyrights andother proprietary rights (“Intellectual Property”) solely in connection with thedisplay of the banners and relevant, appropriate content on Your site. Thisright of use of intellectual property may also be subject, at AZIMO.COM’s solediscretion, to a written agreement signed by both Parties detailing any otherterms which AZIMO.COM at its sole discretion deems appropriate, such as anypayment terms, methods of giving notices, other rights and obligations of bothParties and including a term during which You are allowed to make use of suchIntellectual Property provided you abide by the terms set forth by Us whichshall be clearly stated within such agreement. Failure to sign or otherwiseabide by such an agreement should AZIMO.COM so require You to will constitute adirect violation of these terms and conditions and will result in Your accountbeing placed under review immediately.

3.3. YOUR WARRANTIES

By applying to be registered as a AZIMO.COM Affiliate, Youwarrant the following:

– the information You provide Us on registration iscomplete, valid and truthful;

– in the event You are a juristic person, the personsubmitting the application has the full right, power and authority to enterinto this Agreement on behalf of such entity; and

– the execution of this Agreement by such person, and theperformance by You of Your obligations and duties hereunder, do not and willnot violate any agreement to which You are a party or by which You areotherwise bound.

3.4. SPAM

Please note that Affiliates of AZIMO.COM undertakingactivities that may be categorised as Spam, face severe consequences. In thegiving of effect to this Agreement You may not, either directly or indirectly,be a party to the generation, processing, dissemination or the like of Spam.

We consider any unsolicited, unexpected, or unwanted SMStext message sent to the mobile subscriber in order to extort their valuablesfrom them or to mislead them, or any message originating from someone you havenot authorized to have your mobile number to be SPAM.

Our affiliate users specifically agree NOT to use Bulk SMSSender to send SPAM. Their SMS messages must comply with the followingprinciples:

No false, invalid or misleading information in the subjectline or the body of SMS message should be sent using Bulk SMS Sender.

No SMS must be sent to mobile subscribers without havingpreviously obtained her/his consent.

Text displayed must clearly state or illustrate the servicethat is offered.

Marketing campaigns must clearly identify who is providingthe service (originator) and clearly state the expense of the service promoted.

An Opt-Out option should be present in all SMS messages sentout, allowing the Customer to choose to longer receive the message/campaigneffective immediately.

Additionally, unsolicited e-mail, sending unsolicited e-mailmessages, unsolicited bulk e-mail or any e-mail classified as “SPAM” isstrictly and explicitly prohibited. Any volume of unsolicited e-mail isprohibited, and also considered as SPAM. You must ensure that all emailrecipients have “opted-in”, meaning that they have consented to receivingemails from You. All E-Mails must also include an “opt-out’ so that therecipient may choose to inform You that he/she would like to stop receivinge-mails and that you no longer have their consent to do so. Once a recipientopts-out, You are prohibited from sending any further e-mails to thatrecipient. The usage of harvested e-mail address is expressly prohibited, andtherefore You should not use any software or providers which will automaticallygenerate email lists by harvesting e-mail addresses from the Internet,websites, forums or e-mail correspondence. You must also ensure your e-mail“from”, “return to” or “reply to” (sender) address or addresses are valid.

Complaints related to SPAM are seen in direct violation ofthese terms and conditions and may lead to the immediate suspension of yourservice and possible closure of your account.

Any form of Spam whatsoever will result in Your accountbeing placed under review immediately and any commissions due to You beingwithheld pending an investigation. If AZIMO.COM incurs expenses and/ or damagesin dealing with such Spam generated mail or being blocked by third partyInternet Service Providers these same expenses and/ or damages will be deductedfrom Your account. If this occurs the amount of such expenses and/ or damageswill be deemed fair and final and acceptable to You. Should these expenses and/or damages not be covered by funds in Your account we have the right toinvestigate other alternative means for obtaining payment from you. Should youraccount not be active nor be generating profit through commission payments Weshall have the right to demand payment from You. 3.5. MARKETING MATERIAL

Once successfully registered as an Affiliate of AZIMO.COM,You will have access to AZIMO.COM banners, text and/ or other online andoffline promotional materials and trademarks (collectively “Approved MarketingMaterial”). You may place said materials on Your site, and/ or utilize them viae-mail and/ or direct marketing and/ or print media. These are the designatedmethods by which You may advertise on behalf of AZIMO.COM. You may not alterany of the Approved Marketing Materials or make use of other marketingmaterials without Our prior written consent. Should You be in any doubt, pleasecontact [removed] before publication. All Approved MarketingMaterial must be kept current and You shall utilize new Marketing Materialforthwith after it is made available to You by Us. A breach of this clause 3.5in any way shall entitle Us to terminate this Agreement with immediate effect.

3.6. COMPETITIVE MARKETING

You shall not market the Site and/or us or our Facilities orOur Marks in any way whatsoever, unless such activities are approved in writingby us (i) on any website on which we promote any of the Sites; (ii) by usingpay per click and/or search engine optimisation marketing techniques in orderto target Our Marks or keywords associated with Our Marks or other keywordswhich are confusingly similar to Our Marks; (iii) in any other manner thatresults in you competing with us in relation to the promotion of any of theSites; or (iv) otherwise where we request that you cease the same.

3.7. NON-ASSIGNMENT

You acknowledge and agree that Tracking Links are for yoursole use and you shall not assign or sub-license (as appropriate) the TrackingLinks, Promo Codes nor any Fees to any third party without our prior writtenconsent.

3.8. AFFILIATE APPOINTMENT

You hereby accept the appointment as an Affiliate partner ofAZIMO.COM in terms of clause 3.1 above. You acknowledge that this Agreementdoes not grant You an exclusive right or privilege to assist Us in theprovision of services arising from Your referrals. You shall have no claims toCommissions or other compensation on business secured by or through persons orentities other than You.

3.9. APPROVED LAYOUTS

In the absence of Our prior written approval, You will onlybe permitted to use Our Approved Marketing Material as made available at theAZIMO.COM Affiliate Platform, or as supplied directly to You by Us, and willnot alter its appearance nor refer to Us, Our Products or Our/ their partnersin any promotional materials. The appearance and syntax of the hypertexttransfer links are designed and designated by Us and constitute the onlyauthorized and permitted representation of Our Products sites.

3.10. GOOD FAITH / ETHICAL CONDUCT

You will not knowingly benefit from known or suspectedtraffic not generated in good faith, or via spam, whether or not it actuallycauses damage to AZIMO.COM. Fraudulent activity will result in AZIMO.COMretaining commissions and Our decision in this regard will be final and nocorrespondence will be entered into. We reserve the right to retain all amountsdue to you, either current or future, under this Agreement if we havereasonable cause to believe that such traffic has been caused with yourknowledge. Even if you have not knowingly generated such traffic, we reservethe right to withhold referral fees with respect to such traffic.

3.11. RESPONSIBILITY FOR YOUR SITE AND/OR MARKETING METHODSAND ACTIVITIES

You will be solely responsible for the development,operation, and maintenance of Your site and/or Marketing methods and activitiesand for all materials that appear on Your site and/or distributed via YourMarketing methods and activities. For example, You will be solely responsiblefor ensuring, amongst other things, that materials posted on Your site are notlibellous or otherwise illegal. In the case of Approved Marketing Material Youare required to ensure that all news, offers and promotions in relation toAZIMO.COM are current and up to date.

3.12. LICENCE TO USE INTELLECTUAL PROPERTY

The licence granted to You in terms of clause 3.2 above maynot be sub-licensed, assigned or otherwise transferred by You to any thirdparty without our prior permission. You shall not during the term of thisAgreement nor at any time thereafter assert the invalidity, unenforceability,or contest the ownership of the Intellectual Property in any action orproceeding of whatever kind or nature, and shall not take any action that mayprejudice Our rights in the Intellectual Property, render the same generic, orotherwise weaken their validity or diminish their associated goodwill.

3.13. RESTRICTIONS – YOU

– are not permitted more than one AZIMO.COM Affiliateaccount.

– shall not earn Commission in the case that You are ajuristic entity, they are Your employee, director, shareholder or agent or, inthe case that You are a natural person, they are Your employee, agent or directfamily member.

– shall not earn Commission on Your own Customer Account noron the Customer Account/s of Your employees or family members.

If You or Your employees sign up as a Customer at one of OurProducts We shall have the right to terminate this Agreement.

3.14. CONFIDENTIAL INFORMATION

Except as otherwise provided in this Agreement or with theconsent of any other parties hereto, all parties agree that all information,including, but not limited to, the terms of this Agreement, businessinformation and technology concerning Us or You, respectively, or any of OurAffiliates provided by or on behalf of any of them shall remain strictlyconfidential and secret and shall not be utilized, directly or indirectly, bysuch party for its own business purposes or for any other purpose except andsolely to the extent that any such information is generally known or availableto the public through a source or sources other than such party hereto or itsAffiliates. During the term of this Agreement, You may be entrusted withConfidential Information relating to the business, operations, or underlyingtechnology of AZIMO.COM and/ or the Affiliate Program (including, for example,Commission earned by You under the Affiliate Program). You agree to avoiddisclosure or unauthorized use of the Confidential Information to third personsor outside parties unless you have Our prior written consent and that You willuse the Confidential Information only for the purposes necessary to further thepurposes of this Agreement. Your obligations with respect to Confidential Informationshall survive the termination of this Agreement.

3.15. DATA PROTECTION

You shall comply with any relevant data protection laws inthe jurisdiction in which You are domiciled and any jurisdictions in which Youoperate.

3.16. MONEY LAUNDERING

You may not directly or indirectly benefit from, or be aparty to, any money laundering or related illegal activities.

It is recorded that some jurisdictions in which We operatehave strict laws on money laundering that may impose an obligation upon Us toreport You to the federal or local authorities within such jurisdictions if Weknow, suspect or have reason to suspect that any transactions in which You aredirectly or indirectly involved, amongst other things, involve funds derivedfrom illegal activities or are intended to conceal funds derived from illegalactivities or involve the use of the AZIMO.COM Affiliate Program to facilitatecriminal activity.

If we have any knowledge or suspicion envisaged for points3.15, 3.16 and/or 3.18 We may (a) immediately suspend, deregister or terminateYour membership of the Affiliate Program; and/ or (b), in our absolutediscretion, not pay You any funds due to You as Commission.

We reserve the right to report you to the aforementionedfederal or local authorities should we, in our absolute discretion, determinethat we are obliged, by law, to do so.

3.17. LIMITATIONS OF ADVERTISING

The use of domain names, brand names or any bid made by youto any Internet search engine on keywords including without limitation, AZIMO,AZIMO.COM trademarks, variations thereof, misspellings or words that areconfusingly similar and or constitute core brand terminology, shall beconsidered to be a breach of the good faith provisions contained in AZIMO.COMAffiliates Terms and Conditions (see point 3.10).

3.18. LIMITATIONS OF URLS

The use of AZIMO.COM brand names, including withoutlimitation AZIMO, AZIMO.COM trademarks or any variation of these names or anyuse of any words that are confusingly similar, in affiliate URLs is restricted.Brand name may not be used in a derivative URL or Subdomain. Examples:

www.yoursite.com/AZIMO.html – ALLOWED

AZIMO..yoursite.com – NOT ALLOWED

http://www.yoursiteAZIMO.com/ – NOT ALLOWED

Any infringement of the above guidelines shall be consideredto be a breach of the good faith provisions contained in AZIMO.COM AffiliatesTerms and Conditions (see point 3.10).

3.19. RESTRICTED TERRITORIES

AZIMO.COM reserves the right to restrict service bygeography at its sole discretion.

3.20. INFORMATION SECURITY

You are obliged to abide by the AZIMO.COM Privacy Policy atall times.

4.0 REPORTING AND PAYMENTS

4.1. REGISTER CUSTOMERS

We will register Customers and will track their activity.AZIMO.COM has the right to refuse Customers (or to close their accounts) ifnecessary to comply with any requirements that they may periodically establish.

4.2. FINANCIAL REPORTING ON CUSTOMER ACTIVITY

We will track Customers activity. The style, form, contentand frequency of generated reports may, at Our discretion, vary from time totime. You will be provided with online access to our Affiliate Platform forreports of activity and the commission attracted by that activity. We willprovide You with a unique tracking link but it is Your responsibility to ensurethat the tracking links You use are in the correct syntax. We cannot trackCustomers referred by You if the links You use are incorrect, so it is vitalthat You make sure to copy the code exactly as presented by AZIMO.COM. We willnot be liable to pay Commission on any Customers who are not tracked due tomodified tracking codes or links.

4.3. COMMISSION

4.3.1 Based on income earned through the promotion ofAZIMO.COM products and services and by Customers referred by You, We willfacilitate payment of agreed Commissions.

4.3.2 Calculation and Payment During the term of theagreement, we will pay you commission on a Revenue Share basis and/or cost percustomer acquisition basis, based on Income generated by Your referredCustomers and through the continued promotion of AZIMO.COM products andservices. The Affiliate Commission structure is outlined within the AffiliatePlatform.

4.3.2 Calculation and Payment of Affiliate Commission willbe made subject to the following terms ;

4.3.2 We reserve the right to change such AffiliateCommission Structure at any time without notice.

5.0. TERM AND TERMINATION

5.1. TERM

The term of this Agreement will commence on approval of Yourregistration to AZIMO.COM and shall endure until terminated for any reason onnotice by either Party.

5.2. TERMINATION

Notice of termination shall be given in writing by eitherParty to the other. For purposes of notification of termination, delivery viae-mail is considered a written and immediate form of notification and theAgreement shall accordingly terminate with immediate effect.

5.3. CONSEQUENCES OF TERMINATION

In the event of termination of this Agreement for anyreason:

You will return to Us any Confidential information and/ orCustomer Information, and all copies of it in Your possession, custody andcontrol and will cease all uses of any trade names, trademarks, service marks,logos and other designations relating to Us or to Our Products. You will takeimmediate steps to transfer ownership to AZIMO.COM any derivative URLestablished by You, at a cost to AZIMO.COM not exceeding that incurred by Youin registering the derivative URL, but not the costs incurred in developing thederivative URL. You and AZIMO.COM and our electronic cash provider, suppliers,contractors, agents, their directors, officers, employees, and representativesshall be released from all obligations and liabilities to each other occurringor arising after the date of such termination, except with respect to thoseobligations that by their nature are designed to survive termination, as set outin this Agreement. Termination will not exculpate You from any liabilityarising from any breach of this Agreement, that occurred prior to termination.You will be entitled only to those unpaid referral fees (if any) earned by Youon or prior to the date of termination. You will not be entitled to any revenuegenerated after the date of termination. AZIMO.COM may withhold the finalpayment for up to three months to ensure that the correct amount has beencalculated and paid. If we continue to permit activity (generation of revenue)from Customers after termination, this shall not and shall not be construed toconstitute a continuation or renewal of this agreement or a waiver oftermination. We may terminate this agreement if we determine (in our sole discretion)that your site is unsuitable. Any form of traffic that is generated from anymedium that is aimed at children, promotes violence, includes Pornographic orNarcotic material, promotes discrimination based on race, sex, religion,nationality, disability, sexual orientation, or age, promotes illegalactivities, or violates intellectual property rights, or are otherwiseconsidered by Us to bring AZIMO.COM into disrepute or prejudice the interestsof AZIMO.COM in any way is considered unsuitable and constitutes a breach ofagreement.

6.0. RELATIONSHIP OF PARTIES

6.1. AZIMO.COM AND AFFILIATE RELATIONSHIP

You and we are independent contractors, and nothing in thisAgreement will create any legal partnership, joint venture, agency, franchise,sales representative, or employment relationship between the parties. You shallhave no authority to make or accept any offers or representations on Ourbehalf. You shall not make any statement, whether on Your site or otherwise,that conflicts with this clause 6.1.

6.2. LOCAL LEGISLATION

You will not be treated as an employee with respect to theInternal Revenue Code, Social Security Act, Federal Unemployment Acts, or anyother federal, state, or local statute, ordinance, rule, or regulation of anycountry whatsoever similar in purpose to the aforementioned Code and Acts.

6.3. REPRESENTATION OF AZIMO.COM

You shall not make any claims, representations, orwarranties in connection with AZIMO.COM and You shall have no authority to, andshall not, bind Us to any obligations outside of this Agreement, unless agreedto in writing by either AZIMO.COM.

7.0. INDEMNITY, DISCLAIMERS AND LIMITATION OF LIABILITY

7.1. INDEMNITY

You shall defend, indemnify, and hold AZIMO.COM and ourelectronic cash providers, suppliers, contractors, agents, their directors,officers, employees, and representatives harmless from and against any and allliabilities, losses, damages, and costs, including reasonable attorney’s fees,resulting from, arising out of, or in any way connected with

– any breach by You of any warranty, representation, oragreement contained in this Agreement,

– the performance of Your duties and obligations under thisAgreement,

– Your negligence or

– any injury caused directly or indirectly by Your negligentor intentional acts or omissions, or the unauthorized use of Our banners andlink or this Affiliate Program. Further, You will indemnify and hold Usharmless from all claims, damages, and expenses (including, and withoutlimitation, attorneys’ fees) relating to the development, operation,maintenance, and contents of Your site.

7.2. DISCLAIMERS

We make no express or implied warranties or representationswith respect to the Affiliate Program, AZIMO.COM or Commission paymentarrangements (including, without limitation, their functionality, warranties offitness, Product-ability, legality, non-infringement, or any implied warrantiesarising out of a course of performance, dealing, or trade usage). In addition,We make no representation that the operation of Our site (including service andtracking) will be uninterrupted or error-free. We will not be liable for the consequencesof any such interruptions or errors.

7.3. LIMITATION OF LIABILITY

We will not be liable for direct, indirect, special,punitive or consequential damages or for any loss, of any nature whatsoever,arising from or in connection with this Agreement or the Affiliate Program,even if We have been advised of the possibility of such damages. Further, Ouraggregate liability arising with respect to this Agreement and the Programshall not exceed the total Commission paid or payable by Us to You under thisAgreement. Our obligations under this Agreement do not constitute personalobligations of Our directors, officers, consultants, agents or shareholders.Any liability arising under this Agreement shall be satisfied solely from thereferral fee generated and is limited to direct damages.

8.0. MISCELLANEOUS

8.1. GOVERNING LAW

This Agreement will be governed by the laws of the UnitedKingdom.

8.2. MUTUAL SUPPORT

Both Parties shall give each other their mutual support inthe giving of effect to the spirit, purport and object of this Agreement.

8.3. THIRD PARTIES

Nothing in this Agreement shall be construed to provide anyrights, remedies or benefits to any person or entity not a party to thisAgreement.

8.4. ASSIGNABILITY AND INUREMENT

You may not assign this Agreement, by operation of law orotherwise, without Our prior written consent. Subject to that restriction, thisAgreement will be binding on, inure to the benefit of, and enforceable againstYou and Us and Your and Our respective successors and assigns.

8.5. NON-WAIVER

Our failure to enforce Your strict performance of anyprovision of this Agreement will not constitute nor be construed as a waiver ofOur right to subsequently enforce such provision or any other provision of thisAgreement.

8.6. REMEDIES

Our rights and remedies hereunder shall be mutuallyexclusive, i.e., the exercise of one or more of the provisions of thisAgreement shall not preclude the exercise of any other provision. Youacknowledge, confirm, and agree that damages may be inadequate for a breach ora threatened breach of this Agreement and, in the event of a breach orthreatened breach of any provision of this Agreement, the respective rights andobligations of the parties may be enforceable by specific performance,injunction, or other equitable remedy. Nothing contained in this Agreementshall limit or affect any of Our rights at law, or otherwise, for a breach orthreatened breach of any provision of this Agreement, it being the intent ofthis provision to make clear that Our respective rights and obligations shallbe enforceable in equity as well as at law or otherwise.

8.7. SEVERABILITY/WAIVER

Whenever possible, each provision of this Agreement shall beinterpreted in such a manner as to be effective and valid under applicable lawbut, if any provision of this Agreement is held to be invalid, illegal orunenforceable in any respect, such provision will be ineffective only to theextent of such invalidity, or unenforceability, without invalidating the remainderof this Agreement or any provision hereof. No waiver will be implied fromconduct or failure to enforce any rights and must be in writing to beeffective.

8.8. GENERAL

This agreement will stay in effect for so long as AZIMO.COMmakes this service available, unless this agreement is terminated prior theretoin terms of clause 5.0 above.

MARKETING PARTNER DATA POLICY

ABOUT THIS POLICY

Azimo processes international payment transactions(“Transactions”) on behalf of its customers (“Senders”) to payment recipient(“Recipients”). Based on it’s legitimate interest, Azimo engages into variousmarketing endeavours to promote services and products.  

This policy sets out a set of standards intended to applybetween Azimo and such marketing partners (“Partners”), including partnersbased within and outside of the European Economic Area in relation to thetransfer of personal data.  

GOVERNING LEGISLATION

This policy refers to “Data Legislation” which means allapplicable laws and regulations relating to the processing of personal andprivacy as may be applicable from time to time, including “GDPR” (EU GeneralData Protection Regulation 2016/679) and any successor legislation togetherwith any applicable privacy or data protection legislation within the Partner’sjurisdiction.

This policy relates to the processing of personal datatransferred or provided to the Partner by Azimo (“Azimo Personal Data”) whichmeans any personal information relating to a current Azimo Customer.  

This policy relates to the processing of personal datatransferred or provided to Azimo by the Partner (“Partner Personal Data”) whichmeans any personal information relating to a prospective Customer.

This policy does not apply to processing anonymised andencrypted personal data transferred or provided to Azimo by the Partner(“Anonymised and Encrypted Partner Personal Data”) and to the processing of anonymised andencrypted personal data transferred or provided to the Partner by Azimo(“Anonymised and Encrypted Azimo Personal Data”) which means any informationwhich does not relate to an identified or identifiable natural person or topersonal data rendered anonymous in such a manner that the data subject is notor no longer identifiable.

Personal Data will be processed by the Azimo and Partner inaccordance with the regulatory requirements for the purposes establishedbetween Azimo and Partner only.  

BACKGROUND

The information above contains details of the scope, natureand purpose of the processing of Azimo Personal Data by the Partner includingthe duration of the processing, the types of personal data processed and thedata subjects involved.

CONTROLLER AND PROCESSOR OF AZIMO PERSONAL DATA

For the purposes of Data Legislation, unless otherwiseagreed, Azimo is the data controller and the Partner is the data processor ofthe Azimo Personal Data.

As processor, the Partner agrees that it will not processAzimo Personal Data which is subject to this policy other than:

●     as required by the contract between Partner and Azimo;

●     as provided for in this Policy;

●     on Azimo’s written instructions; or

●     as may be required by a legal or regulatory requirementin which case the Partner agrees (to the extent permitted by law) to informAzimo of the relevant legal or regulatory requirement before the processing.

CONTROLLER IN COMMON

If the Partner believes it is a data controller of AzimoPersonal Data to the extent of the processing required to complete theagreement between Azimo and Partner, then the Partner agrees to notify Azimoand if Azimo agrees that the Partner is a data controller, the Partner agreesthat to the extent any data transferred to the Partner relates to a resident ofthe European Economic Area then:

●     the Partner will comply with all the obligationsimposed on a controller under Data Legislation;

●     the Partner will comply with the principles set out inArticle 5 GDPR;

●     the Partner will take appropriate steps to provideinformation under Article 13 GDPR to any relevant data subject; and

●     the terms of this Policy shall for the avoidance ofdoubt continue to apply.

CONTROLLER IN COMMON OF PARTNER PERSONAL DATA

●     Azimo will comply with all the obligations imposed on acontroller under Data Legislation;

●     Azimo will comply with the principles set out inArticle 5 GDPR;

●     Azimo will take appropriate steps to provideinformation under Article 13 GDPR to any relevant data subject; and

●     the terms of this Policy shall for the avoidance ofdoubt continue to apply.

SECURITY MEASURES

Azimo and The Partner agrees that all staff who have accessto and/or process Personal Data will be obliged to keep the informationconfidential.  

Azimo and The Partner will ensure that they have in placeappropriate technical and organisational measures to ensure that Personal Datais subject to an appropriate level of security.  

In reaching its judgement as to the appropriate level ofsecurity Azimo and the Partner will take into account current technology, costsof implementation and the nature, scope, context and purposes of the processingundertaken as well as the harm that might result from the unauthorised orunlawful processing or accidental loss, destruction or damage of the PersonalData.

THIRD PARTY TRANSFERS

With respect to each third-party processor, Azimo and thePartner will take steps to ensure that the applicable terms with that processorwill offer at least the same level of protection for Personal Data as those setout in this agreement and which meet the requirements of article 28(3) of theGDPR. As between the Partner and Azimo, the Partner will remain fully liablefor all acts or omissions of any third-party processor appointed by thePartner.

DATA BREACHES

Azimo and The Partner will notify each other without unduedelay upon becoming aware of any breach affecting Personal Data and the willassist in responding to any request from a data subject and in ensuringcompliance with its obligations under Data Legislation with respect tosecurity, breach notifications, impact assessments and consultations withsupervisory authorities or regulators.

RECORDS, AUDIT AND DATA SUBJECT REQUESTS

Azimo and The Partner will maintain complete and accuraterecords and information to demonstrate its compliance with this Policy and DataLegislation and will cooperate with and allow for audits by the Azimo or itsdesignated auditor in relation to the processing of Personal Data.

Azimo and The Partner shall notify and consult about anynotices given to data subjects in relation to the Personal Data;

Azimo and The Partner shall inform each other about thereceipt of any subject access or other request from a data subject andcooperate in responding to such request.

PARTNER PERSONAL DATA

The Partner ensures that all personal information gatheredand shared with Azimo are collected in line with this Policy and DataLegislation.  

EFFECT OF TERMINATION

At the end of the Partner’s relationship or agreement withAzimo the Partner may retain Azimo Personal Data only to the extent required byits legal and regulatory requirements only to the extent and for such period asrequired by those legal or regulatory requirements.

Any data not subject to such requirements shall be storedsecurely and deleted or returned to Azimo if requested by Azimo.
