ALO Affiliate Program Terms and Conditions

At ALO, we are relentless about making the best yoga clothing in the world explicitly to inspire yogis (and yogis to be) to have more yoga in their life. Inspiring mindful movement is at the core of why we do what we do at Alo- it's our calling. Because mindful movement leads to better living. This is the real meaning of studio-to-street: Taking the consciousness from practice on the mat and putting it into the practice of life.

1. Offers

When available, ALO offers will be posted on Ascend to pay Affiliates a specified referral fee on sales of ALO products through a Qualifying Link. “Qualifying Link” means a link from your site to our site using one of the URLs or graphic links specified in the Offer and provided by ALO (through Ascend) for use in the Program. Links and corresponding banner advertisements will be communicated to our Affiliates through the Ascend Platform Newsletters.

Upon request by ALO, you agree to promptly implement any changes to links or banner ads being used in connection with an Offer or product launch. You are only allowed to use or display on your site ALO promotion codes that are communicated specifically to you via Ascend on behalf of ALO.

ALO coupon codes not provided by ALO through the Ascend platform are NOT commissionable and their use and/or being displayed on your site may result in termination from ALO’s affiliate program.

Items found under the 'sale' category of aloyoga.com are never to be promoted in any capacity by you (the publisher) either by deeplinking or other means. Items found in the sale category are not eligible for commission payout of any amount and have a default payout set at 0%. 
2. Links on Your Site

ALO will provide Qualifying Links (defined below) through Ascend that will serve to identify your site as a member of the Program and will establish a link from your site to ours. ALO may also provide banner ads for your use. You also agree that you will display in your site only those graphic images (indicating a Qualifying Link) that are provided by us, and you will substitute such images with any new images provided by us from time to time throughout the term of this Agreement. Affiliates will only be commissioned on sales tracked through Qualifying Links.

3. Right to Use Merchant Content.

(a) We grant to you (the publisher) a limited, non-exclusive, non-transferable, revocable, non-sublicensable, non-assignable right to (i) access the ALO Website through Qualified Links (defined below) provided by us from time to time, and (ii) use and display ALO content (as defined below) that we may make available to you from time to time solely as provided to you through the Ascend Platform and solely for the purpose of generating the sale of ALO’s products from your website and/or your affiliated partner websites and/or social media and influencer accounts that ALO has approved and solely in connection with your participation in this Affiliate Program.  Any attempt to sublicense, assign or transfer this right is void. Any use of ALO's logo, brand name, or likeness in any capacity outside of approved use is strictly prohibited. This includes but is not limited to advertisements, social media mentions, or a publishers promotional material. We may terminate your rights to use ALO content for any reason at any time in our sole and absolute discretion.

(b) A "Qualifying Link" means a link from your website to our website using one of the URLs or graphic links provided by us (or through the Network) for use in the Affiliate Program that allows Partnerize to track the use of such links by your visitors.  All Qualifying Links that you will use in the Affiliate Program will be provided to you from the Network or by other means selected by us, and only valid Qualifying Links generated by the Network or by us will be tracked for purposes of determining Revenue Share that you may be eligible to receive on sales of products generated through your website.  Except for the right to use ALO content provided to you by us hereunder, we are not granting you any rights in, and you represent, warrant, covenant and agree that you will not use, in any manner, any trademarks, service marks, trade names, logos, banners, buttons, graphics, digital images, text, or other content or materials owned or controlled by us or Partnerize.

(c)  Upon termination of this Agreement, for any reason, you shall immediately cease using, displaying or otherwise maintaining any interest in ALO content.  For purposes of these terms and conditions "ALO content" means any and all trademarks, service marks, trade names, logos, banners, buttons, digital images, graphics, text and other content and material which we may, in our sole discretion, make available to you in connection with this Affiliate Program from time to time.

Property Ownership Rights. You acknowledge and agree that we retain all rights, title and interest in and to all property rights embodied in or associated with ALO content.  You represent, warrant, covenant and agree that you will not, and will not assist any third party to, now or in the future, (i) take any action challenging or otherwise inconsistent with our ownership of, or other right in, ALO content, or (ii) register or attempt to register any trademark, service mark, logo, trade name, domain name, or similar business identifier, that contains any name, trademark, service mark, logo, trade name or other content or material owned or controlled by us or any derivation, including misspellings, thereof. 

Use of Brandname. Any use of ALO's logo, brand name, or likeness in any capacity is strictly prohibited We may terminate your rights to use ALO content for any reason at any time in our sole and absolute discretion.

4. Search-Related Activity

4.a Trademark bidding, ad-hijacking, and direct linking is strictly prohibited

Publishers may not:

• Use the ALO, or Alo Yoga name, or any variation thereof, in any manner not expressly authorized by this Agreement;
• Use or otherwise incorporate the word “Alo Yoga” or variations or misspellings thereof in the domain name(s) of your site(s), on any meta tags of Web pages comprising your site(s), in hidden text or source code, or in searchable keywords;
• Bid on keywords or keyword strings that contain “ALO” or any ALO or Alo Yoga brand terms in any Search Engine Marketing or Optimization activity, including but not limited to Google, Yahoo, Bing, Ask.com, etc. Prohibited keyword strings include those combining “alo yoga” and generic keywords, for example: “alo yoga leggings”, “alo yoga sherpas”;
• Engineer your site in a manner that presents itself as the “official ALO site”
  In addition, you agree to add ALO brand terms as a negative to your search-engine campaigns to avoid broad/phrase matching.

4.b Additional Restrictions

• We do not allow downloadable software partners to join our program.
• We do not allow incentivized partners

5. Email Marketing

Email marketing is allowed. All partners must be Can-SPAM compliant and must contact us prior to running these for suppression lists. Any partner that doesn't reach out first is considered to be in violation of our terms and conditions.

6. Termination and Other Actions

Violation of any of the above terms may result in immediate termination from ALO’s Affiliate Program. ALO reserves the right to reverse commissions in case of a violation and/or revoke partnerships in cases of repeated violations. 

In instances of keyword bidding and ad-hijacking through any search engine your commission rate will be moved to 0% until you are found to be in compliance for two weeks consecutively. Repeated violations of ad-hijacking may result in termination from ALO's Affiliate Program. 

Should any instances of ad-hijacking occur during placement/optimization/additional exposure live dates, a commission rate of 0% will be implemented and effective within two days. Furthermore, ALO will not be held responsible for the payment of any flat fees associated with the placement/optimizations/additional exposure if an instance of ad-hijacking occurs while the placement/optimizations/additional exposure is live with the associated insertion order (IO) then considered to be null and void.
