This Publisher Agreement (this "Agreement") is made between you ("Affiliate") and us ("Diamonds Factory"). Neither Webgains Corporation nor any of its corporate affiliates are parties to this Agreement.
Scope
This Programme is intended to apply globally to ensure global alignment.
Background
Both parties desire to establish the general terms and conditions which shall govern advertising and commission arrangements between You and Us resulting from our participation in the Webgain Network (B2C).
Terms and Conditions
In consideration of the promises set forth below, each party agrees as follows:
Affiliate Links & Tracking
You will be provided with a unique affiliate link.
Commissions are only credited for purchases tracked within a 30-day cookie window (Attribution is based on a last-click model, meaning the final affiliate link or tracked source clicked before purchase will receive credit).
Purchases made after 30 days will not be eligible for commission.
Tracking is not guaranteed and may be affected by browser settings, ad blockers, or technical issues.
Commission
Commissions are calculated on net order value only. Commissions exclude:
Shipping fees;
VAT, sales tax, and other applicable taxes;
Discounts, coupon codes, and promotional reductions; and
Gift wrapping charges.
No commission shall be payable on:
Returned or cancelled orders;
Chargebacks or fraudulent transactions; or
Self-referrals or self-purchases.
A validation period of up to ninety (90) days may apply before commissions are approved and confirmed. Diamonds Factory reserves the right to reverse, withhold, or adjust commissions relating to invalid, fraudulent, cancelled, returned, or otherwise non-qualifying transactions.
We agree to pay the specified commission for sales generated via a Qualifying Link.
A 'Qualifying Link' means a tracking link provided by Diamonds Factory or its affiliate network and properly implemented by the Affiliate. Commission shall only be payable where the Qualifying Link is the final tracked source through which the customer accessed Diamonds Factory prior to completing the purchase, subject to the applicable attribution and cookie period rules.
Voucher Codes
Only discount or promotional codes officially issued, approved, or assigned through the Affiliate Program may be promoted or used in connection with affiliate activity. Any commission generated through the use of unauthorized, expired, manipulated, leaked, third-party, or otherwise invalid promotional codes shall be ineligible for commission. Diamonds Factory reserves the right to withhold, reverse, or cancel any commission associated with such activity.
Pay-Per-Click (PPC) Policy
Participation in pay-per-click ("PPC") advertising in connection with the Programme is prohibited unless expressly authorised in writing by Diamonds Factory. Affiliates shall not:
Bid on Diamonds Factory trademarks, brand terms, trade names, misspellings, variations, or confusingly similar terms;
Some examples of these keywords include, but are not limited to: diamond factory, diamonds factory stores, Diamonds factory appointment, diamonds factory showroom, diamonds factory stores near me, the diamond factory, diamonds factory, diamonds factory jewellery store, the diamonds factory
Bid on Diamonds Factory store location terms;
Use Diamonds Factory domain names or confusingly similar domain names as display URLs; or
Promote misleading information, including false discount offers or inaccurate promotional claims.
Diamonds Factory may update the list of restricted keywords and brand terms from time to time.
Marketing & Creative Use
Only official marketing materials provided or approved by Diamonds Factory may be used. Any custom creative, promotional content, social media content, or marketing materials referencing Diamonds Factory must receive prior written approval where requested by Diamonds Factory. Affiliates must not alter branding, trademarks, logos, or marketing materials in a misleading, deceptive, or unapproved manner.
Program Rights and Amendments
Diamonds Factory reserves the right to:
Approve, reject, suspend, or terminate any Affiliate account at its discretion;
Withhold, reverse, or cancel commissions where fraud, policy breaches, abuse, or suspicious activity is identified; and
Modify the Programme, commission structure, or these Terms and Conditions from time to time.
Diamonds Factory will use reasonable efforts to provide prior notice of material changes except where immediate changes are necessary for fraud prevention, compliance, security, or operational reasons.
Fraud Protection
Fraudulent, deceptive, misleading, or abusive conduct is strictly prohibited. Diamonds Factory may investigate suspected violations and may suspend accounts, withhold commissions, reverse commissions, or terminate participation in the Programme where such conduct is identified.
Intellectual Property
You are granted a limited, non-exclusive license to use approved affiliate materials.
All intellectual property remains owned by the Company.
Unauthorized use of branding or assets is prohibited.
Relationship of Parties
The Affiliate and Diamonds Factory are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship. The Affiliate has no authority to, and shall not, make any representations, warranties, or commitments on behalf of Diamonds Factory.
Compliance and Regulatory Obligations
The Affiliate shall, at all times, comply with all applicable local, state, federal, and international laws, statutes, and regulations, including without limitation, those relating to advertising, consumer protection, marketing, anti-spam (e.g., CAN-SPAM Act), and data protection/privacy laws (e.g., GDPR, CCPA). The Affiliate is solely responsible for ensuring that all content and marketing activities related to the Program are truthful, not misleading, and comply with this clause.
Data Protection and Cookie Compliance
Given the reliance on affiliate tracking and attribution mechanisms, the Affiliate shall ensure that its website, applications, and all marketing channels provide clear and conspicuous notice regarding the collection, use, and sharing of data, including the use of tracking technologies such as cookies. The Affiliate must secure all necessary consents and permissions from users as required by applicable data protection and cookie laws to permit the lawful use of the Affiliate Links and the tracking of Qualified Links and commissions.
Data Protection and Confidentiality
The Affiliate may receive or otherwise be exposed to information relating to Diamonds Factory, its operations, financial data, and future plans that is not publicly known ('Confidential Information'). The Affiliate agrees to hold all Confidential Information in strict confidence and shall not disclose or use any Confidential Information for any purpose other than to perform its obligations under this Agreement. This obligation survives the termination of this Agreement. Affiliates shall not disclose specific company information without obtaining prior written consent.
Affiliate Indemnification
The Affiliate agrees to indemnify, defend, and hold harmless Diamonds Factory and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (a) any breach by the Affiliate of its obligations or representations under this Agreement or the Programme terms; (b) the Affiliate’s intellectual property misuse or infringement; (c) any unlawful advertising activity; or (d) any regulatory non-compliance by the Affiliate.
Limitation of Liability
Except for the indemnification obligations hereunder, neither party shall be liable to the other for any indirect, incidental, consequential, special, or exemplary damages (including, without limitation, damages for loss of revenue, profits, or goodwill) arising out of or in connection with this Agreement, even if advised of the possibility of such damages. In no event shall Diamonds Factory's total aggregate liability arising out of or related to this Agreement exceed the total commissions paid to the Affiliate in the twelve (12) months immediately preceding the date on which the claim arose.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of London, England.
Termination and Survival
Either party may terminate this Agreement immediately upon written notice to the other. Upon termination, all licenses granted hereunder shall immediately terminate, and the Affiliate shall immediately cease using all Affiliate Links and promotional materials. Termination shall not affect any accrued rights or liabilities of either party nor affect the coming into force or continuation in force of any provision which is expressly or by implication intended to come into or continue in force on or after termination. Pending commissions for validated and approved transactions accrued prior to termination will be processed according to the original payment schedule.

This Publisher Agreement (this "Agreement") is made between you ("Affiliate") and us ("Diamonds Factory"). Neither Awin Corporation nor any of its corporate affiliates are parties to this Agreement.

This Programme is intended to apply globally to ensure global alignment.
Background
Both parties desire to establish the general terms and conditions which shall govern advertising and commission arrangements between You and Us resulting from our participation in the Webgain Network (B2C).

In consideration of the promises set forth below, each party agrees as follows:
Affiliate Links & Tracking
You will be provided with a unique affiliate link.
Commissions are only credited for purchases tracked within a 30-day cookie window (Attribution is based on a last-click model, meaning the final affiliate link or tracked source clicked before purchase will receive credit).
Purchases made after 30 days will not be eligible for commission.
Tracking is not guaranteed and may be affected by browser settings, ad blockers, or technical issues.
Commission
Commissions are calculated on net order value only. Commissions exclude:
Shipping fees;
VAT, sales tax, and other applicable taxes;
Discounts, coupon codes, and promotional reductions; and
Gift wrapping charges.
No commission shall be payable on:
Returned or cancelled orders;
Chargebacks or fraudulent transactions; or
Self-referrals or self-purchases.
A validation period of up to ninety (90) days may apply before commissions are approved and confirmed. Diamonds Factory reserves the right to reverse, withhold, or adjust commissions relating to invalid, fraudulent, cancelled, returned, or otherwise non-qualifying transactions.
We agree to pay the specified commission for sales generated via a Qualifying Link.
A 'Qualifying Link' means a tracking link provided by Diamonds Factory or its affiliate network and properly implemented by the Affiliate. Commission shall only be payable where the Qualifying Link is the final tracked source through which the customer accessed Diamonds Factory prior to completing the purchase, subject to the applicable attribution and cookie period rules.
Voucher Codes
Only discount or promotional codes officially issued, approved, or assigned through the Affiliate Program may be promoted or used in connection with affiliate activity. Any commission generated through the use of unauthorized, expired, manipulated, leaked, third-party, or otherwise invalid promotional codes shall be ineligible for commission. Diamonds Factory reserves the right to withhold, reverse, or cancel any commission associated with such activity.
Pay-Per-Click (PPC) Policy
Participation in pay-per-click ("PPC") advertising in connection with the Programme is prohibited unless expressly authorised in writing by Diamonds Factory. Affiliates shall not:
Bid on Diamonds Factory trademarks, brand terms, trade names, misspellings, variations, or confusingly similar terms;
Some examples of these keywords include, but are not limited to: diamond factory, diamonds factory stores, Diamonds factory appointment, diamonds factory showroom, diamonds factory stores near me, the diamond factory, diamonds factory, diamonds factory jewellery store, the diamonds factory
Bid on Diamonds Factory store location terms;
Use Diamonds Factory domain names or confusingly similar domain names as display URLs; or
Promote misleading information, including false discount offers or inaccurate promotional claims.
Diamonds Factory may update the list of restricted keywords and brand terms from time to time.
Marketing & Creative Use
Only official marketing materials provided or approved by Diamonds Factory may be used. Any custom creative, promotional content, social media content, or marketing materials referencing Diamonds Factory must receive prior written approval where requested by Diamonds Factory. Affiliates must not alter branding, trademarks, logos, or marketing materials in a misleading, deceptive, or unapproved manner.
Program Rights and Amendments
Diamonds Factory reserves the right to:
Approve, reject, suspend, or terminate any Affiliate account at its discretion;
Withhold, reverse, or cancel commissions where fraud, policy breaches, abuse, or suspicious activity is identified; and
Modify the Programme, commission structure, or these Terms and Conditions from time to time.
Diamonds Factory will use reasonable efforts to provide prior notice of material changes except where immediate changes are necessary for fraud prevention, compliance, security, or operational reasons.
Fraud Protection
Fraudulent, deceptive, misleading, or abusive conduct is strictly prohibited. Diamonds Factory may investigate suspected violations and may suspend accounts, withhold commissions, reverse commissions, or terminate participation in the Programme where such conduct is identified.
Intellectual Property
You are granted a limited, non-exclusive license to use approved affiliate materials.
All intellectual property remains owned by the Company.
Unauthorized use of branding or assets is prohibited.
Relationship of Parties
The Affiliate and Diamonds Factory are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship. The Affiliate has no authority to, and shall not, make any representations, warranties, or commitments on behalf of Diamonds Factory.
Compliance and Regulatory Obligations
The Affiliate shall, at all times, comply with all applicable local, state, federal, and international laws, statutes, and regulations, including without limitation, those relating to advertising, consumer protection, marketing, anti-spam (e.g., CAN-SPAM Act), and data protection/privacy laws (e.g., GDPR, CCPA). The Affiliate is solely responsible for ensuring that all content and marketing activities related to the Program are truthful, not misleading, and comply with this clause.
Data Protection and Cookie Compliance
Given the reliance on affiliate tracking and attribution mechanisms, the Affiliate shall ensure that its website, applications, and all marketing channels provide clear and conspicuous notice regarding the collection, use, and sharing of data, including the use of tracking technologies such as cookies. The Affiliate must secure all necessary consents and permissions from users as required by applicable data protection and cookie laws to permit the lawful use of the Affiliate Links and the tracking of Qualified Links and commissions.
Data Protection and Confidentiality
The Affiliate may receive or otherwise be exposed to information relating to Diamonds Factory, its operations, financial data, and future plans that is not publicly known ('Confidential Information'). The Affiliate agrees to hold all Confidential Information in strict confidence and shall not disclose or use any Confidential Information for any purpose other than to perform its obligations under this Agreement. This obligation survives the termination of this Agreement. Affiliates shall not disclose specific company information without obtaining prior written consent.
Affiliate Indemnification
The Affiliate agrees to indemnify, defend, and hold harmless Diamonds Factory and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (a) any breach by the Affiliate of its obligations or representations under this Agreement or the Programme terms; (b) the Affiliate’s intellectual property misuse or infringement; (c) any unlawful advertising activity; or (d) any regulatory non-compliance by the Affiliate.
Limitation of Liability
Except for the indemnification obligations hereunder, neither party shall be liable to the other for any indirect, incidental, consequential, special, or exemplary damages (including, without limitation, damages for loss of revenue, profits, or goodwill) arising out of or in connection with this Agreement, even if advised of the possibility of such damages. In no event shall Diamonds Factory's total aggregate liability arising out of or related to this Agreement exceed the total commissions paid to the Affiliate in the twelve (12) months immediately preceding the date on which the claim arose.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of London, England.
Termination and Survival
Either party may terminate this Agreement immediately upon written notice to the other. Upon termination, all licenses granted hereunder shall immediately terminate, and the Affiliate shall immediately cease using all Affiliate Links and promotional materials. Termination shall not affect any accrued rights or liabilities of either party nor affect the coming into force or continuation in force of any provision which is expressly or by implication intended to come into or continue in force on or after termination. Das bedeutet, dass der letzte Affiliate-Link oder die letzte nachverfolgbare Quelle, die vor dem Kauf angeklickt wurde, die Provision erhält.)
c. Käufe, die nach Ablauf von 30 Tagen erfolgen, sind nicht provisionsberechtigt.
d. Das Tracking kann nicht garantiert werden und kann durch Browsereinstellungen, Werbeblocker oder technische Probleme beeinflusst werden.
5. Provision
a. Provisionen werden ausschließlich auf Basis des Netto-Bestellwerts berechnet. Nicht provisionsfähig sind:
i. Versandkosten;
ii. Mehrwertsteuer, Umsatzsteuer und sonstige anwendbare Steuern;
iii. Rabatte, Gutscheincodes und sonstige Preisnachlässe; sowie
iv. Kosten für Geschenkverpackungen.
b. Es wird keine Provision gezahlt für:
i. zurückgesandte oder stornierte Bestellungen;
ii. Rückbuchungen oder betrügerische Transaktionen; oder
iii. Eigenempfehlungen oder Eigenkäufe.
c. Vor der Genehmigung und Bestätigung von Provisionen kann eine Validierungsfrist von bis zu neunzig (90) Tagen gelten. Diamonds Factory behält sich das Recht vor, Provisionen für ungültige, betrügerische, stornierte, zurückgesandte oder anderweitig nicht qualifizierende Transaktionen zu stornieren, zurückzuhalten oder anzupassen.
d. Wir verpflichten uns, die vereinbarte Provision für Verkäufe zu zahlen, die über einen qualifizierten Link generiert werden.
e. Ein „qualifizierter Link“ ist ein Tracking-Link, der von Diamonds Factory oder dessen Affiliate-Netzwerk bereitgestellt und vom Affiliate ordnungsgemäß implementiert wurde. Eine Provision wird nur gezahlt, wenn der qualifizierte Link die letzte erfasste Quelle war, über die der Kunde vor Abschluss des Kaufs auf Diamonds Factory zugegriffen hat, vorbehaltlich der geltenden Attributions- und Cookie-Regeln.
6. Gutscheincodes
a. Es dürfen ausschließlich Rabatt- oder Aktionscodes beworben oder verwendet werden, die offiziell über das Affiliate-Programm ausgegeben, genehmigt oder zugewiesen wurden. Provisionen, die durch die Verwendung nicht autorisierter, abgelaufener, manipulierte, weitergegebener, von Dritten stammender oder anderweitig ungültiger Aktionscodes generiert werden, sind nicht provisionsberechtigt. Diamonds Factory behält sich das Recht vor, damit verbundene Provisionen zurückzuhalten, rückgängig zu machen oder zu stornieren.
7. Pay-Per-Click (PPC)-Richtlinie
a. Die Teilnahme an Pay-per-Click- („PPC“-) Werbung im Zusammenhang mit dem Programm ist untersagt, sofern sie nicht ausdrücklich schriftlich von Diamonds Factory genehmigt wurde. Affiliates dürfen nicht:
i. Auf Marken, Markennamen, Handelsnamen, Schreibfehler, Varianten oder verwechslungsfähige Begriffe von Diamonds Factory bieten;
ii. Beispiele für solche Keywords sind unter anderem: diamond factory, diamonds factory stores, Diamonds Factory appointment, diamonds factory showroom, diamonds factory stores near me, the diamond factory, diamonds factory, diamonds factory jewellery store, the diamonds factory;
iii. Auf Standortbegriffe von Diamonds Factory bieten;
iv. Domains von Diamonds Factory oder verwechslungsfähige Domains als Display-URLs verwenden; oder
v. Irreführende Informationen verbreiten, einschließlich falscher Rabattangebote oder unzutreffender Werbeaussagen.
b. Diamonds Factory kann die Liste der eingeschränkten Keywords und Markenbegriffe von Zeit zu Zeit aktualisieren.
8. Marketing- und Werbemittel
a. Es dürfen ausschließlich offizielle Marketingmaterialien verwendet werden, die von Diamonds Factory bereitgestellt oder genehmigt wurden. Jegliche individuell erstellten Werbemittel, Werbeinhalte, Social-Media-Inhalte oder Marketingmaterialien mit Bezug zu Diamonds Factory bedürfen auf Anfrage von Diamonds Factory einer vorherigen schriftlichen Genehmigung. Affiliates dürfen Marken, Warenzeichen, Logos oder Marketingmaterialien nicht in irreführender, täuschender oder nicht genehmigter Weise verändern.
9. Programmrechte und Änderungen
a. Diamonds Factory behält sich das Recht vor:
i. Affiliate-Konten nach eigenem Ermessen zu genehmigen, abzulehnen, auszusetzen oder zu kündigen;
ii. Provisionen zurückzuhalten, zu stornieren oder rückgängig zu machen, wenn Betrug, Verstöße gegen Richtlinien, Missbrauch oder verdächtige Aktivitäten festgestellt werden; und
iii. Das Programm, die Provisionsstruktur oder diese Bedingungen von Zeit zu Zeit zu ändern.
b. Diamonds Factory wird sich nach besten Kräften bemühen, wesentliche Änderungen im Voraus anzukündigen, außer wenn sofortige Änderungen aus Gründen der Betrugsprävention, Compliance, Sicherheit oder des Geschäftsbetriebs erforderlich sind.
10. Betrugsprävention
a. Betrügerisches, täuschendes, irreführendes oder missbräuchliches Verhalten ist streng untersagt. Diamonds Factory kann mutmaßliche Verstöße untersuchen und Konten sperren, Provisionen zurückhalten, Provisionen rückgängig machen oder die Teilnahme am Programm beenden, wenn ein solches Verhalten festgestellt wird.
11. Geistiges Eigentum
a. Dem Affiliate wird eine beschränkte, nicht ausschließliche Lizenz zur Nutzung genehmigter Affiliate-Materialien gewährt.
b. Sämtliche Rechte am geistigen Eigentum verbleiben beim Unternehmen.
c. Die unbefugte Nutzung von Marken, Logos oder sonstigen Vermögenswerten ist untersagt.
12. Verhältnis der Parteien
a. Der Affiliate und Diamonds Factory handeln als unabhängige Vertragspartner. Nichts in dieser Vereinbarung ist so auszulegen, dass dadurch eine Partnerschaft, ein Joint Venture, ein Agenturverhältnis oder ein Arbeitsverhältnis begründet wird. Der Affiliate ist nicht befugt, im Namen von Diamonds Factory Zusicherungen, Garantien oder Verpflichtungen abzugeben, und darf dies auch nicht tun.
13. Compliance- und regulatorische Verpflichtungen
a. Der Affiliate verpflichtet sich, jederzeit sämtliche anwendbaren lokalen, regionalen, nationalen und internationalen Gesetze, Vorschriften und Bestimmungen einzuhalten, einschließlich, aber nicht beschränkt auf Regelungen zu Werbung, Verbraucherschutz, Marketing, Anti-Spam-Vorschriften (z. B. CAN-SPAM Act) sowie Datenschutz- und Privatsphärengesetze (z. B. DSGVO, CCPA). Der Affiliate trägt die alleinige Verantwortung dafür, dass sämtliche Inhalte und Marketingaktivitäten im Zusammenhang mit dem Programm wahrheitsgemäß, nicht irreführend und mit dieser Bestimmung vereinbar sind.
14. Datenschutz und Cookie-Compliance
a. Aufgrund der Nutzung von Affiliate-Tracking- und Attributionsmechanismen stellt der Affiliate sicher, dass seine Website, Anwendungen und sämtliche Marketingkanäle klare und deutlich erkennbare Hinweise über die Erhebung, Nutzung und Weitergabe von Daten bereitstellen, einschließlich der Verwendung von Tracking-Technologien wie Cookies. Der Affiliate ist verpflichtet, alle erforderlichen Einwilligungen und Genehmigungen der Nutzer gemäß den geltenden Datenschutz- und Cookie-Vorschriften einzuholen, um die rechtmäßige Nutzung der Affiliate-Links sowie das Tracking qualifizierter Links und entsprechender Provisionen zu ermöglichen.
15. Datenschutz und Vertraulichkeit
a. Der Affiliate kann Informationen über Diamonds Factory, dessen Geschäftstätigkeit, Finanzdaten und zukünftige Planungen erhalten oder anderweitig Zugang zu solchen Informationen erhalten, die nicht öffentlich bekannt sind („Vertrauliche Informationen“). Der Affiliate verpflichtet sich, sämtliche vertraulichen Informationen streng vertraulich zu behandeln und diese weder offenzulegen noch für andere Zwecke als die Erfüllung seiner Verpflichtungen aus dieser Vereinbarung zu verwenden. Diese Verpflichtung bleibt auch nach Beendigung dieser Vereinbarung bestehen. Affiliates dürfen keine spezifischen Unternehmensinformationen ohne vorherige schriftliche Zustimmung offenlegen.
16. Freistellung durch den Affiliate
a. Der Affiliate verpflichtet sich, Diamonds Factory sowie dessen verbundene Unternehmen, Geschäftsführer, leitende Angestellte, Mitarbeiter und Vertreter von sämtlichen Ansprüchen, Haftungen, Verlusten, Schäden, Kosten und Aufwendungen (einschließlich angemessener Anwaltskosten) freizustellen, zu verteidigen und schadlos zu halten, die entstehen aus oder im Zusammenhang stehen mit:
i. einem Verstoß des Affiliates gegen seine Verpflichtungen oder Zusicherungen aus dieser Vereinbarung oder den Programmbedingungen;
ii. einer missbräuchlichen Nutzung oder Verletzung geistiger Eigentumsrechte durch den Affiliate;
iii. rechtswidrigen Werbeaktivitäten des Affiliates; oder
iv. einer Nichteinhaltung gesetzlicher oder regulatorischer Anforderungen durch den Affiliate.
17. Haftungsbeschränkung
a. Mit Ausnahme der in dieser Vereinbarung geregelten Freistellungsverpflichtungen haftet keine Partei gegenüber der anderen für indirekte, zufällige, Folge-, Sonder- oder Strafschäden (einschließlich, jedoch nicht beschränkt auf entgangene Umsätze, Gewinne oder Geschäftswerte), die sich aus oder im Zusammenhang mit dieser Vereinbarung ergeben, selbst wenn auf die Möglichkeit solcher Schäden hingewiesen wurde.
b. In keinem Fall übersteigt die gesamte kumulierte Haftung von Diamonds Factory aus oder im Zusammenhang mit dieser Vereinbarung die Summe der Provisionen, die in den zwölf (12) Monaten unmittelbar vor Entstehung des jeweiligen Anspruchs an den Affiliate gezahlt wurden.
18. Anwendbares Recht und Gerichtsstand
a. Diese Vereinbarung unterliegt dem Recht von England und Wales und ist nach diesem auszulegen, ohne Berücksichtigung kollisionsrechtlicher Bestimmungen.
b. Sämtliche Streitigkeiten, die sich aus oder im Zusammenhang mit dieser Vereinbarung ergeben, einschließlich Fragen zu ihrem Bestehen, ihrer Gültigkeit oder ihrer Beendigung, werden ausschließlich den zuständigen Gerichten in London, England, vorgelegt und von diesen endgültig entschieden.
19. Kündigung und Fortgeltung
a. Jede Partei kann diese Vereinbarung jederzeit mit sofortiger Wirkung durch schriftliche Mitteilung an die andere Partei kündigen.
b. Mit Wirksamwerden der Kündigung enden sämtliche im Rahmen dieser Vereinbarung gewährten Lizenzen unverzüglich, und der Affiliate hat die Nutzung aller Affiliate-Links sowie sämtlicher Werbematerialien unverzüglich einzustellen.
c. Die Kündigung berührt weder bereits entstandene Rechte oder Verpflichtungen der Parteien noch die Wirksamkeit oder Fortgeltung von Bestimmungen, die ausdrücklich oder ihrem Sinn nach auch nach Beendigung dieser Vereinbarung gelten sollen.
d. Ausstehende Provisionen für validierte und genehmigte Transaktionen, die vor der Kündigung entstanden sind, werden gemäß dem ursprünglichen Zahlungsplan abgewickelt.

Teilnahmebedingungen des Affiliate-Programms
Diese Publisher-Vereinbarung (die „Vereinbarung“) wird zwischen Ihnen („Affiliate“) und uns („Diamonds Factory“) geschlossen. Weder die Awin Corporation noch eines ihrer verbundenen Unternehmen sind Vertragsparteien dieser Vereinbarung.
1. Geltungsbereich
Dieses Programm gilt weltweit, um eine globale Ausrichtung sicherzustellen.
2. Hintergrund
Beide Parteien möchten die allgemeinen Geschäftsbedingungen festlegen, die die Werbe- und Provisionsvereinbarungen zwischen Ihnen und uns regeln, die sich aus unserer Teilnahme am Webgains-Netzwerk (B2C) ergeben.
3. Bedingungen
Unter Berücksichtigung der nachstehenden Zusagen vereinbaren die Parteien Folgendes:
4. Affiliate-Links und Tracking
a. Ihnen wird ein individueller Affiliate-Link zur Verfügung gestellt.
b. Provisionen werden nur für Käufe gutgeschrieben, die innerhalb eines Cookie-Zeitraums von 30 Tagen erfasst werden. (Die Attribution basiert auf dem Last-Click-Modell. Das bedeutet, dass der letzte Affiliate-Link oder die letzte nachverfolgbare Quelle, die vor dem Kauf angeklickt wurde, die Provision erhält.)
c. Käufe, die nach Ablauf von 30 Tagen erfolgen, sind nicht provisionsberechtigt.
d. Das Tracking kann nicht garantiert werden und kann durch Browsereinstellungen, Werbeblocker oder technische Probleme beeinflusst werden.
5. Provision
a. Provisionen werden ausschließlich auf Basis des Netto-Bestellwerts berechnet. Nicht provisionsfähig sind:
i. Versandkosten;
ii. Mehrwertsteuer, Umsatzsteuer und sonstige anwendbare Steuern;
iii. Rabatte, Gutscheincodes und sonstige Preisnachlässe; sowie
iv. Kosten für Geschenkverpackungen.
b. Es wird keine Provision gezahlt für:
i. zurückgesandte oder stornierte Bestellungen;
ii. Rückbuchungen oder betrügerische Transaktionen; oder
iii. Eigenempfehlungen oder Eigenkäufe.
c. Vor der Genehmigung und Bestätigung von Provisionen kann eine Validierungsfrist von bis zu neunzig (90) Tagen gelten. Diamonds Factory behält sich das Recht vor, Provisionen für ungültige, betrügerische, stornierte, zurückgesandte oder anderweitig nicht qualifizierende Transaktionen zu stornieren, zurückzuhalten oder anzupassen.
d. Wir verpflichten uns, die vereinbarte Provision für Verkäufe zu zahlen, die über einen qualifizierten Link generiert werden.
e. Ein „qualifizierter Link“ ist ein Tracking-Link, der von Diamonds Factory oder dessen Affiliate-Netzwerk bereitgestellt und vom Affiliate ordnungsgemäß implementiert wurde. Eine Provision wird nur gezahlt, wenn der qualifizierte Link die letzte erfasste Quelle war, über die der Kunde vor Abschluss des Kaufs auf Diamonds Factory zugegriffen hat, vorbehaltlich der geltenden Attributions- und Cookie-Regeln.
6. Gutscheincodes
a. Es dürfen ausschließlich Rabatt- oder Aktionscodes beworben oder verwendet werden, die offiziell über das Affiliate-Programm ausgegeben, genehmigt oder zugewiesen wurden. Provisionen, die durch die Verwendung nicht autorisierter, abgelaufener, manipulierte, weitergegebener, von Dritten stammender oder anderweitig ungültiger Aktionscodes generiert werden, sind nicht provisionsberechtigt. Diamonds Factory behält sich das Recht vor, damit verbundene Provisionen zurückzuhalten, rückgängig zu machen oder zu stornieren.
7. Pay-Per-Click (PPC)-Richtlinie
a. Die Teilnahme an Pay-per-Click- („PPC“-) Werbung im Zusammenhang mit dem Programm ist untersagt, sofern sie nicht ausdrücklich schriftlich von Diamonds Factory genehmigt wurde. Affiliates dürfen nicht:
i. Auf Marken, Markennamen, Handelsnamen, Schreibfehler, Varianten oder verwechslungsfähige Begriffe von Diamonds Factory bieten;
ii. Beispiele für solche Keywords sind unter anderem: diamond factory, diamonds factory stores, Diamonds Factory appointment, diamonds factory showroom, diamonds factory stores near me, the diamond factory, diamonds factory, diamonds factory jewellery store, the diamonds factory;
iii. Auf Standortbegriffe von Diamonds Factory bieten;
iv. Domains von Diamonds Factory oder verwechslungsfähige Domains als Display-URLs verwenden; oder
v. Irreführende Informationen verbreiten, einschließlich falscher Rabattangebote oder unzutreffender Werbeaussagen.
b. Diamonds Factory kann die Liste der eingeschränkten Keywords und Markenbegriffe von Zeit zu Zeit aktualisieren.
8. Marketing- und Werbemittel
a. Es dürfen ausschließlich offizielle Marketingmaterialien verwendet werden, die von Diamonds Factory bereitgestellt oder genehmigt wurden. Jegliche individuell erstellten Werbemittel, Werbeinhalte, Social-Media-Inhalte oder Marketingmaterialien mit Bezug zu Diamonds Factory bedürfen auf Anfrage von Diamonds Factory einer vorherigen schriftlichen Genehmigung. Affiliates dürfen Marken, Warenzeichen, Logos oder Marketingmaterialien nicht in irreführender, täuschender oder nicht genehmigter Weise verändern.
9. Programmrechte und Änderungen
a. Diamonds Factory behält sich das Recht vor:
i. Affiliate-Konten nach eigenem Ermessen zu genehmigen, abzulehnen, auszusetzen oder zu kündigen;
ii. Provisionen zurückzuhalten, zu stornieren oder rückgängig zu machen, wenn Betrug, Verstöße gegen Richtlinien, Missbrauch oder verdächtige Aktivitäten festgestellt werden; und
iii. Das Programm, die Provisionsstruktur oder diese Bedingungen von Zeit zu Zeit zu ändern.
b. Diamonds Factory wird sich nach besten Kräften bemühen, wesentliche Änderungen im Voraus anzukündigen, außer wenn sofortige Änderungen aus Gründen der Betrugsprävention, Compliance, Sicherheit oder des Geschäftsbetriebs erforderlich sind.
10. Betrugsprävention
a. Betrügerisches, täuschendes, irreführendes oder missbräuchliches Verhalten ist streng untersagt. Diamonds Factory kann mutmaßliche Verstöße untersuchen und Konten sperren, Provisionen zurückhalten, Provisionen rückgängig machen oder die Teilnahme am Programm beenden, wenn ein solches Verhalten festgestellt wird.
11. Geistiges Eigentum
a. Dem Affiliate wird eine beschränkte, nicht ausschließliche Lizenz zur Nutzung genehmigter Affiliate-Materialien gewährt.
b. Sämtliche Rechte am geistigen Eigentum verbleiben beim Unternehmen.
c. Die unbefugte Nutzung von Marken, Logos oder sonstigen Vermögenswerten ist untersagt.
12. Verhältnis der Parteien
a. Der Affiliate und Diamonds Factory handeln als unabhängige Vertragspartner. Nichts in dieser Vereinbarung ist so auszulegen, dass dadurch eine Partnerschaft, ein Joint Venture, ein Agenturverhältnis oder ein Arbeitsverhältnis begründet wird. Der Affiliate ist nicht befugt, im Namen von Diamonds Factory Zusicherungen, Garantien oder Verpflichtungen abzugeben, und darf dies auch nicht tun.
13. Compliance- und regulatorische Verpflichtungen
a. Der Affiliate verpflichtet sich, jederzeit sämtliche anwendbaren lokalen, regionalen, nationalen und internationalen Gesetze, Vorschriften und Bestimmungen einzuhalten, einschließlich, aber nicht beschränkt auf Regelungen zu Werbung, Verbraucherschutz, Marketing, Anti-Spam-Vorschriften (z. B. CAN-SPAM Act) sowie Datenschutz- und Privatsphärengesetze (z. B. DSGVO, CCPA). Der Affiliate trägt die alleinige Verantwortung dafür, dass sämtliche Inhalte und Marketingaktivitäten im Zusammenhang mit dem Programm wahrheitsgemäß, nicht irreführend und mit dieser Bestimmung vereinbar sind.
14. Datenschutz und Cookie-Compliance

Conditions générales du programme d'affiliation
Le présent Contrat Éditeur (le « Contrat ») est conclu entre vous (« l'Affilié ») et nous (« Diamonds Factory »). Ni Awin Corporation ni aucune de ses sociétés affiliées ne sont parties au présent Contrat.

c. Les achats effectués après 30 jours ne seront pas éligibles à une commission.
d. Le suivi ne peut être garanti et peut être affecté par les paramètres du navigateur, les bloqueurs de publicité ou des problèmes techniques.
5. Commission
a. Les commissions sont calculées uniquement sur la valeur nette de la commande. Les éléments suivants sont exclus du calcul :
i. Les frais de livraison ;

iii. Les remises, codes promotionnels et réductions commerciales ; et

b. Aucune commission ne sera versée pour :

iii. Les auto-référencements ou achats personnels.
c. Une période de validation pouvant aller jusqu'à quatre-vingt-dix (90) jours peut s'appliquer avant l'approbation et la confirmation des commissions. Diamonds Factory se réserve le droit d'annuler, de retenir ou d'ajuster les commissions liées à des transactions invalides, frauduleuses, annulées, retournées ou ne remplissant pas les critères requis.
d. Nous acceptons de verser la commission spécifiée pour les ventes générées via un Lien Qualifiant.
e. Un « Lien Qualifiant » désigne un lien de suivi fourni par Diamonds Factory ou son réseau d'affiliation et correctement mis en œuvre par l'Affilié. Une commission ne sera versée que si le Lien Qualifiant constitue la dernière source suivie par laquelle le client a accédé à Diamonds Factory avant de finaliser son achat, sous réserve des règles d'attribution et de durée de vie du cookie applicables.
6. Codes promotionnels
a. Seuls les codes de réduction ou promotionnels officiellement émis, approuvés ou attribués dans le cadre du programme d'affiliation peuvent être promus ou utilisés dans le cadre des activités d'affiliation. Toute commission générée par l'utilisation de codes promotionnels non autorisés, expirés, manipulés, divulgués, provenant de tiers ou autrement invalides ne donnera droit à aucune commission. Diamonds Factory se réserve le droit de retenir, annuler ou supprimer toute commission liée à une telle activité.
7. Politique de publicité Pay-Per-Click (PPC)
a. La participation à des campagnes publicitaires de type Pay-Per-Click (« PPC ») dans le cadre du Programme est interdite sauf autorisation écrite expresse de Diamonds Factory. Les Affiliés ne doivent pas :
i. Enchérir sur les marques, noms commerciaux, dénominations, fautes d'orthographe, variantes ou termes similaires susceptibles de créer une confusion avec Diamonds Factory ;
ii. Parmi les exemples de mots-clés concernés figurent notamment : diamond factory, diamonds factory stores, Diamonds Factory appointment, diamonds factory showroom, diamonds factory stores near me, the diamond factory, diamonds factory, diamonds factory jewellery store, the diamonds factory ;
iii. Enchérir sur des termes liés aux emplacements ou magasins Diamonds Factory ;
iv. Utiliser les noms de domaine de Diamonds Factory ou des noms de domaine similaires susceptibles de créer une confusion comme URL d'affichage ; ou
v. Diffuser des informations trompeuses, notamment de fausses offres promotionnelles ou des allégations marketing inexactes.
b. Diamonds Factory peut mettre à jour à tout moment la liste des mots-clés et termes de marque restreints.
8. Utilisation des supports marketing et créatifs
a. Seuls les supports marketing officiels fournis ou approuvés par Diamonds Factory peuvent être utilisés. Tout contenu créatif personnalisé, contenu promotionnel, contenu pour les réseaux sociaux ou tout autre support marketing faisant référence à Diamonds Factory doit faire l'objet d'une approbation écrite préalable lorsque celle-ci est demandée par Diamonds Factory. Les Affiliés ne doivent pas modifier les éléments de marque, marques déposées, logos ou supports marketing de manière trompeuse, mensongère ou non autorisée.
9. Droits relatifs au Programme et modifications
a. Diamonds Factory se réserve le droit de :
i. Approuver, refuser, suspendre ou résilier tout compte Affilié à sa seule discrétion ;
ii. Retenir, annuler ou révoquer des commissions lorsqu'une fraude, une violation des politiques, un abus ou une activité suspecte est identifiée ; et
iii. Modifier le Programme, la structure de commissionnement ou les présentes Conditions Générales à tout moment.
b. Diamonds Factory s'efforcera raisonnablement de notifier à l'avance toute modification substantielle, sauf lorsque des changements immédiats sont nécessaires pour des raisons de prévention de la fraude, de conformité, de sécurité ou de fonctionnement.
10. Protection contre la fraude
a. Tout comportement frauduleux, trompeur, mensonger ou abusif est strictement interdit. Diamonds Factory peut enquêter sur toute violation présumée et peut suspendre des comptes, retenir des commissions, annuler des commissions ou mettre fin à la participation au Programme lorsqu'un tel comportement est identifié.
11. Propriété intellectuelle
a. Une licence limitée, non exclusive, vous est accordée pour l'utilisation des supports d'affiliation approuvés.
b. L'ensemble des droits de propriété intellectuelle demeure la propriété de la Société.
c. Toute utilisation non autorisée des éléments de marque ou des ressources de la Société est interdite.
12. Relation entre les parties
a. L'Affilié et Diamonds Factory sont des contractants indépendants. Aucune disposition du présent Contrat ne doit être interprétée comme créant une société, une coentreprise, un mandat, une relation d'agence ou un contrat de travail. L'Affilié n'est pas autorisé à effectuer des déclarations, garanties ou engagements au nom de Diamonds Factory et s'engage à ne pas le faire.
13. Conformité et obligations réglementaires
a. L'Affilié doit à tout moment respecter l'ensemble des lois, réglementations et dispositions locales, régionales, nationales et internationales applicables, y compris notamment celles relatives à la publicité, à la protection des consommateurs, au marketing, à la lutte contre le spam (par exemple le CAN-SPAM Act) ainsi qu'à la protection des données et de la vie privée (par exemple le RGPD ou le CCPA). L'Affilié est seul responsable de veiller à ce que tous les contenus et activités marketing liés au Programme soient véridiques, non trompeurs et conformes à la présente clause.
14. Protection des données et conformité relative aux cookies
a. Compte tenu du recours aux mécanismes de suivi et d’attribution propres à l’affiliation, l’Affilié doit veiller à ce que son site web, ses applications et l’ensemble de ses canaux marketing fournissent des informations claires et visibles concernant la collecte, l’utilisation et le partage des données, y compris l’utilisation de technologies de suivi telles que les cookies. L’Affilié doit obtenir tous les consentements et autorisations nécessaires auprès des utilisateurs conformément aux lois applicables en matière de protection des données et de cookies afin de permettre l’utilisation légale des Liens d’Affiliation ainsi que le suivi des Liens Qualifiants et des commissions.
15. Protection des données et confidentialité
a. L’Affilié peut recevoir ou avoir accès à des informations relatives à Diamonds Factory, à ses activités, à ses données financières et à ses projets futurs qui ne sont pas connues du public (« Informations Confidentielles »). L’Affilié s’engage à conserver strictement confidentielles toutes les Informations Confidentielles et à ne pas les divulguer ni les utiliser à d’autres fins que l’exécution de ses obligations au titre du présent Contrat. Cette obligation demeure en vigueur après la résiliation du présent Contrat. Les Affiliés ne doivent divulguer aucune information spécifique concernant l’entreprise sans avoir obtenu son consentement écrit préalable.
16. Indemnisation par l’Affilié
a. L’Affilié accepte d’indemniser, de défendre et de dégager de toute responsabilité Diamonds Factory, ses sociétés affiliées, administrateurs, dirigeants, employés et représentants contre toute réclamation, responsabilité, perte, dommage, coût ou dépense (y compris les honoraires raisonnables d’avocat) résultant de ou lié à :
i. Toute violation par l’Affilié de ses obligations ou déclarations au titre du présent Contrat ou des conditions du Programme ;
ii. Toute utilisation abusive ou violation des droits de propriété intellectuelle par l’Affilié ;
iii. Toute activité publicitaire illégale menée par l’Affilié ; ou
iv. Tout manquement de l’Affilié à ses obligations réglementaires ou légales.
17. Limitation de responsabilité
a. À l’exception des obligations d’indemnisation prévues par le présent Contrat, aucune des parties ne pourra être tenue responsable envers l’autre de tout dommage indirect, accessoire, consécutif, spécial ou exemplaire (y compris, sans limitation, les pertes de revenus, de bénéfices ou d’atteinte à la réputation commerciale) résultant de ou lié au présent Contrat, même si elle a été informée de la possibilité de tels dommages.
b. En aucun cas, la responsabilité totale cumulée de Diamonds Factory résultant du présent Contrat ou en lien avec celui-ci ne pourra excéder le montant total des commissions versées à l’Affilié au cours des douze (12) mois précédant immédiatement la date de naissance de la réclamation.
18. Droit applicable et juridiction compétente
a. Le présent Contrat est régi et interprété conformément au droit anglais, sans tenir compte des principes de conflit de lois.
b. Tout litige découlant du présent Contrat ou en lien avec celui-ci, y compris toute question relative à son existence, sa validité ou sa résiliation, sera soumis à la compétence exclusive des tribunaux de Londres, Angleterre, qui en assureront la résolution définitive.
19. Résiliation et survie des dispositions
a. Chaque partie peut résilier le présent Contrat avec effet immédiat par notification écrite adressée à l’autre partie.
b. À compter de la résiliation, toutes les licences accordées au titre du présent Contrat prendront immédiatement fin et l’Affilié devra cesser sans délai d’utiliser tous les Liens d’Affiliation ainsi que l’ensemble des supports promotionnels.
c. La résiliation n’affectera aucun droit ou obligation acquis par l’une ou l’autre des parties avant sa prise d’effet, ni l’entrée en vigueur ou le maintien en vigueur de toute disposition qui, expressément ou par sa nature, est destinée à survivre à la résiliation.
d. Les commissions en attente relatives à des transactions validées et approuvées avant la résiliation seront versées conformément au calendrier de paiement initial.

Teilnahmebedingungen des Affiliate-Programms
Diese Publisher-Vereinbarung (die „Vereinbarung“) wird zwischen Ihnen („Affiliate“) und uns („Diamonds Factory“) geschlossen. Weder die Awin Corporation noch eines ihrer verbundenen Unternehmen sind Vertragsparteien dieser Vereinbarung.
1. Geltungsbereich
Dieses Programm gilt weltweit, um eine globale Ausrichtung sicherzustellen.
2. Hintergrund
Beide Parteien möchten die allgemeinen Geschäftsbedingungen festlegen, die die Werbe- und Provisionsvereinbarungen zwischen Ihnen und uns regeln, die sich aus unserer Teilnahme am Webgains-Netzwerk (B2C) ergeben.
3. Bedingungen
Unter Berücksichtigung der nachstehenden Zusagen vereinbaren die Parteien Folgendes:
4. Affiliate-Links und Tracking
a. Ihnen wird ein individueller Affiliate-Link zur Verfügung gestellt.
b. Provisionen werden nur für Käufe gutgeschrieben, die innerhalb eines Cookie-Zeitraums von 30 Tagen erfasst werden. (Die Attribution basiert auf dem Last-Click-Modell. Das bedeutet, dass der letzte Affiliate-Link oder die letzte nachverfolgbare Quelle, die vor dem Kauf angeklickt wurde, die Provision erhält.)
c. Käufe, die nach Ablauf von 30 Tagen erfolgen, sind nicht provisionsberechtigt.
d. Das Tracking kann nicht garantiert werden und kann durch Browsereinstellungen, Werbeblocker oder technische Probleme beeinflusst werden.
5. Provision
a. Provisionen werden ausschließlich auf Basis des Netto-Bestellwerts berechnet. Nicht provisionsfähig sind:
i. Versandkosten;
ii. Mehrwertsteuer, Umsatzsteuer und sonstige anwendbare Steuern;
iii. Rabatte, Gutscheincodes und sonstige Preisnachlässe; sowie
iv. Kosten für Geschenkverpackungen.
b. Es wird keine Provision gezahlt für:
i. zurückgesandte oder stornierte Bestellungen;
ii. Rückbuchungen oder betrügerische Transaktionen; oder
iii. Eigenempfehlungen oder Eigenkäufe.
c. Vor der Genehmigung und Bestätigung von Provisionen kann eine Validierungsfrist von bis zu neunzig (90) Tagen gelten. Diamonds Factory behält sich das Recht vor, Provisionen für ungültige, betrügerische, stornierte, zurückgesandte oder anderweitig nicht qualifizierende Transaktionen zu stornieren, zurückzuhalten oder anzupassen.
d. Wir verpflichten uns, die vereinbarte Provision für Verkäufe zu zahlen, die über einen qualifizierten Link generiert werden.
e. Ein „qualifizierter Link“ ist ein Tracking-Link, der von Diamonds Factory oder dessen Affiliate-Netzwerk bereitgestellt und vom Affiliate ordnungsgemäß implementiert wurde. Eine Provision wird nur gezahlt, wenn der qualifizierte Link die letzte erfasste Quelle war, über die der Kunde vor Abschluss des Kaufs auf Diamonds Factory zugegriffen hat, vorbehaltlich der geltenden Attributions- und Cookie-Regeln.
6. Gutscheincodes
a. Es dürfen ausschließlich Rabatt- oder Aktionscodes beworben oder verwendet werden, die offiziell über das Affiliate-Programm ausgegeben, genehmigt oder zugewiesen wurden. Provisionen, die durch die Verwendung nicht autorisierter, abgelaufener, manipulierte, weitergegebener, von Dritten stammender oder anderweitig ungültiger Aktionscodes generiert werden, sind nicht provisionsberechtigt. Diamonds Factory behält sich das Recht vor, damit verbundene Provisionen zurückzuhalten, rückgängig zu machen oder zu stornieren.
7. Pay-Per-Click (PPC)-Richtlinie
a. Die Teilnahme an Pay-per-Click- („PPC“-) Werbung im Zusammenhang mit dem Programm ist untersagt, sofern sie nicht ausdrücklich schriftlich von Diamonds Factory genehmigt wurde. Affiliates dürfen nicht:
i. Auf Marken, Markennamen, Handelsnamen, Schreibfehler, Varianten oder verwechslungsfähige Begriffe von Diamonds Factory bieten;
ii. Beispiele für solche Keywords sind unter anderem: diamond factory, diamonds factory stores, Diamonds Factory appointment, diamonds factory showroom, diamonds factory stores near me, the diamond factory, diamonds factory, diamonds factory jewellery store, the diamonds factory;
iii. Auf Standortbegriffe von Diamonds Factory bieten;
iv. Domains von Diamonds Factory oder verwechslungsfähige Domains als Display-URLs verwenden; oder
v. Irreführende Informationen verbreiten, einschließlich falscher Rabattangebote oder unzutreffender Werbeaussagen.
b. Diamonds Factory kann die Liste der eingeschränkten Keywords und Markenbegriffe von Zeit zu Zeit aktualisieren.
8. Marketing- und Werbemittel
a. Es dürfen ausschließlich offizielle Marketingmaterialien verwendet werden, die von Diamonds Factory bereitgestellt oder genehmigt wurden. Jegliche individuell erstellten Werbemittel, Werbeinhalte, Social-Media-Inhalte oder Marketingmaterialien mit Bezug zu Diamonds Factory bedürfen auf Anfrage von Diamonds Factory einer vorherigen schriftlichen Genehmigung. Affiliates dürfen Marken, Warenzeichen, Logos oder Marketingmaterialien nicht in irreführender, täuschender oder nicht genehmigter Weise verändern.
9. Programmrechte und Änderungen
a. Diamonds Factory behält sich das Recht vor:
i. Affiliate-Konten nach eigenem Ermessen zu genehmigen, abzulehnen, auszusetzen oder zu kündigen;
ii. Provisionen zurückzuhalten, zu stornieren oder rückgängig zu machen, wenn Betrug, Verstöße gegen Richtlinien, Missbrauch oder verdächtige Aktivitäten festgestellt werden; und
iii. Das Programm, die Provisionsstruktur oder diese Bedingungen von Zeit zu Zeit zu ändern.
b. Diamonds Factory wird sich nach besten Kräften bemühen, wesentliche Änderungen im Voraus anzukündigen, außer wenn sofortige Änderungen aus Gründen der Betrugsprävention, Compliance, Sicherheit oder des Geschäftsbetriebs erforderlich sind.
10. Betrugsprävention
a. Betrügerisches, täuschendes, irreführendes oder missbräuchliches Verhalten ist streng untersagt. Diamonds Factory kann mutmaßliche Verstöße untersuchen und Konten sperren, Provisionen zurückhalten, Provisionen rückgängig machen oder die Teilnahme am Programm beenden, wenn ein solches Verhalten festgestellt wird.
11. Geistiges Eigentum
a. Dem Affiliate wird eine beschränkte, nicht ausschließliche Lizenz zur Nutzung genehmigter Affiliate-Materialien gewährt.
b. Sämtliche Rechte am geistigen Eigentum verbleiben beim Unternehmen.
c. Die unbefugte Nutzung von Marken, Logos oder sonstigen Vermögenswerten ist untersagt.
12. Verhältnis der Parteien
a. Der Affiliate und Diamonds Factory handeln als unabhängige Vertragspartner. Nichts in dieser Vereinbarung ist so auszulegen, dass dadurch eine Partnerschaft, ein Joint Venture, ein Agenturverhältnis oder ein Arbeitsverhältnis begründet wird. Der Affiliate ist nicht befugt, im Namen von Diamonds Factory Zusicherungen, Garantien oder Verpflichtungen abzugeben, und darf dies auch nicht tun.
13. Compliance- und regulatorische Verpflichtungen
a. Der Affiliate verpflichtet sich, jederzeit sämtliche anwendbaren lokalen, regionalen, nationalen und internationalen Gesetze, Vorschriften und Bestimmungen einzuhalten, einschließlich, aber nicht beschränkt auf Regelungen zu Werbung, Verbraucherschutz, Marketing, Anti-Spam-Vorschriften (z. B. CAN-SPAM Act) sowie Datenschutz- und Privatsphärengesetze (z. B. DSGVO, CCPA). Der Affiliate trägt die alleinige Verantwortung dafür, dass sämtliche Inhalte und Marketingaktivitäten im Zusammenhang mit dem Programm wahrheitsgemäß, nicht irreführend und mit dieser Bestimmung vereinbar sind.
14. Datenschutz und Cookie-Compliance
a. Aufgrund der Nutzung von Affiliate-Tracking- und Attributionsmechanismen stellt der Affiliate sicher, dass seine Website, Anwendungen und sämtliche Marketingkanäle klare und deutlich erkennbare Hinweise über die Erhebung, Nutzung und Weitergabe von Daten bereitstellen, einschließlich der Verwendung von Tracking-Technologien wie Cookies. Der Affiliate ist verpflichtet, alle erforderlichen Einwilligungen und Genehmigungen der Nutzer gemäß den geltenden Datenschutz- und Cookie-Vorschriften einzuholen, um die rechtmäßige Nutzung der Affiliate-Links sowie das Tracking qualifizierter Links und entsprechender Provisionen zu ermöglichen.
15. Datenschutz und Vertraulichkeit
a. Der Affiliate kann Informationen über Diamonds Factory, dessen Geschäftstätigkeit, Finanzdaten und zukünftige Planungen erhalten oder anderweitig Zugang zu solchen Informationen erhalten, die nicht öffentlich bekannt sind („Vertrauliche Informationen“). Der Affiliate verpflichtet sich, sämtliche vertraulichen Informationen streng vertraulich zu behandeln und diese weder offenzulegen noch für andere Zwecke als die Erfüllung seiner Verpflichtungen aus dieser Vereinbarung zu verwenden. Diese Verpflichtung bleibt auch nach Beendigung dieser Vereinbarung bestehen. Affiliates dürfen keine spezifischen Unternehmensinformationen ohne vorherige schriftliche Zustimmung offenlegen.
16. Freistellung durch den Affiliate
a. Der Affiliate verpflichtet sich, Diamonds Factory sowie dessen verbundene Unternehmen, Geschäftsführer, leitende Angestellte, Mitarbeiter und Vertreter von sämtlichen Ansprüchen, Haftungen, Verlusten, Schäden, Kosten und Aufwendungen (einschließlich angemessener Anwaltskosten) freizustellen, zu verteidigen und schadlos zu halten, die entstehen aus oder im Zusammenhang stehen mit:
i. einem Verstoß des Affiliates gegen seine Verpflichtungen oder Zusicherungen aus dieser Vereinbarung oder den Programmbedingungen;
ii. einer missbräuchlichen Nutzung oder Verletzung geistiger Eigentumsrechte durch den Affiliate;
iii. rechtswidrigen Werbeaktivitäten des Affiliates; oder
iv. einer Nichteinhaltung gesetzlicher oder regulatorischer Anforderungen durch den Affiliate.
17. Haftungsbeschränkung
a. Mit Ausnahme der in dieser Vereinbarung geregelten Freistellungsverpflichtungen haftet keine Partei gegenüber der anderen für indirekte, zufällige, Folge-, Sonder- oder Strafschäden (einschließlich, jedoch nicht beschränkt auf entgangene Umsätze, Gewinne oder Geschäftswerte), die sich aus oder im Zusammenhang mit dieser Vereinbarung ergeben, selbst wenn auf die Möglichkeit solcher Schäden hingewiesen wurde.
b. In keinem Fall übersteigt die gesamte kumulierte Haftung von Diamonds Factory aus oder im Zusammenhang mit dieser Vereinbarung die Summe der Provisionen, die in den zwölf (12) Monaten unmittelbar vor Entstehung des jeweiligen Anspruchs an den Affiliate gezahlt wurden.
18. Anwendbares Recht und Gerichtsstand
a. Diese Vereinbarung unterliegt dem Recht von England und Wales und ist nach diesem auszulegen, ohne Berücksichtigung kollisionsrechtlicher Bestimmungen.
b. Sämtliche Streitigkeiten, die sich aus oder im Zusammenhang mit dieser Vereinbarung ergeben, einschließlich Fragen zu ihrem Bestehen, ihrer Gültigkeit oder ihrer Beendigung, werden ausschließlich den zuständigen Gerichten in London, England, vorgelegt und von diesen endgültig entschieden.
19. Kündigung und Fortgeltung
a. Jede Partei kann diese Vereinbarung jederzeit mit sofortiger Wirkung durch schriftliche Mitteilung an die andere Partei kündigen.
b. Mit Wirksamwerden der Kündigung enden sämtliche im Rahmen dieser Vereinbarung gewährten Lizenzen unverzüglich, und der Affiliate hat die Nutzung aller Affiliate-Links sowie sämtlicher Werbematerialien unverzüglich einzustellen.
c. Die Kündigung berührt weder bereits entstandene Rechte oder Verpflichtungen der Parteien noch die Wirksamkeit oder Fortgeltung von Bestimmungen, die ausdrücklich oder ihrem Sinn nach auch nach Beendigung dieser Vereinbarung gelten sollen.
d. Ausstehende Provisionen für validierte und genehmigte Transaktionen, die vor der Kündigung entstanden sind, werden gemäß dem ursprünglichen Zahlungsplan abgewickelt.
